Harrington, through the undersigned counsel,\n\nhereby provides notice to the Court that the Debtor has advised the United States Trustee that the\n\nDebtor has no objection to the appointment of an examiner in the above-captioned case.\n\nThe United States Trustee also submits the amended proposed order as follows:\n\nThe United States Trustee, having moved for an order directing the appointment of an examiner under 11 U.S.C. § 1104(c)(1) and/or (2) for the chapter 11 case of Ho Wan Kwok a/k/a Wengui Guo a/k/a Miles Guo (\"Debtor\"), or in the alternative, an order directing the appointment of a chapter 11 trustee under 11 U.S.C. § 1104(a)(2) based on the best interests of creditors and the estate (\"Motion\") (ECF 102), and a hearing having been held on the Motion on \\_\\_\\_\\_\\_\\_\\_\\_\\_, 2022, and this court having considered the evidence and the Debtor's consent to the Motion and having concluded that the appointment of an examiner under 11 U.S.C. 1104 (c)(2)\n\n<span id=\"page-0-0\"></span><sup>1</sup> Although the Debtor has agreed to the Court's directing the United States Trustee to appoint an examiner in the Debtor's Chapter 11 case, neither the Debtor nor other parties-in-interest have agreed to the terms of the Amended Proposed Order herein. The United States Trustee files this Notice of Amended Proposed Order to provide notice of the proposed terms to all parties and the Court in advance of the hearing on the United States Trustee's Motion.\n\nof the Bankruptcy Code to investigate the affairs of the Debtor is mandatory as the Debtor's fixed, liquidated unsecured debts exceed \\$5 million. The court further finds that grounds exist for the appointment of an examiner under 11 U.S.C. 1104(c)(1) as the appointment of an examiner to investigate the affairs of the Debtor and the Debtor's affiliates is in the best interest of creditors and other interest of the estate. The Court having found cause to grant the Motion, it is hereby\n\n**(1) ORDERED** that the Motion is granted pursuant to 11 U.S.C. § 1104(c)(1) and (2); and it is further\n\n**(2) ORDERED** that the United States Trustee is directed to appoint an Examiner in the Debtor's case; and it is further\n\n**(3) ORDERED** that the examiner is directed to: (a) identify the Debtor's postpetition income, sources of funds, and payment of Debtor's obligations from all sources, (b) identify the Debtor's uses of post-petition income, (c) identify and understand the Debtor's interests, including beneficial, control, equitable and legal, in corporate entities across the globe, and identify and understand the assets and liabilities of those corporate entities; (d) identify the Debtor's past and present use of family-related real property and conveyances; (e) identify the Debtor's past and present services provided for the benefit of family-member related businesses and entities; and (f) examine whether the Debtor is fulfilling all of his fiduciary duties and complying with all the reporting requirements imposed upon debtors-in-possession, including disclosure of all assets and causes of action; and it is further.\n\n**(4) ORDERED** that the Examiner, the Debtor, the Committee, or the United States Trustee shall have the right to petition the Court to further expand the scope of the Investigation, if during such Investigation other relevant matters are revealed which the Examiner, the Debtor,\n\nthe Committee or the United States Trustee believe should be brought to the attention of the Court; and it is further\n\n**(5) ORDERED** that the Debtor, the Debtor's affiliates, family-members and their businesses and entities, and the Committee are directed to fully cooperate with the Examiner in conjunction with the performance of any of the examiner's duties and the Investigation, and that the Debtor and the Committee shall use their respective best efforts to coordinate with the Examiner to avoid unnecessary interference with, or duplication of, the Investigation; and it is further\n\n**(6) ORDERED** that until the examiner has filed his or her report, neither the examiner nor the examiner's representatives or agents shall make any public disclosures concerning the performance of the Investigation or the examiner's duties; and it is further\n\n**(7) ORDERED** that the examiner shall prepare and file a report, as is required by 11 U.S.C. § 1106(a)(4), within 120 days following the approval of the work plan by the Court, unless such time shall be extended by order of the Court on Notice to all parties that have requested notice pursuant to Federal Rules of Bankruptcy Procedure; and it is further\n\n**(8) ORDERED** that the examiner may retain counsel and other professionals, if he or she determines that such retention is necessary to discharge his or her duties, with such retention being subject to Court approval under standards equivalent to those set for in 11 U.S.C. § 327; and it is further\n\n**(9) ORDERED** that the examiner and any professionals retained by the examiner pursuant to any order of this Court shall be compensated and reimbursed for their expenses in accord with any procedures for interim compensation and reimbursement of expenses of professionals that are established in this case. Compensation and reimbursement of the examiner shall be determined pursuant to 11 U.S.C. § 330, and compensation and reimbursement of the examiner's professionals shall be determined pursuant to standards equivalent to those set forth in 11 U.S.C. § 330; and it is further\n\n**(10) ORDERED** that the examiner shall cooperate fully with any governmental agencies (such cooperation shall not be deemed a public disclosure as referenced in paragraph 6 above) including, but not limited to, any federal, state or local government agency that may be investigating the Debtor, any person, corporation or entity in which the Debtor may have a relationship, and the examiner shall use best efforts to coordinate with such agencies in order to avoid unnecessary interference with, or duplication of, any investigations conducted by such agencies; and it is further\n\n**(11) ORDERED** that the examiner shall have the standing of a \"party-in-interest\" with respect to the matters that are within the scope of the Investigation, and shall be entitled to appear and be heard at any and all hearings in this case; and it is further\n\n**(12) ORDERED** that nothing in this Order shall impede the right of the United States Trustee or any other party to request any other lawful relief, including but not limited to the appointment of a trustee.\n\nDated: March 22, 2022 Respectfully submitted,\n\nNew Haven, Connecticut WILLIAM K. Harrington 通过下述署名律师，\n\n特此向法院发出通知：债务人已告知联邦破产受托人，\n\n债务人对在上述标题案件中指定审查人无异议。\n\n联邦破产受托人亦提交修改后的拟议裁定如下：\n\n鉴于联邦破产受托人已依据 11 U.S.C. § 1104(c)(1) 及/或 (2) 提出动议，请求在 Ho Wan Kwok 又名 Wengui Guo 又名 Miles Guo（“债务人”）的第 11 章破产案件中作出指定审查人的裁定，或者基于债权人和破产财产的最佳利益，依据 11 U.S.C. § 1104(a)(2) 作出指定第 11 章受托人的裁定（“动议”）（ECF 102）；且法院已于 2022 年 ___ 月 ___ 日就该动议举行了听证会；且本法院经审理证据及债务人对该动议的同意，并认定依据《破产法典》11 U.S.C. 1104 (c)(2)\n\n1 尽管债务人已同意法院指示联邦破产受托人在债务人的第 11 章案件中指定一名审查人，但债务人及其他利害关系方均未同意本文件中修改后拟议裁定的各项条款。联邦破产受托人提交本修改后拟议裁定通知，以便在就联邦破产受托人的动议举行听证会之前，向所有当事方及法院告知拟议条款。\n\n指定一名审查人对债务人的事务进行调查属于强制性要求，因为债务人的固定、已确定数额的无担保债务超过 500 万美元。法院进一步认定，依据 11 U.S.C. 1104(c)(1) 指定审查人的理由成立，因为指定审查人调查债务人及债务人关联方的事务符合债权人的最佳利益以及破产财产的其他利益。法院经查明有充分理由准许该动议，特此\n\n(1) 裁定：依据 11 U.S.C. § 1104(c)(1) 及 (2) 准许该动议；并且进一步\n\n(2) 裁定：指示联邦破产受托人在债务人的案件中指定一名审查人；并且进一步\n\n(3) 裁定：指示审查人：(a) 查明债务人在提出破产申请后的收入、资金来源，以及来自所有来源的清偿债务人债务的情况；(b) 查明债务人对提出破产申请后收入的使用情况；(c) 查明并了解债务人在全球各公司实体中拥有的权益，包括实益权益、控制权益、衡平法权益和法定权益，并查明和了解这些公司实体的资产与负债；(d) 查明债务人过去和现在对家族相关不动产的使用及转让情况；(e) 查明债务人过去和现在为家族成员相关企业和实体的利益所提供的服务；以及 (f) 审查债务人是否正在履行其所有的信托义务，并遵守对自行管理的债务人所施加的所有报告要求，包括披露所有资产和诉由；并且进一步\n\n(4) 裁定：如果在调查期间发现了审查人、债务人、债权人委员会或联邦破产受托人认为应当提请法院注意的其他相关事项，则审查人、债务人、Committee（债权人委员会）或联邦破产受托人有权向法院申请进一步扩大调查范围；并且进一步\n\n(5) 裁定：指示债务人、债务人的关联方、家族成员及其企业和实体、以及债权人委员会在审查人履行任何职责和进行调查时给予充分配合，并且债务人和债权人委员会应各自尽最大努力与审查人协调，以避免对调查造成不必要的干扰或重复；并且进一步\n\n(6) 裁定：在审查人提交其报告之前，审查人及其代表或代理人均不得就调查的开展或审查人职责的履行进行任何公开披露；并且进一步\n\n(7) 裁定：审查人应在法院批准工作计划后 120 天内，按照 11 U.S.C. § 1106(a)(4) 的要求编制并提交一份报告，除非该期限经法院根据《联邦破产诉讼程序规则》通知所有已请求通知的当事方后由法院命令予以延长；并且进一步\n\n(8) 裁定：审查人若认定为履行其职责确有必要，可以聘请法律顾问及其他专业人士，该等聘请须经法院批准，并适用与 11 U.S.C. § 327 所规定同等的标准；并且进一步\n\n(9) 裁定：审查人以及审查人根据本法院任何命令所聘请的任何专业人士，应根据本案中确立的专业人士中期报酬和费用报销程序获得报酬和费用报销。审查人的报酬和费用报销应依据 11 U.S.C. § 330 确定，审查人的专业人士的报酬和费用报销应依据与 11 U.S.C. § 330 所规定同等的标准确定；并且进一步\n\n(10) 裁定：审查人应与任何政府机构（该等合作不应被视为上述第 6 段所指的公开披露）充分合作，包括但不限于可能正在调查债务人或与债务人可能存在关系的任何个人、公司或实体的任何联邦、州或地方政府机构，且审查人应尽最大努力与该等机构进行协调，以避免对该等机构进行的任何调查造成不必要的干扰或重复；并且进一步\n\n(11) 裁定：审查人对于属于调查范围之内的事项具有“利害关系方”的诉讼主体资格，并有权在本案的任何及所有听证会上出席并陈述意见；并且进一步\n\n(12) 裁定：本裁定中的任何内容均不得阻碍联邦破产受托人或任何其他当事方请求任何其他合法救济的权利，包括但不限于请求指定受托人。\n\n日期：2022 年 3 月 22 日 谨此提交，\n\n康涅狄格州纽黑文 WILLIAM K.
