Despins, in his capacity as the chapter 11 trustee (the \"Trustee\") appointed in the\n\nchapter 11 case (the \"Chapter 11 Case\") of Ho Wan Kwok (the \"Individual Debtor\" or \"Kwok\"),\n\n<span id=\"page-0-0\"></span> <sup>1</sup> The Debtors in these chapter 11 cases are Ho Wan Kwok (also known as Guo Wengui, Miles Guo, and Miles Kwok, as well as numerous other aliases) (last four digits of tax identification number: 9595), Genever Holdings LLC (last four digits of tax identification number: 8202), and Genever Holdings Corporation. The mailing address for the Trustee and the Genever Debtor is Paul Hastings LLP, 200 Park Avenue, New York, NY 10166 c/o Luc A. No. 22-05027 are the adversary proceedings styled: (a) *Luc A. Despins, Chapter 11 Trustee v. Bravo Luck Limited and Qiang Guo* (Adv. Proc. No. 22-05027), (b) *Genever Holdings LLC v. Bravo Luck Limited* (Adv. Proc. No. 22-05030), and (c) *Genever Holdings Corporation v. Bravo Luck Limited* (Adv. Proc. No. 22-05035).\n\nGenever Holdings, LLC (\"Genever US\"), and Genever Holdings Corporation (\"Genever BVI\" and, together with Genever US, the \"Genever Entities\" and, the Genever Entities together with the Trustee, the \"Plaintiffs\"), plaintiffs in the above-captioned adversary proceeding, by and through their undersigned counsel, hereby moves (the \"Motion\") this Court for an order, substantially in the form attached hereto as **Exhibit A** (the \"Proposed Order\"), limiting service of the *Motion of Chapter 11 Trustee, Genever Holdings LLC, and Genever Holdings Corporation, Pursuant to Bankruptcy Rule 9019, Regarding Settlement with Bravo Luck Limited and Mileson Guo (a/k/a Qiang Guo and/or Guo Qiang)* (the \"9019 Motion\")[3](#page-1-0) to the Notice Parties (as defined below). In support of the Motion, the Plaintiffs respectfully represents as follows:\n\n### **JURISDICTION, VENUE, AND STATUTORY BASIS**\n\n1. The United States Bankruptcy Court for the District of Connecticut (the \"Court\") has jurisdiction over this matter pursuant to 28 U.S.C. §§ 157 and 1334 and the Standing Order of Reference from the United States District Court for the District of Connecticut. This is a core proceeding within the meaning of 28 U.S.C. § 157(b).\n\n2. Venue in this District is proper pursuant to 28 U.S.C. §§ 1408 and 1409.\n\n3. The bases for the relief sought by this Motion are section 105(a) of the Bankruptcy Code and Rules 2002(a) and 2002(i) of the Federal Rules of Bankruptcy Procedure (the \"Bankruptcy Rules\").\n\n### **BACKGROUND**\n\n### **I. Plaintiffs' Adversary Proceedings Against Defendants**\n\n4. On October 11, 2022, the Trustee filed the *Adversary Complaint Against Bravo Luck and Qiang Guo Seeking (I) Invalidation of Purported Trust Agreement in Favor of Bravo*\n\n<span id=\"page-1-0\"></span><sup>3</sup> Capitalized terms used but not otherwise defined herein have the meanings set forth in the 9019 Motion.\n\n*Luck and, (II) in Alternative, Ruling that Debtor Effectuated Fraudulent Transfer in Favor of Bravo Luck and Qiang Guo Pursuant to Section 276 of New York Debtor and Creditor Law, Made Applicable by Section 544 of Bankruptcy Code* (the \"Trustee Complaint\" and the adversary proceeding the \"Trustee Proceeding\").\n\n5. Also on October 11, 2022, Genever US filed its *Adversary Complaint Against Bravo Luck Seeking (I) Invalidation of Purported Trust Agreement in Favor of Bravo Luck and, (II) in Alternative, Ruling that Debtor Effectuated Fraudulent Transfer in Favor of Bravo Luck Pursuant to Section 276 of New York Debtor and Creditor Law, Made Applicable by Section 544 of Bankruptcy Code* (the \"Genever US Complaint\" and the adversary proceeding the \"Genever US Proceeding,\" which was originally filed in the New York Bankruptcy Court prior to the change in venue of Genever US's chapter 11 case to the Court).\n\n6. On December 23, 2022, Genever BVI filed its *Adversary Complaint Against Bravo Luck Seeking (I) Invalidation of Purported Trust Agreement in Favor of Bravo Luck and, (II) in Alternative, Ruling that Debtor Effectuated Fraudulent Transfer in Favor of Bravo Luck Pursuant to Section 276 of New York Debtor and Creditor Law, Made Applicable by Section 544 of Bankruptcy Code* (the \"Genever BVI Complaint\" and, together with the Genever US Complaint and the Trustee Complaint, the \"Complaints,\" and the adversary proceeding the \"Genever BVI Proceeding\" and, together with the Trustee Proceeding and the Genever US Proceeding, the \"Adversary Proceedings\"). In the Adversary Proceedings, the Plaintiffs seek, among other things, a declaration that Genever US owns the Sherry Netherland Apartment unencumbered by the Purported Trust Agreement.\n\n7. On December 28, 2022, the Plaintiffs filed a motion to consolidate the Adversary Proceedings under the Trustee Proceeding, and, on February 1, 2023, the Court issued an order consolidating the Adversary Proceedings under the Trustee Proceeding.\n\n8. On February 28, 2023, the Plaintiffs filed amended versions of their respective Complaints (collectively, the \"Amended Complaints\").\n\n9. On March 21, 2023, Bravo Luck filed a motion to dismiss each of the Amended Complaints (collectively, the \"Motions to Dismiss\").\n\n10. On April 11, 2023, the Plaintiffs filed objections to their respective Motions to Dismiss, and on April 12, 2023, the Trustee and Genever US filed corrected objections to their respective Motions to Dismiss. On April 25, 2023, Bravo Luck filed three replies in support of its Motions to Dismiss.\n\n11. On May 25, 2023, the Trustee filed his *Request of Chapter 11 Trustee for Entry of Default Against* Defendant *Qiang Guo Pursuant to Federal Rule of Civil Procedure 55(a) and Federal Rule of Bankruptcy Procedure 7055* [Adv. Proc. Docket No. 89]; on May 26, 2023 the Clerk of Court issued an *Entry of Default* against Guo [Adv. Proc. Docket No. 90]; and, on June 2, 2023, the Trustee filed his *Motion of Chapter 11 Trustee for Estate of Ho Wan Kwok for Entry of Default Judgment Against Qiang Guo* [Adv. Proc. Docket No. 93].\n\n#### **II. Defendants' Proofs of Claim**\n\n12. On March 5, 2021, Bravo Luck and Guo each filed a proof of claim in the Genever US chapter 11 case in the New York Bankruptcy Court (the \"Bravo Luck Proof of Claim\" [Claim No. 4-1] and the \"Guo Proof of Claim,\" [Claim No. 3-1] respectively), and on February 17, 2023, Bravo Luck filed a proof of claim [Claim No. 117-1] in the Individual Debtor's Chapter 11 Case; a proof of claim [Claim No. 2-1] in Genever BVI's chapter 11 case;\n\nand a proof of claim [Claim No. 6-1] in Genever US's chapter 11 case (collectively with the Bravo Luck Proof of Claim and the Guo Proof of Claim, the \"Proofs of Claim\").\n\n13. On March 31, 2023, Genever US filed an objection to the Guo Proof of Claim (the \"Claim Objection\"), which the Connecticut Local Form 420B notice of objection to claim, attached to the Claim Objection, provided a deadline of May 1, 2023 to respond to the Claim Objection (the \"Response Deadline\"). No response to the Claim Objection was filed by the Response Deadline.\n\n14. On May 5, 2023, Genever US filed a *Notice of (i) Failure to File Timely Response to Claim Objection and (ii) Filing of Proposed Order Disallowing and Expunging Claim No. 3-1 Filed by Qiang Guo* [Main Case Docket No. 1766], requesting an order disallowing and expunging Guo Proof of Claim in its entirety.\n\n15. Today, the Plaintiffs filed the 9019 Motion, seeking Court approval of the Settlement Agreement, which seeks to accomplish, among other things, the resolution of the Adversary Proceedings and the Proofs of Claim, and to establish that Genever US is the undisputed owner of the Sherry Netherland Apartment and any funds related to the Sherry Netherland Apartment.\n\n#### **RELIEF REQUESTED**\n\n16. By this Motion, the Plaintiffs seek to limit service of the 9019 Motion to (i) the United States Trustee; (ii) the Individual Debtor; (iii) the official committee of unsecured creditors; (iv) the Defendants; (v) by electronic filing utilizing the Court's electronic filing (\"CM/ECF\") system, to all appearing parties who utilize the CM/ECF system; and (vi) any party who requested notice in these chapter 11 cases, but is unable to accept electronic filing as indicated on the Notice of Electronic Filing (collectively, the \"Notice Parties\").\n\n17. The Plaintiffs file this Motion with the consent of the Defendants.\n\n18. Section 105(a) of the Bankruptcy Code authorizes a court to \"issue any order, process, or judgment that is necessary or appropriate to carry out the provisions of [the Bankruptcy Code],\" thereby codifying the bankruptcy court's inherent equitable powers. 11 U.S.C. § 105(a).\n\n19. Pursuant to Bankruptcy Rule 2002(a)(3) notice of a hearing on a compromise or settlement must be given by mail. Moreover, Bankruptcy Rule 2002(i) provides that \"the court may order that notices required by subdivision (a)(2), (3) and (6) of [Rule 2002] may be . . . mailed only to the [official committee of unsecured creditors] or their authorized agents and to the creditors and equity security holders who serve on the trustee or debtor in possession and file a request that all notices be mailed to them.\"\n\n20. As of today, approximately 1,400 claims have been filed in these chapter 11 cases—the overwhelming majority of which are individuals located in foreign jurisdictions and many of whom have elected confidential treatment of their claims (in accordance with the bar date order). The Plaintiffs submit that it would be unduly burdensome for the estates to serve the 9019 Motion on 1,400 parties. Doing so would consume resources that these estates do not have, nor would it serve the interests of the creditors of these estates. In fact, it is very unlikely that individual creditors would have any interest in reviewing the 9019 Motion—especially given that (a) several creditors are already active (and have filed notices of appearances) in these chapter 11 cases and (b) an official committee of unsecured creditors has been appointed in the Individual Debtor's chapter 11 case.\n\n21. Based on the foregoing, the Plaintiffs requests that the Court authorize service of the 9019 Motion upon the Notice Parties.\n\n22. Bravo Luck Limited（对抗诉讼编号：22-05035）。\n\nGenever Holdings, LLC（以下称「Genever US」）及 Genever Holdings Corporation（以下称「Genever BVI」，与 Genever US 合称「Genever 实体」，Genever 实体与受托人合称「原告」），即上述标题所示对抗诉讼程序中的原告，通过其下述署名律师，特此向本法院提出动议（以下称「本动议」），请求法院作出基本如本文件所附附件 A 形式的裁定（以下称「拟议裁定」），将《第 11 章受托人、Genever Holdings LLC 及 Genever Holdings Corporation 依据〈破产规则〉第 9019 条关于与 Bravo Luck Limited 及 Mileson Guo（又名 Qiang Guo 和/或 Guo Qiang）达成和解的动议》（以下称「9019 动议」）[3] 的送达范围限制在通知当事方（定义见下文）。为支持本动议，原告谨陈述如下：\n管辖权、审理地及法定依据\n\n1. 依据 28 U.S.C. §§ 157 和 1334 以及 United States District Court for the District of Connecticut（康涅狄格区美国联邦地区法院）的常规移送裁定，United States Bankruptcy Court for the District of Connecticut（康涅狄格区美国破产法院）（以下称「本法院」）对本案具有管辖权。依照 28 U.S.C. § 157(b) 之含义，本程序属于核心程序。\n\n2. 依据 28 U.S.C. §§ 1408 和 1409，本区的审理地是适当的。\n\n3. 本动议所寻求救济的依据为《破产法典》第 105(a) 条以及《联邦破产诉讼程序规则》（以下称「《破产规则》」）第 2002(a) 条和第 2002(i) 条。\n背景\nI. 原告针对被告提起的对抗诉讼程序\n\n4. 2022年10月11日，受托人提交了《针对 Bravo Luck 及 Qiang Guo 的对抗诉讼起诉状，请求：(I) 认定以 Bravo 为受益人的所谓信托协议无效\n\n3 本文中使用但未另作定义的大写术语具有 9019 动议中所载明的含义。\n\nLuck 及 (II) 在备位上，依据通过〈破产法典〉第 544 条适用的〈纽约州债务人与债权人法〉第 276 条，裁定债务人实施了以 Bravo Luck 和 Qiang Guo 为受益人的欺诈性转让》（以下称「受托人起诉状」，该对抗诉讼程序以下称「受托人程序」）。\n\n5. 同在2022年10月11日，Genever US 提交了其《针对 Bravo Luck 的对抗诉讼起诉状，请求：(I) 认定以 Bravo Luck 为受益人的所谓信托协议无效及 (II) 在备位上，依据通过〈破产法典〉第 544 条适用的〈纽约州债务人与债权人法〉第 276 条，裁定债务人实施了以 Bravo Luck 为受益人的欺诈性转让》（以下称「Genever US 起诉状」，该对抗诉讼程序以下称「Genever US 程序」，在 Genever US 的第 11 章案件审理地移送至本法院之前，该程序最初提交于纽约破产法院）。\n\n6. 2022年12月23日，Genever BVI 提交了其《针对 Bravo Luck 的对抗诉讼起诉状，请求：(I) 认定以 Bravo Luck 为受益人的所谓信托协议无效及 (II) 在备位上，依据通过〈破产法典〉第 544 条适用的〈纽约州债务人与债权人法〉第 276 条，裁定债务人实施了以 Bravo Luck 为受益人的欺诈性转让》（以下称「Genever BVI 起诉状」，与 Genever US 起诉状及受托人起诉状合称「各项起诉状」，该对抗诉讼程序以下称「Genever BVI 程序」，与受托人程序及 Genever US 程序合称「对抗诉讼程序」）。在对抗诉讼程序中，原告请求（其中包括）确认判决：Genever US 拥有 Sherry Netherland 公寓的所有权，且该公寓未附带任何所谓信托协议所设定的负担。\n\n7. 2022年12月28日，原告提交了一项动议，请求将各对抗诉讼程序合并至受托人程序下；2023年2月1日，本法院发布了一项裁定，将各对抗诉讼程序合并至受托人程序下。\n\n8. 2023年2月28日，原告分别提交了各自起诉状的修正版本（合称「修正后起诉状」）。\n\n9. 2023年3月21日，Bravo Luck 针对每份修正后起诉状均提交了驳回动议（合称「驳回动议」）。\n\n10. 2023年4月11日，原告对各自对应的驳回动议提交了异议；2023年4月12日，受托人和 Genever US 对各自对应的驳回动议提交了更正后的异议。2023年4月25日，Bravo Luck 提交了三份答辩意见以支持其驳回动议。\n\n11. 2023年5月25日，受托人依据《联邦民事诉讼程序规则》第 55(a) 条和《联邦破产诉讼程序规则》第 7055 条提交了《第 11 章受托人关于对被告 Qiang Guo 作出缺席记录的申请》[对抗诉讼案卷编号：89]；2023年5月26日，法院书记官对 Guo 作出了缺席记录 [对抗诉讼案卷编号：90]；2023年6月2日，受托人提交了《Ho Wan Kwok 破产财团之第 11 章受托人关于对 Qiang Guo 作出缺席判决的动议》[对抗诉讼案卷编号：93]。\nII. 被告的债权申报\n\n12. 2021年3月5日，Bravo Luck 和 Guo 分别在纽约破产法院审理的 Genever US 第 11 章案件中提交了债权申报（分别为「Bravo Luck 债权申报」[债权编号：4-1] 和「Guo 债权申报」[债权编号：3-1]）；2023年2月17日，Bravo Luck 在个人债务人的第 11 章案件中提交了债权申报 [债权编号：117-1]；在 Genever BVI 的第 11 章案件中提交了债权申报 [债权编号：2-1]；\n\n以及在 Genever US 的第 11 章案件中提交了债权申报 [债权编号：6-1]（与 Bravo Luck 债权申报及 Guo 债权申报合称「各项债权申报」）。\n\n13. 2023年3月31日，Genever US 对 Guo 债权申报提出了异议（以下称「债权异议」），附于债权异议之后的康涅狄格州本地格式 420B 债权异议通知书规定，对该债权异议作出回应的截止日期为2023年5月1日（以下称「回应截止日」）。在回应截止日之前，未有人就该债权异议提交任何回应。\n\n14. 2023年5月5日，Genever US 提交了《关于 (i) 未能就债权异议及时提交回应及 (ii) 提交关于不予支持并注销 Qiang Guo 所申报之第 3-1 号债权的拟议裁定的通知》[主案案卷编号：1766]，请求法院作出裁定，全额不予支持并注销 Guo 债权申报。\n\n15. 今日，原告提交了 9019 动议，请求法院批准《和解协议》，该协议旨在（其中包括）解决对抗诉讼程序和各项债权申报，并确立 Genever US 是 Sherry Netherland 公寓及与 Sherry Netherland 公寓相关的任何资金的无可争议的所有人。\n请求的救济\n\n16. 通过本动议，原告请求将 9019 动议的送达范围限制于：(i) 美国受托人；(ii) 个人债务人；(iii) 无担保债权人官方委员会；(iv) 各被告；(v) 通过利用法院电子案件申报（以下称「CM/ECF」）系统进行电子申报的方式，送达给所有使用 CM/ECF 系统的出庭当事方；以及 (vi) 在这些第 11 章案件中请求接收通知、但如《电子申报通知》所示无法接受电子申报的任何当事方（合称「通知当事方」）。\n\n17. 原告经各被告同意提交本动议。\n\n18. 《破产法典》第 105(a) 条授权法院「发布执行[《破产法典》]规定所必要或适当的任何命令、程序或判决」，从而成文化了破产法院固有的衡平权力。11 U.S.C. § 105(a)。\n\n19. 依据《破产规则》第 2002(a)(3) 条，关于和解或妥协的听证会通知必须通过邮寄方式送达。此外，《破产规则》第 2002(i) 条规定，「法院可以裁定，[规则 2002] 第 (a)(2)、(3) 和 (6) 款所要求的通知可以……仅邮寄给[无担保债权人官方委员会]或其授权代理人，以及向受托人或占有中债务人送达并提交请求要求向其邮寄所有通知的债权人和权益证券持有人。」\n\n20. 截至今日，在这些第 11 章案件中已申报了约 1,400 项债权——其中绝大多数是位于外国司法管辖区的个人，且其中许多人已选择对其债权进行保密处理（根据申报截止日裁定）。原告认为，要求破产财团向 1,400 名当事方送达 9019 动议将构成过重负担。这样做将消耗这些破产财团并不具备的资源，也不符合这些破产财团债权人的利益。事实上，个别债权人极不可能有兴趣审阅 9019 动议——尤其是鉴于 (a) 若干债权人已经在这些第 11 章案件中积极参与（并已提交出庭通知），以及 (b) 在个人债务人的第 11 章案件中已经指定了无担保债权人官方委员会。\n\n21. 基于前述理由，原告请求法院准许向通知当事方送达 9019 动议。\n\n22. 原告认为，本动议所请求的救济在第 11 章案件中是适当的，且符合原告破产财团、其债权人及其他利害关系方的最大利益。\n\n[本页其余部分特意留白。]\n\n为此，基于前述理由，原告请求法院作出裁定，准予本动议所请求的救济以及公正和适当的其他救济。\n\n日期：2023年8月4日\n康涅狄格州纽黑文\n\nLUC A.
