**DEBTOR'S PLAN UNDER CHAPTER 11 OF THE BANKRUPTCY CODE**\n\nPursuant to title 11 of the United States Code, 11 U.S.C. §§ 101 *et seq.*, the Debtor, as plan proponent, hereby respectfully proposes the following plan under chapter 11 of the Bankruptcy Code.\n\n# **ARTICLE I**\n\n#### **DEFINED TERMS AND RULES OF INTERPRETATION**\n\n#### <span id=\"page-5-1\"></span><span id=\"page-5-0\"></span>A. *Defined Terms*\n\nUnless the context otherwise requires, the following terms shall have the following meanings when used in capitalized form herein:\n\n1. *\"Administrative and Priority Claims Reserve\"* means the reserve to be established and maintained by the Creditor Trust and funded by the Plan Funder for the payment of accrued but unpaid U.S. Trustee Fees and Administrative, Priority, and Professional Compensation Claims that are Allowed after the Effective Date to the extent that such Claims have not been paid in full on or before the Effective Date.\n\n2. \"*Administrative Bar Date*\" means the date determined pursuant to Article IV.H of the Plan; provided, however, the Administrative Bar Date applicable to claims arising under section 503(b)(9) is the General Bar Date.\n\n3. \"*Administrative Claims*\" means Claims that have been timely filed before the Administrative Bar Date, pursuant to the deadline and procedure set forth herein (except as otherwise provided herein or by a separate order of the Bankruptcy Court), for costs and expenses of administration under Sections 503(b), 507(b) or 1114(e)(2) of the Bankruptcy Code, including, without limitation: (a) the actual and necessary costs and expenses incurred after the Petition Date and prior to the Effective Date of preserving the Estates and operating the businesses of the Debtor and Reorganized Debtor (such as wages, salaries or commissions for services and payments for goods and other services); and (b) all fees and charges assessed against the Estates under 28 U.S.C. §1930; *provided*, *however*, that the U.S. Trustee shall not be required to file a request for payment of fees and charges assessed against the Estates under 28 U.S.C. § 1930 before the Administrative Bar Date; *provided*, *further*, that all requests of Governmental Units for payment of Administrative Tax Claims shall not be subject to the Administrative Bar Date. As used herein, the term \"Administrative Claims\" shall exclude Professional Compensation Claims.\n\n4. \"*Administrative Tax Claims*\" means Administrative Claims by a Governmental Unit for taxes under Section 503(b)(1)(B), (C) or (D) (and for interest and/or penalties related to such taxes) for any tax year or period, all or any portion of which occurs or falls within the period from and including the Petition Date through and including the Effective Date.\n\n5. \"*Affiliate*\" has the meaning set forth in Section 101(2) of the Bankruptcy Code.\n\n6. \"*Allowed*\" means, with respect to any Claim, except as otherwise provided herein: (a) a Claim that has been scheduled by the Debtor in his Schedules as other than disputed, contingent or unliquidated that has not been superseded by a filed proof of Claim and as to which the Debtor, Committee, Creditor Trust or another party-ininterest has not Filed an objection by the Claims Objection Deadline; (b) a proof of Claim that has been filed and as to which the Debtor, Committee, Creditor Trust, or another party-in-interest has not Filed an objection by the Claims Objection Deadline; (c) a Claim that either is not Disputed by the Claim Objection Deadline or has been allowed by a Final Order; (d) a Claim that is allowed: (i) in any stipulation with the Debtor or the Creditor Trust, as applicable, of amount and nature executed prior to or following the entry of the Confirmation Order and, if necessary, approved by the Bankruptcy Court; or (ii) in or pursuant to any contract, instrument, indenture or other agreement entered into or assumed in connection herewith; (e) a Claim that is allowed pursuant to the terms hereof; (f) a Claim that is estimated pursuant to Section 502(c) of the Bankruptcy Code, unless otherwise and explicitly provided by order of the Bankruptcy Court; or (g) a Disputed Claim as to which a proof of Claim has been timely filed and as to which no objection has been Filed by the Claims Objection Deadline.\n\n7. *\"Assigned Causes of Action\"* means any and all Causes of Action belonging to the Debtor or Reorganized Debtor and not abandoned or waived by the Creditor Trust; *provided, however*, that the Assigned Causes of Action shall exclude any (a) Released Claims against Released Parties pursuant to Article IX of this Plan; (b) exculpated rights or Causes of Action against the Exculpated Parties pursuant to Article IX of this Plan; (c) Boat Ownership Claims; and (d) rights or Causes of Action against any Entity or individual that is neither a Plan Funder nor a Plan Funder Related Party except as identified in the Plan Supplement.\n\n8. *\"Assigned Claims Objections\"* means objections to Proof of Claim which relate to Assigned Causes of Action.\n\n9. \"*Avoidance Actions*\" means any and all avoidance, recovery, subordination or other actions or remedies that may be brought on behalf of the Debtor or the Reorganized Debtor or the Estate or the Committee or the Creditor Trust, as applicable, under the Bankruptcy Code or applicable non-bankruptcy law, including, without limitation, actions or remedies under Sections 510, 542, 543, 544, 545, 547, 548, 549, 550, 551, 552, and 553 of the Bankruptcy Code.\n\n10. \"*Bankruptcy Code*\" means title 11 of the United States Code, 11 U.S.C. §§ 101 *et seq.*, as amended from time to time.\n\n11. \"*Bankruptcy Court*\" means the United States Bankruptcy Court for the District of Connecticut.\n\n12. \"*Bankruptcy Rules*\" means the Federal Rules of Bankruptcy Procedure, the Local Rules of Bankruptcy Practice and Procedure of the United States Bankruptcy Court for the District of Connecticut, and general orders and chambers procedures of the Bankruptcy Court, each as applicable to the Chapter 11 Case and as amended from time to time.\n\n13. \"*Boat*\" means that certain pleasure yacht, the \"Lady May,\" Signal Letters ZGDQ9, registered in the Cayman Islands to HK USA.\n\n14. \"*Boat Contribution*\" means the contribution of the Boat by HK USA to the Creditor Trust.\n\n15. \"*Boat Ownership Claims*\" means any claim or Cause of Action belonging to any party, other than HK USA prior to the Effective Date of the Plan and the Creditor Trust thereafter, to ownership of the Boat.\n\n16. \"*Boat Election*\" means the Election of a holder of a Claim entitled to treatment pursuant to Art. III.B.3(b)(ii) hereof, to (i) become a Releasing Party as defined herein and (ii) receive from the Creditor Trust a Pro Rata Share of the Boat or its value.\n\n17. \"*Business Day*\" means any day, other than a Saturday, Sunday or \"legal holiday\" (as that term is defined in Fed. R. Bankr. P. 9006(a)).\n\n18. \"*Cash*\" means legal tender of the United States of America or the equivalent thereof.\n\n19. \"*Causes of Action*\" means all claims, actions, causes of action, choses in action, Avoidance Actions, suits, debts, dues, sums of money, accounts, reckonings, bonds, bills, specialties, covenants, contracts, controversies, agreements, promises, variances, trespasses, damages, judgments, remedies, rights of set-off, third-party claims, subrogation claims, contribution claims, reimbursement claims, indemnity claims, counterclaims and crossclaims that are or may be pending on the Effective Date or instituted after the Effective Date against any Entity, based in law or equity, whether direct, indirect, derivative or otherwise and whether asserted or unasserted as of the Effective Date.\n\n20. \"*Chapter 11 Case*\" means the Chapter 11 Case commenced when the Debtor filed a voluntary petition for relief under chapter 11 of the Bankruptcy Code on the Petition Date. The Chapter 11 Case was assigned case number 22-50073 (JAM).\n\n21. \"*Claim*\" means a \"claim\" (as that term is defined in Section 101(5) of the Bankruptcy Code) against the Debtor.\n\n22. \"*Claims Objection Deadline*\" means the last day for filing objections to Claims, including any extensions thereof, as provided in Article VI of the Plan.\n\n23. \"*Claims Register*\" means the official claims register in the Debtor's Chapter 11 Case maintained by the Noticing Agent on behalf of the Clerk of the Bankruptcy Court.\n\n24. \"*Class*\" means a category of holders of Claims as set forth in Article III hereof pursuant to Section 1122(a) of the Bankruptcy Code.\n\n25. *\"Committee\"* means the official committee of unsecured creditors of the Debtor appointed by the United States Trustee in the Chapter 11 Case pursuant to Section 1102 of the Bankruptcy Code.\n\n26. \"*Confirmation Date*\" means the date on which the Confirmation Order is entered by the Bankruptcy Court.\n\n27. \"*Confirmation Order*\" means the order of the Bankruptcy Court confirming the Plan pursuant to Section 1129 of the Bankruptcy Code.\n\n28. *\"Creditor Trust\"* means the creditor recovery trust established on the Effective Date in accordance with Article IV.D.2 of the Plan and the Creditor Trust Agreement.\n\n29. *\"Creditor Trust Agreement\"* means the agreement to be executed as of the Effective Date substantially in the form filed in the Plan Supplement establishing the Creditor Trust and delineating the terms and conditions of the Creditor Trust, including the powers, rights and duties of the Creditor Trustee.\n\n30. *\"Creditor Trust Estate Assets\"* means, collectively, all property of the Debtor's Estate as of the Effective Date, including the Assigned Causes of Action and the DIP Facility Cash, but excluding (a) exempt property pursuant to section 522 of the Bankruptcy Code, (b) property included in the Estate by virtue of section 1115 of the Bankruptcy Code, (c) Retained Causes of Action, (d) Released Claims, (e) the UC Cash and the Remaining UC Cash, and (f) the Boat and any Boat Ownership Claims.\n\n31. *\"Creditor Trust Beneficiary\"* means a Holder of an Allowed Claim entitled to treatment pursuant to Article III.B hereof.\n\n32. *\"Creditor Trustee\"* means the disinterested individual selected by the Debtor and disclosed prior to the Confirmation Hearing to act as trustee of and administer the Creditor Trust.\n\n33. \"*CT Assets*\" means all assets of any kind held by the Creditor Trust.\n\n34. \"*Cure Cost*\" means all amounts required to cure any monetary defaults under any Executory Contract or Unexpired Lease (or such lesser amount as may be agreed upon by the parties under an Executory Contract or Unexpired Lease) that is to be assumed by the Debtor pursuant to sections 365 or 1123 of the Bankruptcy Code.\n\n35. \"*Debtor*\" or \"*Debtor in Possession*\" means, collectively, the above-captioned Debtor and Debtor in possession specifically identified on the cover page to this Plan.\n\n36. *\"Debtor Privilege\"* means any attorney-client privilege, work product protection, joint interest privilege or other privilege or immunity attaching to any documents or communications (in any form, including, without limitation, written, electronic or oral) held by the Debtor.\n\n37. *\"DIP Facility\"* means the subordinated term loan from the DIP Lender to the Debtor, subject to and as further described in the [*Interim DIP Order (I) Authorizing the Debtor to Obtain Unsecured, Subordinated Postpetition Financing and (II) Scheduling Interim and Final Hearings, and (III) Granting Related Relief*] [Docket No. [●]], and including all interest, fees and reimbursement obligations arising thereunder.\n\n38. *\"DIP Facility Claim\"* means the claim of the DIP Lender under the DIP Facility.\n\n39. \"*DIP Facility Cash*\" means the \\$1,000,000 Cash contribution to the Estate, defined in the DIP Facility documents as the Estate Contribution Loan, to the extent remaining as of the Effective Date.\n\n40. *\"DIP Lender\"* means Golden Spring, solely in its capacity as the lender under the DIP Facility.\n\n41. \"*Disclosure Statement Order*\" means the order approving the Disclosure Statement, which was entered by the Bankruptcy Court on [DATE] [ECF NO. ].\n\n42. \"*Disclosure Statement*\" means the *Disclosure Statement for Proposed Chapter 11 Plan of Ho Wan Kwok*, dated as of [ ], prepared and distributed in accordance with the Bankruptcy Code, Bankruptcy Rules and any other applicable law, and approved by the Bankruptcy Court in the Disclosure Statement Order, as it is amended, supplemented or modified from time to time.\n\n43. \"*Disputed*\" means, with respect to any Claim, that portion (or the entirety) of the Claim that is not an Allowed Claim and: (a) as to which a Proof of Claim has been filed or deemed filed under the Bankruptcy Code or an order of the Bankruptcy Court; (b) as to which the Debtor, Committee, or Creditor Trust has Filed or may File a timely objection or request for estimation in accordance with the Bankruptcy Code, the Bankruptcy Rules, Plan, or Creditor Trust Agreement, as applicable; or (c) is otherwise disputed by the Debtor, Committee, or Creditor Trust in accordance with applicable law, which objection, request for estimation or dispute has not been withdrawn or determined by a Final Order. Before the time that an objection has been or may be filed, a Claim shall also be considered Disputed (x) if the amount or classification of the Claim specified in any proof of Claim exceeds or varies from the amount or classification of any corresponding Claim scheduled by the Debtor in his Schedules; (y) in its entirety, if any corresponding Claim scheduled by the Debtor was scheduled as unliquidated, disputed, or contingent in the Debtor's Schedules; or (z) in its entirety, if no corresponding Claim was scheduled by the Debtor in his Schedules.\n\n44. *\"Disputed Claim Reserve\"* means one or more reserves of such Cash as the Creditor Trust estimates to be reasonably necessary to satisfy the Distributions that could be required to be made by the Creditor Trust under the Plan and the Creditor Trust Agreement on account of Allowed Administrative Claims, Priority Claims, Professional Compensation Claims, or otherwise.\n\n45. \"*Distributions*\" means the distributions of Cash to be made to Holders of Allowed Claims, Priority Liquidating Trust Assets, and Subordinated Liquidating Trust Assets in accordance with the Plan.\n\n46. *\"Distribution Date\"* means the Initial Distribution Date and any Subsequent Distribution Date.\n\n47. \"*Effective Date*\" means the date established pursuant to Article VIII of the Plan.\n\n48. \"*Entity*\" has the meaning set forth in Section 101(15) of the Bankruptcy Code.\n\n49. \"*Estate*\" means the estate of the Debtor created on the Petition Date by Section 541 of the Bankruptcy Code.\n\n50. \"*Exculpated Parties*\" means, collectively, (a) the Debtor, (c) the Committee and each of its members solely in such capacity, (d) any chapter 11 trustee and/or examiner appointed in the Chapter 11 Case, and (e) each of the respective professionals of the foregoing that served in such capacities at any time between the Petition Date and the Effective Date.\n\n51. \"*Executory Contract*\" means a contract or lease to which one or more of the Debtor is a party that is subject to assumption or rejection under sections 365 or 1123 of the Bankruptcy Code.\n\n52. \"*File*\" or \"*Filed*\" means, with respect to any pleading, entered on the docket of the Chapter 11 Case and properly served in accordance with the Bankruptcy Rules.\n\n53. *\"Final Certification\"* means a Filing by the Creditor Trust with the Bankruptcy Court (a) certifying that all distributions on Allowed Claims have been made, and (b) certifying that the Creditor Trust's duties have all been completed.\n\n54. \"*Final Order*\" means an order or judgment of the Bankruptcy Court, or other court of competent jurisdiction with respect to the subject matter, which has not been reversed, stayed, modified or amended, and as to which the time to appeal, petition for certiorari or move for reargument or rehearing has expired and no appeal or petition for certiorari has been timely taken, or as to which any appeal that has been taken or any petition for certiorari that has been or may be filed has been resolved by the highest court to which the order or judgment was appealed or from which certiorari was sought or has otherwise been dismissed with prejudice.\n\n55. \"*General Bar Date Order\"* means the *Order Establishing Deadlines for Filing Proofs of Claim and Approving Form and Manner of Notice Thereof* [Docket No. ] and any other and further order(s) entered by the Court establishing the bar dates for filing proofs of claim and granting related relief and implementing related procedures.\n\n56. \"*General Bar Date\"* means the date established in the General Bar Date Order as the deadline for the filing of proofs of claim other than claims of Government Units or claims otherwise subject to specific timing restrictions and claims arising under section 503(b)(9) of the Bankruptcy Code.\n\n57. \"*General Unsecured Claims\"* means Unsecured Litigation Claims and Unsecured Trade Claims.\n\n58. \"*Golden Spring*\" means Golden Spring (New York) Ltd.\n\n59. \"*Governmental Unit Bar Date\"* means the date established in the General Bar Date Order as the deadline for the filing of proofs of claim by and for each and every Governmental Unit.\n\n60. *\"Governmental Unit\"* has the meaning set forth in Section 101(27) of the Bankruptcy Code. Av\n\n61. \"*HK USA*\" means HK International Funds Investments (USA) Limited, LLC, an entity with a registered address of 203 NE Front Street, Suite 101, Milford, DE 19963.\n\n62. \"*Holders*\" means holders of Allowed Claims entitled to receive Distributions from the Reorganized Debtor under the Plan, whether or not such Claims were Allowed Claims on the Effective Date.\n\n63. \"*Impaired*\" means, with respect to a Claim, or Class of Claims, \"impaired\" within the meaning of Sections 1123(a)(4) and 1124 of the Bankruptcy Code.\n\n64. \"*Initial Distribution Date*\" means the date on which the Creditor Trust shall make its initial Distribution, which shall be a date selected by the Creditor Trustee.\n\n65. \"*Insider*\" has the meaning ascribed to such term under section 101(31) of the Bankruptcy Code.\n\n66. \"*Lamp*\" means Lamp, LLC.\n\n67. \"*Litigation Funding Claims*\" means the Claims held by Golden Spring and Lamp, including but not limited to any DIP Facility Claims.\n\n68. \"*Net Proceeds*\" means any amounts collected by the Reorganized Debtor from any disposition of any property, after payment of all reasonable and customary costs and expenses associated therewith which may be required to be paid under applicable law or agreement to effectuate the receipt of such proceeds, including, without limitation, any reasonable attorney fees not otherwise paid under the Plan as an Administrative Claim.\n\n69. \"*Noticing Agent*\" means Stretto, Inc.\n\n70. \"*Other Secured Claim*\" means any Secured Claim that is not a Litigation Funding Claim.\n\n71. *\"Person\"* has the meaning ascribed to such term in Bankruptcy Code Section 101(41).\n\n72. \"*Petition Date*\" means February 15, 2022, the date on which the Debtor Filed the Chapter 11 Case.\n\n73. \"*Plan*\" means this plan under chapter 11 of the Bankruptcy Code, either in its present form or as it may be altered, amended, modified or supplemented from time to time in accordance with the Bankruptcy Code, the Bankruptcy Rules or herewith, as the case may be, and the Plan Supplement, which is incorporated herein by reference.\n\n74. *\"Plan Funders\"* means Golden Spring and HK USA.\n\n75. *\"Plan Funder Related Parties\"* means all individuals and entities affiliated with the Plan Funders and shall include, for the avoidance of doubt, the parties identified in Exhibit [●] to this Plan (as may be further amended or supplemented by the Plan Supplement).\n\n76. *\"Plan Funder Released Claims*\" means any and all claims, obligations, suits, judgments, damages, demands, debts, rights, causes of action, and liabilities whatsoever against the Plan Funder in connection with or in any way relating to the DIP Facility, the Disclosure Statement or the Plan (other than the rights of the Debtor, the Reorganized Debtor or the Creditor Trust to enforce the obligations under the Confirmation Order and the Plan and the contracts, instruments, releases, and other agreements or documents delivered thereunder), whether liquidated or unliquidated, fixed or contingent, matured or unmatured, known or unknown, foreseen or unforeseen, then existing or thereafter arising, in law, equity, or otherwise, whether for tort, contract, violation of federal or state securities or other law, that are based in whole or part on any act, omission, transaction, event, or other occurrence taking place on or prior to the Effective Date.\n\n77. \"*Plan Supplement*\" means the compilation of documents and forms of documents, schedules and exhibits to the Plan, as the same may be altered, amended, modified, or supplemented.\n\n78. \"*Plan Supplement Filing Date*\" means the date that is (A) at least six calendar days prior to (1) the Voting Deadline and (2) the date on which objections to Confirmation are due, or (B) such other date as may be determined by order of the Bankruptcy Court.\n\n79. *\"Priority Claims\"* means Priority Non-Tax Claims and Priority Tax Claims.\n\n80. \"*Priority Non-Tax Claims*\" means Claims or portions thereof entitled to priority in payment pursuant to Sections 507(a)(4), 507(a)(5), 507(a)(7) or 507(a)(9) of the Bankruptcy Code, in any case to the greatest extent permitted.\n\n81. \"*Priority Tax Claims*\" means Claims of Governmental Units of the kind specified in Section 507(a)(8) of the Bankruptcy Code.\n\n82. \"*Pro Rata Share*\" means, as to a particular holder of a particular Claim, the ratio that the amount of such Claim held by such claimholder bears to the aggregate amount of all Claims in the particular Class or category. Such ratio shall be calculated as if all Claims in the particular Class or category asserted against all Debtor are Allowed Claims as of the Effective Date, unless specifically provided otherwise in the Plan.\n\n83. \"*Professional*\" means (a) any Entity employed pursuant to a Final Order in accordance with Sections 327, 328, or 1103 of the Bankruptcy Code, and to be compensated for services rendered and expenses incurred pursuant to Sections 327, 328, 329, 330, or 331 of the Bankruptcy Code; and (b) ordinary course Professionals that were retained with permission of the Court.\n\n84. \"*Professional Compensation Claim*\" means a Claim of a Professional for professional services rendered or costs incurred on or after the Petition Date. For the avoidance of doubt, Professional Compensation Claims may include Claims of Professionals for services estimated to be provided through and including the Effective Date.\n\n85. \"*Professional Claims Bar Date*\" means 5:00 p.m. (Prevailing Eastern Time) on the date that is the first Business Day after the date that is forty-five (45) days after the Effective Date.\n\n86. \"*Record Date*\" means the record date for determining the entitlement of Holders to receive Distributions under the Plan on account of Allowed Claims which shall be five (5) Business Days prior to the Confirmation Date.\n\n87. *\"Related Parties\"* means, with respect to any party, its Affiliates, its and its Affiliates' predecessors, successors and assigns, subsidiaries, managed accounts or funds, current and former directors, principals, managers, officers, and equity interest holders (whether such interests are held directly or indirectly), equity interest holders' Affiliates, spouses, trusts, assigns, heirs, beneficiaries, members, partners, current and former employees, advisors, accountants, representatives, attorneys, and other professionals, each in their capacity as such.\n\n88. *\"Related Parties Released Claims\"* means any and all claims, obligations, suits, judgments, damages, demands, debts, rights, causes of action, and liabilities whatsoever against the Plan Funders and Plan Funder Related Parties in connection with or in any way relating to the Debtor and his Chapter 11 Case (other than the rights of the Debtor, the Reorganized Debtor or the Creditor Trust to enforce the obligations under the Confirmation Order and the Plan and the contracts, instruments, releases, and other agreements or documents delivered thereunder), whether liquidated or unliquidated, fixed or contingent, matured or unmatured, known or unknown, foreseen or unforeseen, then existing or thereafter arising, in law, equity, or otherwise, whether for tort, contract, violation of federal or state securities or other law, that are based in whole or part on any act, omission, transaction, event, or other occurrence taking place on or prior to the Effective Date.\n\n89. \"*Released Claims*\" means any and all claims, obligations, suits, judgments, damages, demands, debts, rights, causes of action, and liabilities whatsoever in connection with or in any way relating to the Debtor, the conduct of the Debtor, the Chapter 11 Case, the Disclosure Statement or the Plan (other than the rights of the Debtor, the Committee, the Creditor Trust or a creditor holding an Allowed Claim to enforce the obligations under the Confirmation Order and this Plan and the contracts, instruments, releases, and other agreements or documents delivered thereunder), whether liquidated or unliquidated, fixed or contingent, matured or unmatured, known or unknown, foreseen or unforeseen, then existing or thereafter arising, in law, equity, or otherwise, whether for tort, contract, violation of federal or state securities or other law, that are based in whole or part on any act, omission, transaction, event, or other occurrence taking place on or prior to the Effective Date, including but not limited to the Plan Funder Released Claims and Related Parties Released Claims.\n\n90. \"*Released Parties*\" means, collectively, the Debtor, the Plan Funders, the Plan Funder Related Parties, the Committee and each of its members solely in such capacity, any chapter 11 trustee or examiner appointed in the Chapter 11 Case, and the current and former Representatives of each of the foregoing (each in their capacities as such).\n\n91. *\"Releasing Parties\"* means (A) the Debtor, on behalf of himself and his Estate, (B) the Committee, (C) each holder of an Allowed Unsecured Trade Claim, (D) each Holder of a Claim entitled to treatment pursuant to Art. III.B.3 that makes the Boat Election, and (E) any other holder of a Claim who is entitled to vote to accept or reject the Plan, if (1) such holder votes to accept the Plan, or (2) such holder votes to reject the Plan and is not a Third Party Release Opt Out Creditor.\n\n92. \"*Remaining UC Cash*\" means any UC Cash remaining following satisfaction by the Creditor Trust of all Claims entitled to treatment pursuant to Arts. III.B.3(b)(i) and III.B.4.\n\n93. *\"Retained Causes of Action\"* means any and all Causes of Action belonging to the Debtor or Reorganized Debtor that are not Assigned Causes of Action; *provided, however*, that the Retained Causes of Action shall exclude any (a) Released Claims against Released Parties pursuant to Article IX of this Plan; (b) exculpated rights or Causes of Action against the Exculpated Parties pursuant to Article IX of this Plan; and (c) Boat Ownership Claims.\n\n94. *\"Reorganized Debtor\"* means the Debtor, on and after the Effective Date.\n\n95. \"*Representatives*\" means, with regard to any Entity, its officers, managers, directors, current and former employees, advisors, attorneys, professionals, accountants, investment bankers, financial advisors, consultants and agents, each in their capacities as such. For purposes of this definition, the term \"manager\" shall mean the manager of a board of managers of a limited liability company.\n\n96. \"*Residual Interest*\" means the interest of the Debtor in the Creditor Trust Estate Assets after satisfaction of all Claims in accordance with the terms of this Plan.\n\n97. \"*Schedules*\" means the *Schedules of Assets and Liabilities and Statement of Financial Affairs*, filed on March 9, 2022, as may be amended or supplemented.\n\n98. \"*Secured Claim*\" means a Claim that is secured (i) by a lien that is valid, perfected and enforceable under the Bankruptcy Code or applicable non-bankruptcy law or by reason of a Final Order; or (ii) as a result of rights of setoff under Section 553 of the Bankruptcy Code, but in any event only to the extent of the value, determined in accordance with Section 506(a) of the Bankruptcy Code, of the holder's interest in the Estate's interest in such property or to the extent of the amount subject to such setoff, as the case may be.\n\n99. \"*Subsequent Distribution Date*\" means the date(s) following the Initial Distribution Date on which the Creditor Trust shall make one or more Distribution(s), which date(s) shall be selected by the Creditor Trustee in his or her business judgment.\n\n100. *\"Taxing Authority\"* means any Governmental Unit responsible for the assessment, accounting and/or collection of tax revenues, including but not limited to the Texas Comptroller of Public Accounts, Revenue Accounting Division.\n\n101.\"*Third Party Release Opt Out Creditor*\" means a creditor which has voted to reject this Plan and affirmatively opted out of providing the releases of the Plan Funder or the Plan Funder Related Parties set forth in Article IX of this Plan on the ballot used to solicit votes to accept or reject the Plan.\n\n102.\"*U.S. Trustee*\" means the United States Trustee for Region 2.\n\n103.*\"Unexpired Lease*\" means a lease to which one or more of the Debtor is a party that is subject to assumption or rejection under sections 365 or 1123 of the Bankruptcy Code, if any.\n\n104.\"*Unimpaired*\" means, with respect to a Claim, or Class of Claims, not \"impaired\" within the meaning of Sections 1123(a)(4) and 1124 of the Bankruptcy Code.\n\n105.\"*Unsecured Litigation Claim*\" means a claim which arose prior to the Petition Date which (a) is not entitled to priority under section 507 of the Bankruptcy Code, (b) is not a Secured Claim, (c) is not a Litigation Funding Claim, (d) is not an Unsecured Trade Claim, and (e) arises under, or is related to, any pending or threatened litigation against the Debtor as of the Petition Date.\n\n106.\"*Unsecured Trade Claim*\" means an claim which (a) is not entitled to priority under section 507 of the Bankruptcy Code (b) is not a Secured Claim, (c) is not a Litigation Funding Claim, and (d) is not an Unsecured Litigation Claim; *provided, however*, an Unsecured Trade Claim shall include the pre-Petition Date Claims held by a provider of goods or services engaged by the Debtor in connection with any litigation asserted by or against the Debtor; *provided further, however,* that to receive the treatment afforded an Unsecured Trade Claim, the Holder of any such Claim must agree to (x) become a Releasing Party as defined herein and (y) provide the Debtor with trade credit terms at least as favorable as those provided to the Debtor within the 90 days prior to the Petition Date. Any Holder of a potential Unsecured Trade Claim that declines to provide such releases and trade credit terms shall, instead, have its Claim treated as a Class 3 Unsecured Litigation Claim.\n\n107.\"*UC Cash*\" means Cash contributed by the Plan Funder to the Creditor Trust in an amount sufficient to satisfy the all Claims entitled to treatment pursuant to Art. III.B.3(b)(ii) or III.B.4.\n\n# <span id=\"page-12-0\"></span>B. *Rules of Interpretation*\n\n1. For purposes herein: (a) in the appropriate context, each term, whether stated in the singular or the plural, shall include both the singular and the plural, and pronouns stated in the masculine, feminine or neutral gender shall include the masculine, feminine and the neutral gender; (b) any reference herein to a contract, instrument, release, or other agreement or document being in a particular form or on particular terms and conditions means that the referenced document shall be substantially in that form or substantially on those terms and conditions; (c) any reference herein to an existing document or exhibit having been Filed or to be Filed shall mean that document or exhibit, as it may thereafter be amended, modified or supplemented; (d) unless otherwise specified, all references herein to \"Articles\" are references to Articles hereof or hereto; (e) the words ''herein,'' \"hereof\" and ''hereto'' refer to the Plan in its entirety rather than to a particular portion of the Plan; (f) captions and headings of Articles are inserted for convenience of reference only and are not intended to be a part of or to affect the interpretation hereof; (g) the rules of construction set forth in Section 102 of the Bankruptcy Code shall apply; and (h) any term used in capitalized form herein that is not otherwise defined but that is used in the Bankruptcy Code or the Bankruptcy Rules shall have the meaning assigned to that term in the Bankruptcy Code or the Bankruptcy Rules, as the case may be.\n\n2. The provisions of Fed. R. Bankr. P. 9006(a) shall apply in computing any period of time prescribed or allowed hereby.\n\n3. All references herein to monetary figures shall refer to currency of the United States of America, unless otherwise expressly provided.\n\n4. To the extent of any inconsistency between this Plan and the Disclosure Statement filed in connection herewith, the Plan Supplement or any component thereof, or the Debtor Organizational Documents, the Plan shall control.\n\n# <span id=\"page-13-0\"></span>C. *Exhibits*\n\nAll exhibits to this Plan will be included with the Plan Supplement, which will be Filed in substantially final form with the Bankruptcy Court no later than ten (10) calendar days prior to the deadline to vote to accept or reject the Plan. The Plan Supplement shall be available for inspection (i) at the Office of the Clerk of the Bankruptcy Court, or (ii) at htt or (iii) from the Noticing Agent website at http or (iv) additionally, interested parties may also obtain a copy of the Plan Supplement (including all exhibits contained therein), once filed, from the Debtor by a written request sent to: Brown Rudnick LLP, 7 Times Square, 47th Fl., New York, NY 10036, Attn: Alexandra Deering, Paralegal.\n\n#### **ARTICLE II**\n\n#### **UNCLASSIFIED CLAIMS**\n\n<span id=\"page-13-1\"></span>In accordance with section 1123(a)(1) of the Bankruptcy Code, Administrative Claims and Priority Tax Claims have not been classified and thus are excluded from the Classes of Claims set forth in Article III.\n\n#### <span id=\"page-13-2\"></span>A. *Administrative Claims*\n\nSubject to the provisions of Sections 328, 330(a), and 331 of the Bankruptcy Code, the Debtor or the Creditor Trust after the Effective Date, as applicable, shall pay each holder of an Allowed Administrative Claim the full unpaid amount of such Allowed Administrative Claim in Cash: (i) on the Effective Date or as soon as practicable thereafter (or, if not then due, when such Allowed Administrative Claim is due or as soon as practicable thereafter); (ii) if such Claim is Allowed after the Effective Date, on the date such Claim is Allowed or as soon as practicable thereafter (or, if not then due, when such Allowed Administrative Claim is due); (iii) at such time and upon such terms as may be agreed upon by such holder and the Debtor or the Reorganized Debtor, as applicable; or (iv) at such time and upon such terms as set forth in an order of the Bankruptcy Court; *provided*, *however*, that the U.S. Trustee shall not be required to file a request for payment of fees and charges assessed against the Estates under 28 U.S.C. §1930 before the applicable Administrative Bar Date.\n\n# <span id=\"page-13-3\"></span>B. *Professional Compensation Claims*\n\n1. The Bankruptcy Court shall fix in the Confirmation Order a deadline for filing all Professional Compensation Claims with respect to services provided prior to the Effective Date, which deadline may be extended for one or more Professionals by agreement of the Reorganized Debtor. Any Professional Compensation Claim not Filed by the Professional Claims Bar Date shall be deemed disallowed under this Plan and shall be forever barred against the Estates, the Reorganized Debtor, the Creditor Trust or any other property held or maintained by the Reorganized Debtor or the Creditor Trust, and the holder thereof shall be enjoined from commencing or continuing any action, employment of process or act to collect, offset, recoup or recover such Claim. Subject to the provisions of Sections 328, 330(a), and 331 of the Bankruptcy Code, the Debtor or the Creditor Trust after the Effective Date, as applicable, shall pay each holder of an Allowed Professional Compensation Claim the full unpaid amount of such Allowed Professional Compensation Claim in Cash no later than five (5) Business Days after the date that such Claim is Allowed by order entered by the Bankruptcy Court, notwithstanding any pending appeal or request for stay or reconsideration of such order.\n\n2. From and after the Effective Date, (a) the Reorganized Debtor shall, in the ordinary course of business and without any further notice or application to or action, order, or approval of the Bankruptcy Court, pay in Cash the reasonable legal, professional, or other fees and expenses related to the implementation of the Plan incurred on or after the Effective Date by the Reorganized Debtor, *provided that*, such fees and expenses shall not be paid or payable from the Administrative and Priority Claims Reserve; and (b) the Creditor Trust shall, without any further notice or application to or action, order, or approval of the Bankruptcy Court, pay in Cash the reasonable legal, professional, or other fees and expenses related to the implementation of the Plan incurred on or after the Effective Date by the Creditor Trust. Upon the Effective Date, any requirement that Professionals comply with sections 327 through 331, 363, and 1103 of the Bankruptcy Code and Local Bankruptcy Rules, or any order of the Bankruptcy Court in seeking retention or compensation for services rendered after such date shall terminate, and the Reorganized Debtor and Creditor Trust may employ and pay any Professional in the ordinary course of business without any further notice to or action, order, or approval of the Bankruptcy Court in accordance with the terms of this Article II.B.2.\n\n# <span id=\"page-14-0\"></span>C. *Priority Tax Claims*\n\nExcept to the extent that each Holder of an Allowed Priority Tax Claim agrees to a less favorable treatment, in exchange for full and final satisfaction, settlement, release, and discharge of each Allowed Priority Tax Claim, each Holder of an Allowed Priority Tax Claim due and payable on or prior to the Effective Date shall receive, as soon as reasonably practicable after the Effective Date, on account of such Claim: (1) Cash in an amount equal to the amount of such Allowed Priority Tax Claim; (2) Cash in an amount agreed to by the applicable Debtor or Creditor Trust, as applicable, and such Holder; provided, however, that such parties may further agree for the payment of such Allowed Priority Tax Claim at a later date; or (3) at the option of the Debtor or Creditor Trust, as applicable, Cash in an aggregate amount of such Allowed Priority Claim payable in installment payments over a period not more than five years after the Petition Date, pursuant to section 1129(a)(9)(C) of the Bankruptcy Code. To the extent any Allowed Priority Tax Claim is not due and owing on or before the Effective Date, such Claim shall be paid by the Reorganized Debtor in full in Cash in accordance with the terms of any agreement between the Debtor and such Holder, or as may be due and payable under applicable non-bankruptcy law or in the ordinary course of business. To the extent the Debtor or Reorganized Debtor receive any refund from a Taxing Authority relating to a period preceding the Effective Date, such refund shall be applied against the outstanding Priority Tax Claims, if any, filed by the Taxing Authority from which such refund is due, and any remaining refund from a Taxing Authority shall be transferred to the Reorganized Debtor.\n\n#### <span id=\"page-14-1\"></span>D. *United States Trustee Statutory Fees*\n\nThe Debtor and the Reorganized Debtor, as applicable, shall pay all United States Trustee quarterly fees under 28 U.S.C § 1930(a)(6), plus any interest due and payable under 31 U.S.C. § 3717 on all disbursements, including Plan payments and disbursements in and outside the ordinary course of the Debtor's or Reorganized Debtor's business, for each quarter (including any fraction thereof) until the Chapter 11 Case are converted, dismissed, or closed, whichever occurs first.\n\n#### **ARTICLE III**\n\n#### **CLASSIFICATION AND TREATMENT OF CLAIMS**\n\n#### <span id=\"page-14-3\"></span><span id=\"page-14-2\"></span>A. *Summary*\n\n1. In accordance with Section 1123(a)(1) of the Bankruptcy Code, the Debtor has not classified Administrative Claims, Professional Compensation Claims, United States Trustee fees and Priority Tax Claims, as described in Article II. Accordingly, except for such Claims, all Claims are placed in Classes as set forth below.\n\n2. The following table classifies Claims against the Debtor for all purposes, including voting, confirmation and Distribution pursuant hereto and pursuant to Sections 1122 and 1123(a)(1) of the Bankruptcy Code. The Plan deems a Claim to be classified in a particular Class only to the extent that the Claim qualifies within the description of that Class and shall be deemed classified in a different Class to the extent that any remainder of such Claim qualifies within the description of such different Class. Other Secured Claims (Class 1)\n\n(a) *Classification*: Class 1 consists of Other Secured Claims.\n\n(b) *Treatment*: Unless otherwise mutually agreed upon by the holder of an Allowed Other Secured Claim and the Debtor or Creditor Trust, as applicable, on the later of the Effective Date and the date such Other Secured Claim becomes Allowed, or as soon thereafter as is practicable, the Creditor Trust shall, at the Creditor Trust's sole and exclusive election and to the extent applicable, in full and final satisfaction of such Other Secured Claim, do one of the following:\n\n(i) Deliver to the holder of such Claim the collateral securing such Allowed Other Secured Claim;\n\n(ii) Pay to the holder of such Claim Cash in an amount equal to the value of such collateral; or\n\n(iii) Provide such other treatment that renders such Allowed Other Secured Claim Unimpaired.\n\n(c) *Voting*: Class 1 is Unimpaired, and each holder of an Other Secured Claim is conclusively deemed to have accepted the Plan and, therefore, is not entitled to vote on the Plan.\n\n- 2. Priority Non-Tax Claims (Class 2)\n\t- (a) *Classification*: Class 2 consists of Priority Non-Tax Claims.\n\n(b) *Treatment:* Unless otherwise mutually agreed upon by the holder of an Allowed Class 2 Priority Non-Tax Claim and the Debtor or Creditor Trust, as applicable, on the later of the Effective Date and the date such Allowed Priority Non-Tax Claim becomes Allowed, or as soon thereafter as is practicable, the Creditor Trust shall pay to each holder of an Allowed Class 2 Priority Non-Tax Claim the full amount of such Allowed Class 2 Priority Non-Tax Claim in Cash in full and final satisfaction of such Allowed Priority Non-Tax Claim.\n\n(c) *Voting*: Class 2 is Unimpaired, and each holder of a Class 2 Priority Non-Tax Claim is conclusively deemed to have accepted the Plan and, therefore, is not entitled to vote on the Plan.\n\n- 3. Unsecured Litigation Claims (Class 3)\n\t- (a) *Classification*: Class 3 consists of Unsecured Litigation Claims.\n\n(b) *Treatment*: Holders of Allowed Unsecured Litigation Claims may elect between the following mutually exclusive treatment options:\n\n(i) On or as soon as practicable after the Initial Distribution Date and/or any Subsequent Distribution Date, the Creditor Trust shall pay to the Holder, in full and final satisfaction of such Allowed Unsecured Litigation Claim, an amount of Cash equal to ten percent (10%) of the allowed amount of such claim;\n\n(ii) On or as soon as practicable after the Initial Distribution Date and/or any Subsequent Distribution Date, the Creditor Trust shall pay to the Holder, in full and final satisfaction of such Allowed Unsecured Litigation Claim, its Pro Rata share of the Remaining Creditor Trust Estate Assets; *provided that* prior to the voting record date on the Plan, such Holder shall indicate its preference to make, or not make, the Boat Election.\n\n(c) *Voting*: Class 3 is Impaired, and holders of Unsecured Litigation Claims are entitled to vote to accept or reject the Plan.\n\n4. Unsecured Trade Claims (Class 4)\n\n(a) *Classification*: Class 4 consists of Unsecured Trade Claims.\n\n(b) *Treatment*: On or as soon as practicable after the Initial Distribution Date and/or any Subsequent Distribution Date, the Creditor Trust shall pay each Holder of an Allowed Unsecured Trade Claim, in full and final satisfaction of such Allowed Unsecured Trade Claim, an amount of Cash equal to ten percent (10%) of the allowed amount of such Claim.\n\n(c) *Voting*: Class 4 is Impaired, and holders of Unsecured Trade Claims are entitled to vote to accept or reject the Plan.\n\n- 5. Litigation Funding Claims (Class 5)\n\t- (a) *Classification*: Class 5 consists of the Litigation Funding Claims.\n\n(b) *Treatment*: The Holders of the Class 5 Litigation Funding Claims shall receive the Subordinated Liquidating Trust Interests in satisfaction of such Class 5 Family Office Claims; *provided, however*, no distribution shall be made on account of a Class 5 Litigation Funding Claim in excess of the Allowed Amount of such Claim.\n\n(c) *Voting*: Class 5 is Impaired, and the holders of the Litigation Funding Claims are entitled to vote to accept or reject the Plan. To the extent the Holder of a Litigation Funding Claim is an Insider of the Debtor, the vote by such Holder shall not be considered for purposes of satisfaction of section 1129(a)(10) of the Bankruptcy Code.\n\n# <span id=\"page-16-0\"></span>C. *Elimination of Vacant Classes*\n\nAny Class of Claims that does not contain, as of the Confirmation Date, a Holder of an Allowed Claim, or a Holder of a Claim temporarily allowed under Bankruptcy Rule 3018, shall be deemed deleted from the Plan for all purposes, including for purposes of determining acceptance of the Plan by such Class under Section 1129(a)(8) of the Bankruptcy Code.\n\n#### <span id=\"page-16-1\"></span>D. *Allocation of Distributions Between Principal and Interest*\n\nFor Distributions in respect of Allowed Claims, to the extent that any such Claim entitled to a Distribution under the Plan is comprised of indebtedness and accrued but unpaid interest thereon, such Distribution shall be allocated to the principal amount (as determined for federal income tax purposes) of the Claim first, and then to the extent the consideration exceeds the principal amount of the Claim, to accrued but unpaid interest.\n\n#### <span id=\"page-16-2\"></span>E. *Special Provision Governing Unimpaired Claims*\n\nExcept as otherwise provided in the Plan, nothing under the Plan shall affect the rights of the Creditor Trust and/or Reorganized Debtor in respect of any Unimpaired Claim, including, without limitation, all rights in respect of legal and equitable defenses to or setoffs or recoupments against any such Unimpaired Claim.\n\n# <span id=\"page-17-0\"></span>F. *Non-Consensual Confirmation*\n\nThe Debtor reserve the right to seek confirmation of the Plan under Section 1129(b) of the Bankruptcy Code. To the extent that any Class votes to reject the Plan, the Debtor further reserve the right to modify the Plan in accordance with Article XI.A.\n\n# **ARTICLE IV**\n\n# **MEANS FOR IMPLEMENTATION OF THE PLAN**\n\n#### <span id=\"page-17-2\"></span><span id=\"page-17-1\"></span>A. *General Settlement of Claims*\n\nAs discussed further in the Disclosure Statement and as otherwise provided herein, pursuant to section 1123 of the Bankruptcy Code and Bankruptcy Rule 9019, and in consideration for the classification, distributions, releases, and other benefits provided under the Plan, upon the Effective Date, the provisions of the Plan shall constitute a good faith compromise and settlement of all Claims and controversies resolved pursuant to the Plan. Distributions made to Holders of Allowed Claims in any Class are intended to be final.\n\n#### <span id=\"page-17-3\"></span>B. *Restructuring Transactions*\n\nOn the Effective Date or as soon as reasonably practicable thereafter, the Reorganized Debtor, Plan Funders and Creditor Trust may take all actions as may be necessary or appropriate to effect any transaction described in, approved by, contemplated by or necessary to effectuate the Plan, including the execution, filing, and/or performance upon all documents filed with the Plan Supplement, and further including but not limited to: (1) the execution and delivery of appropriate agreements or other documents containing terms that are consistent with the terms of the Plan and that satisfy the requirements of applicable law, including but not limited to any documentation related to the Creditor Trust Agreement; (2) the execution and delivery of appropriate instruments of transfer, assignment, assumption, or delegation of any property, right, liability, duty, or obligation on terms consistent with the terms of the Plan; and (3) all other actions that the Reorganized Debtor and Creditor Trust, as applicable, determine are necessary or appropriate.\n\n#### <span id=\"page-17-4\"></span>C. *The Reorganized Debtor*\n\n1. Except as otherwise provided in the Plan or any agreement, instrument, or other document incorporated herein, on the Effective Date, (a) all Creditor Trust Estate Assets shall vest in the Creditor Trust and (b) all property of the Estate which is not a Creditor Trust Estate Asset, including Retained Causes of Action, shall vest in the Reorganized Debtor, free and clear of all Liens, Claims, charges, or other encumbrances. On and after the Effective Date, except as otherwise provided in the Plan, the Reorganized Debtor may use, acquire, or dispose of property without supervision or approval by the Bankruptcy Court and free of any restrictions of the Bankruptcy Code or Bankruptcy Rules.\n\n2. At such times and on such terms as reasonably convenient to the Creditor Trust and the Reorganized Debtor, at the expense of the Creditor Trust, the Reorganized Debtor shall provide to the Creditor Trust timely access to the Debtor's books and records (subject to the Reorganized Debtor's power to preserve any Debtor Privilege), if any, and shall otherwise cooperate with the Creditor Trust in fulfillment of the Creditor Trust's duties as described further herein.\n\n3. All Debtor Privileges shall automatically vest in the Reorganized Debtor and his Representatives.\n\n4. The Creditor Trustee shall (i) be the beneficiary of Debtor Privileges and (ii) be entitled to assert all Debtor Privileges, in either case solely to the extent such Debtor Privileges relate to the Assigned Causes of Action or Assigned Claims Objections. To the extent necessary for the Creditor Trustee to act in accordance with the terms of the Plan and Creditor Trust Agreement, Debtor Privileges shall be extended to the Creditor Trustee, without waiver or release. No Debtor Privilege shall be waived by disclosure to the Creditor Trustee of the Debtor's documents, information or communications subject to attorney-client privileges, work product protections or immunities or protections from disclosure held by the Debtor. For the avoidance of doubt, the Creditor Trustee shall not have any rights or ability to waive any privilege of the Reorganized Debtor, either intentionally or inadvertently. The foregoing shall not operate as a waiver or other impairment of other privileges possessed or retained by the Debtor.\n\n5. Upon the satisfaction of all Claims against the Debtor, the Creditor Trust shall transfer all remaining Creditor Trust Estate Assets to the Reorganized Debtor on account of the Debtor's Residual Interest in such assets. Upon such transfer, all Assigned Causes of Action shall be deemed Retained Causes of Action and shall vest with the Reorganized Debtor in accordance with paragraph Art. IV.C.1, above and Art. IV.J, below.\n\n#### <span id=\"page-18-0\"></span>D. *Creditor Trust*\n\n1. Appointments.\n\n(a) On and after the Effective Date, the initial Creditor Trustee shall become and serve as Creditor Trustee. The Creditor Trustee will receive compensation and reimbursement of reasonable expenses, as shall be specifically set forth in the Creditor Trust Agreement. The Creditor Trustee shall not be required to file a fee application to receive compensation.\n\n(b) The Creditor Trustee will be a disinterested Person designated by the Debtor in the Plan Supplement.\n\n(c) The Creditor Trustee shall carry out the duties as set forth in this Article IV.D. and in the Creditor Trust Agreement. Pursuant to Bankruptcy Code § 1123(b)(3), the Creditor Trustee shall be deemed the appointed representative to, and may pursue, litigate, and compromise and settle the Assigned Causes of Action and Assigned Claims Objections in accordance with the best interests of and for the benefit of the Creditor Trust's Beneficiaries.\n\n(d) The Creditor Trustee shall have the power and authority to perform the acts described in the Creditor Trust Agreement (subject to approval by the Court where applicable), in addition to any powers granted by law or conferred to it by any other provision of the Plan, including without limitation any set forth herein, provided however, that enumeration of the following powers shall not be considered in any way to limit or control the power and authority of the Creditor Trustee to act as specifically authorized by any other provision of this Plan, the Creditor Trust Agreement, and/or any applicable law, and to act in such manner as the Creditor Trustee may deem necessary or appropriate to take any act deemed appropriate by the Creditor Trustee, including, without limitation, to discharge all obligations assumed by the Creditor Trustee or provided herein and to conserve and protect the Creditor Trust or to confer on the creditors the benefits intended to be conferred upon them by this Plan. The Creditor Trustee shall have the power and authority without further approval by the Court to liquidate the CT Assets, to hire and pay professional fees and expenses of counsel and other advisors, to prosecute and settle objections to Disputed Claims, to prosecute and settle any Estate Claims, and otherwise take any action as shall be necessary to administer the cases and effect the closing of the cases, including, without limitation, as follows: (a) the power to invest funds, in accordance with section 345 of the Bankruptcy Code, and withdraw, make Distributions and pay taxes and other obligations owed by the Creditor Trust from funds held by the Creditor Trustee in accordance with this Plan and Creditor Trust Agreement; (b) the power to engage and compensate, without prior Bankruptcy Court order or approval, employees and professionals to assist the Creditor Trustee with respect to his or her responsibilities; (c) the power to pursue, prosecute, resolve and compromise and settle any Assigned Causes of Action on behalf of the Creditor Trust without prior Bankruptcy Court approval but in accordance with the Creditor Trust Agreement; (d) the power to commence the Assigned Claims Objections, including, without limitation, the power to subordinate and recharacterize Claims related to Assigned Causes of Action by objection, motion, or adversary proceeding; and (e) such other powers as may be vested in or assumed by the Creditor Trustee pursuant to this Plan, the Creditor Trust Agreement, Bankruptcy Court order, or as may be necessary and proper to carry out the provisions of this Plan.\n\n(e) Except as expressly set forth in this Plan and in the Creditor Trust Agreement, the Creditor Trustee, on behalf of the Creditor Trust, shall have absolute discretion to pursue or not to pursue any Assigned Cause of Action as it determines is in the best interests of the Creditor Trust's Beneficiaries and consistent with the purposes of the Creditor Trust, and shall have no liability for the outcome of his or her decision, other than those decisions constituting gross negligence or willful misconduct. The Creditor Trustee may incur any reasonable and necessary expenses in liquidating and converting the CT Assets to Cash. Subject to the other terms and provisions of this Plan, the Creditor Trustee shall be granted standing, authority, power and right to assert, prosecute and/or settle the Assigned Causes of Action based upon its powers as a Bankruptcy Court-appointed representative of the Debtor's Estates with the same or similar abilities possessed by insolvency trustees, receivers, examiners, conservators, liquidators, rehabilitators or similar officials.\n\n(f) In the event that the Creditor Trustee resigns, is removed, terminated or otherwise unable to serve as the Creditor Trustee, then a successor shall be appointed as set forth in the Creditor Trust Agreement. Any successor Creditor Trustee appointed shall be bound by and comply with the terms of the Plan, the Confirmation Order and the Creditor Trust Agreement\n\n#### 2. Creation and Governance of the Creditor Trust.\n\n(a) On the Effective Date, the Creditor Trustee shall execute the Creditor Trust Agreement and shall take any other steps necessary to establish the Creditor Trust in accordance with the Plan and the beneficial interests therein. The Creditor Trust Agreement shall contain provisions customary to trust agreements utilized in comparable circumstances, including, without limitation, any and all provisions necessary to ensure the continued treatment of the Creditor Trust as a grantor trust and the Creditor Trust Beneficiaries as the grantors and owners thereof for federal income tax purposes. The Creditor Trust Agreement may provide powers, duties, and authorities in addition to those explicitly stated herein, but only to the extent that such powers, duties, and authorities do not affect the status of the Creditor Trust as a \"liquidating trust\" for United States federal income tax purposes.\n\n(b) Upon establishment of the Creditor Trust, all Creditor Trust Estate Assets shall be deemed transferred to the Creditor Trust on the Effective Date without any further action of any of the Debtor or any employees, agents, advisors, or representatives of the Debtor. The Creditor Trustee shall agree to accept and hold the CT Assets for the benefit of the Creditor Trust Beneficiaries, subject to the terms of the Plan and the Creditor Trust Agreement. The Debtor, the Plan Funders, the Creditor Trustee, the Creditor Trust Beneficiaries, and any party under the control of such parties will execute any documents or other instruments and shall take all other steps as necessary to cause title to the Creditor Trust Estate Assets, the Boat and the UC Cash to be transferred to the Creditor Trust.\n\n(c) For federal income tax purposes, the transfer of the assets to the Creditor Trust will be treated as a taxable sale or other disposition of assets to the Creditor Trust Beneficiaries in exchange for their Claims in the Chapter 11 Case. A Holder of a Claim should in most circumstances recognize gain or loss equal to the difference between the \"amount realized\" received by such Holder in exchange for its Claim and such Holder's adjusted tax basis in the claim. The \"amount realized\" is equal to the sum of the cash and the fair market value of any other consideration received in such exchange. The tax basis of a Holder in a Claim will generally be equal to the holder's cost therefor. To the extent applicable, the character of any recognized gain or loss (that is, ordinary income, or short-term or long-term capital gain or loss) will depend upon the status of the Holder, the nature of the claim in the Holder's hands, the purposes and circumstances of the claim's acquisition, the Holder's holding period of the claim, and the extent to which the holder previously claimed a deduction for the worthlessness of all or a portion of the claim.\n\n(d) For United States federal income tax purposes, all parties (including, without limitation, the Debtor, the Creditor Trustee, and the Creditor Trust Beneficiaries) shall treat the transfer of the Creditor Trust Estate Assets, Boat and UC Cash to the Creditor Trust as (1) a transfer of the Creditor Trust Estate Assets to the Creditor Trust Beneficiaries, followed by (2) the contribution of such assets to the Creditor Trust in exchange for interests therein. As soon as possible after the Effective Date, the Creditor Trustee shall make (or cause to be made) a good faith valuation of the assets of the Creditor Trust, and such valuation shall be used consistently by all parties for United States federal income tax purposes. Accordingly, Creditor Trust Beneficiaries shall be treated for United States federal income tax purposes as the grantors and owners of their respective shares of CT Assets (other than such Creditor Trust Estate Assets as are allocable to Disputed Claims). The foregoing treatment shall also apply, to the extent permitted by applicable law, for state and local income tax purposes.\n\n(e) The Creditor Trustee shall file returns for the Creditor Trust as a grantor trust pursuant to Treasury Regulations section 1.671-4(a) and in accordance with the Plan. The Creditor Trust's taxable income, gain, loss, deduction, or credit will be allocated to each of the Creditor Trust Beneficiaries in accordance with their relative beneficial interests in the Creditor Trust.\n\n(f) Allocations of Creditor Trust taxable income among Creditor Trust Beneficiaries (other than taxable income allocable to any assets allocable to, or retained on account of, Disputed Claims) shall be determined by reference to the manner in which an amount of Cash representing such taxable income would be distributed (were such Cash permitted to be distributed at such time) if, immediately prior to such deemed Distribution, the Creditor Trust had distributed all its assets (valued at their tax book value, other than assets allocable Disputed Claims) to the holders of Creditor Trust Interests, adjusted for prior taxable income and loss and taking into account all prior and concurrent Distributions from the Creditor Trust. Similarly, taxable loss of the Creditor Trust shall be allocated by reference to the manner in which an economic loss would be borne immediately after a hypothetical liquidating distribution of the remaining Creditor Trust Estate Assets. The tax book value of CT Assets for purpose of this paragraph shall equal their fair market value on the date CT Assets are transferred to the Creditor Trust, adjusted in accordance with tax accounting principles prescribed by the IRC, the applicable Treasury Regulations, and other applicable administrative and judicial authorities and pronouncements.\n\n(g) Subject to definitive guidance from the IRS or a court of competent jurisdiction to the contrary, the Creditor Trustee (i) may timely elect to treat any CT Assets allocable to Disputed Claims as a \"disputed ownership fund\" governed by Treas. Reg. § 1.468B-9, and (ii) to the extent permitted by applicable law, shall report consistently for state and local income tax purposes. If a \"disputed ownership fund\" election is made, all parties (including the Creditor Trustee and Creditor Trust Beneficiaries) shall report for United States federal, state and local income tax purposes consistently with the foregoing.\n\n(h) The Creditor Trust shall be responsible for payment, out of Creditor Trust Estate Assets, of any taxes imposed on the Creditor Trust (including any Disputed Claim Reserve) or the Creditor Trust Estate Assets. More particularly, any taxes imposed on any Disputed Claim Reserve or its assets will be paid out of the assets of the Disputed Claim Reserve (including any Creditor Trust Estate Assets allocable to Disputed Claims), and netted against any subsequent distributions in respect of the allowance or disallowance of such Claims.\n\n(i) The Creditor Trust shall be governed by the Creditor Trust Agreement and administered by the Creditor Trustee. The powers, rights, and responsibilities of the Creditor Trustee shall be specified in the Creditor Trust Agreement.\n\n3. Vesting of Creditor Trust Estate Assets. On the Effective Date, the Creditor Trust will automatically be vested with all of the Debtor's and the Estates' respective rights, title, and interest in and to all Creditor Trust Estate Assets, free and clear of all Claims, Liens, encumbrances, charges, and other interests. Upon completion of the transfer of the Creditor Trust Estate Assets to the Creditor Trust, except as otherwise set forth in the Plan or Confirmation Order, the Debtor and Reorganized Debtor will have no further interest in, or with respect to, the Creditor Trust Estate Assets, or the Creditor Trust, other than the Reorganized Debtor's Residual Interest. Likewise, upon completion of such transfer and subject to such exceptions as may be set forth in the Plan or Confirmation Order, the Creditor Trust shall have no rights, title, or interest in or to any property of the Debtor or the Estates other than the Creditor Trust Estate Assets. The Creditor Trust shall hold and distribute the Creditor Trust Estate Assets in accordance with the provisions of the Plan and the Creditor Trust Agreement.\n\n4. Paying Agent. On the Effective Date, the Creditor Trust will receive the UC Cash free and clear of all Claims, Liens, encumbrances, charges, and other interests. The Creditor Trustee shall act as paying agent with respect to Holders of Unsecured Trade Claims and Claims entitled to treatment pursuant to Art. III.B.3(b)(i).\n\n5. Purpose of the Creditor Trust. The Creditor Trust shall be established for the purpose of liquidating and distributing its assets, in accordance with Treasury Regulation section 301.7701-4(d) and as a \"grantor trust\" for federal income tax purposes, pursuant to sections 671 through 679 of the Internal Revenue Code, with no objective to continue or engage in the conduct of a trade or business.\n\n6. Authority. The Creditor Trustee shall have the authority and right on behalf of the Debtor and the Estates and without the need for Bankruptcy Court approval (in each case, unless otherwise provided in the Plan or the Creditor Trust Agreement) to carry out and implement all applicable provisions of the Plan, including to:\n\n(a) Evaluate, file, litigate, settle, or otherwise pursue any of the Assigned Causes of Action;\n\n(b) review, reconcile, compromise, settle, seek to subordinate, or object to Claims related to Assigned Causes of Action, whether filed or scheduled (and regardless of whether they were scheduled as undisputed, noncontingent or liquidated), and resolve such Assigned Claim Objections as set forth in the Plan, free of any restrictions of the Bankruptcy Code or the Bankruptcy Rules;\n\n(c) calculate and make interim and final Distributions under the Plan;\n\n(d) calculate and establish a Disputed Claims Reserve under and in accordance with the Plan and Creditor Trust Agreement;\n\n(e) retain, compensate, and employ professionals and other Persons to represent the Creditor Trustee with respect to and in connection with its rights and responsibilities;\n\n(f) establish, maintain, and administer documents and accounts as appropriate, which shall be segregated to the extent appropriate in accordance with the Plan;\n\n(g) maintain, conserve, collect, settle, manage, invest, enforce and protect the CT Assets, including all rights and remedies thereunder, arising therefrom or associated therewith;\n\n(h) sell, liquidate, transfer, assign, distribute, abandon, or otherwise dispose of the CT Assets or any part thereof or interest therein upon such terms as the Creditor Trustee determines to be necessary, appropriate, or desirable;\n\n(i) negotiate, incur, and pay the expenses of the Creditor Trust;\n\n(j) prepare and file any and all tax and informational returns, reports, statements, returns, and other documents or disclosures relating to the Debtor that are required under the Plan, by any governmental unit, or by applicable law;\n\n(k) compile and maintain the official claims register, including for purposes of making initial and subsequent Distributions under the Plan;\n\n(l) remit to Golden Spring any Remaining UC Cash following satisfaction of Claims entitled to treatment pursuant to Arts. III.B.3(b)(i) and III.B.4;\n\n(m) request and obtain access to the books and records of the Debtor (excluding any items which may implicate any Debtor Privileges that are unrelated to the Assigned Causes of Action);\n\n(n) invest Cash (including any earnings thereon or proceeds therefrom) as permitted by section 345 of the Bankruptcy Code; provided, however, that such investments are investments permitted to be made by a liquidating trust within the meaning of Treasury Regulation section 301.7701-4(d), as reflected therein, or under applicable IRS guidelines, rulings or other controlling authorities\n\n- (o) destroy records of the Creditor Trust;\n- (p) wind up the affairs of the Creditor Trust and dissolve the Creditor Trust under applicable law;\n\n(q) subject to Art. IV.F.2 and IV.N hereof, close these Chapter 11 Case;\n\n(r) comply with the Plan, exercise the Creditor Trustee's rights, and perform the Creditor Trustee's obligations; and\n\n(s) exercise such other powers as deemed by the Creditor Trustee to be necessary and proper to implement the Plan.\n\n7. Trust Expenses. The Creditor Trustee may, in the ordinary course of business and without the necessity for any application to, or approval of, the Bankruptcy Court, pay any accrued but unpaid actual and necessary fees, costs, expenses and obligations incurred by or owed to the Creditor Trustee and his or her agents, employees, attorneys, advisors and other professionals in administering this Plan and the Creditor Trust, including, without limitation, reasonable compensation for services rendered, and reimbursement for actual and necessary expenses incurred by the Creditor Trustee and his or her agents, employees and professionals after the Effective Date through and including the date upon which the Bankruptcy Court enters a final decree closing the Chapter 11 Case. All such fees, costs, expenses and obligations shall be charged against and paid from the Creditor Trust Estate Assets.\n\n8. Non-Transferability of Creditor Trust Interests. The Creditor Trust Interests shall be non-transferable other than if transferred by will, intestate succession or otherwise by operation of law.\n\n9. Noncertificated Creditor Trust Interests. The beneficial interests in the Creditor Trust shall not be certificated, except as otherwise provided in the Creditor Trust Agreement. To the extent practicable under and not in violation of applicable securities and tax laws, the beneficial interests in the Creditor Trust may be transferable on terms to be detailed in the Creditor Trust Agreement.\n\n10. Dissolution of the Creditor Trust. The Creditor Trustee and the Creditor Trust shall be discharged or dissolved, as the case may be, at such time as (i) all assets of the Creditor Trust have been liquidated and (ii) all distributions required to be made by the Creditor Trustee under the Plan have been made, but in no event shall the Creditor Trust be dissolved later than five (5) years from the Effective Date unless the Bankruptcy Court, upon motion within the six (6) month period prior to the fifth (5th) anniversary (and, in the case of any extension, within six (6) months prior to the end of such extension), determines that a fixed period extension (not to exceed three (3) years, together with any prior extensions, without a favorable letter ruling from the IRS that any further extension would not adversely affect the status of the Creditor Trust as a liquidating trust for federal income tax purposes) is necessary to facilitate or complete the recovery and liquidation of the assets of the Creditor Trust.\n\n11. Securities Exempt. The beneficial interests to be issued to the Creditor Trust Beneficiaries under the Plan are not intended to be \"securities\" under applicable laws, but the Debtor does not represent or warrant that such interests shall not be securities or shall be entitled to exemption from registration under applicable securities laws. If such interests constitute securities, the Debtor intends for the exemption from registration provided by section 1145 of the Bankruptcy Code and under applicable securities laws to apply to their issuance under the Plan.\n\n12. Control Provision. To the extent there is any inconsistency between the Plan, as it relates to the Creditor Trust, and the Creditor Trust Agreement, the Plan shall control.\n\n<span id=\"page-22-0\"></span>E. *Reorganization Transactions and Funding of the Reorganized Debtor and Creditor Trust*\n\n1. Effective Date Transactions\n\nOn the Effective Date, the following actions and transfers shall occur:\n\n(a) All Class 5 Litigation Funding Claims shall be deemed Allowed in the amounts set forth in the Plan Supplement.\n\n(b) The Reorganized Debtor shall enter into the Creditor Trust Agreement.\n\n(c) Golden Spring shall transfer to the Creditor Trust an amount of Cash sufficient to satisfy the Creditor Trust's obligations with respect to all Claims entitled to treatment pursuant to Arts. III.B.3(b)(i) and III.B.4, *provided that* the Creditor Trust shall return to Golden Spring any Remaining UC Cash following satisfaction of all Allowed Claims entitled to such treatment.\n\n(d) The Creditor Trust shall establish and fund the Administrative and Priority Claims Reserve from the Creditor Trust Estate Assets, and the Creditor Trust shall have sole authority to maintain and make Distributions from the Administrative and Priority Claims Reserve.\n\n(e) HK USA shall transfer the Boat to the Creditor Trust.\n\n(f) Following completion of the foregoing, the Reorganized Debtor shall have the right, but not the obligation, to request closure of the Chapter 11 Case.\n\n# 2. Funding of the Creditor Trust\n\nOn the Effective Date, the Plan Funder shall fund, and the Creditor Trust shall establish and thereafter maintain, the Administrative and Priority Claims Reserve. The Plan Funder shall also fund, as applicable and in the appropriate amounts, the UC Cash.\n\n# 3. Administrative and Priority Claims Reserve\n\nOn the Effective Date, the Creditor Trust shall establish the Administrative and Priority Claims Reserve. Funds in the Administrative and Priority Claims Reserve shall be used by the Creditor Trust for the payment of U.S. Trustee Fees and Allowed Administrative Claims, Allowed Priority Claims, and Allowed Professional Compensation Claims, to the extent that such Allowed Claims have not been paid in full on or prior to the Effective Date. Any amounts remaining in the Administrative and Priority Claims Reserve after payment of all Allowed Administrative Claims, Allowed Priority Claims, and Allowed Professional Compensation Claims and U.S. Trustee Fees shall revert to the Creditor Trust.\n\n# <span id=\"page-23-0\"></span>F. *Debtor Remains Debtor-in-Possession Following the Confirmation Date*\n\nThe Debtor shall continue to function as a Debtor in Possession during the period from the Confirmation Date through and until the Effective Date.\n\n# <span id=\"page-23-1\"></span>G. *Establishment of the Administrative Bar Date*\n\n1. The Administrative Bar Date shall be thirty (30) days after the Effective Date.\n\n2. Except as otherwise provided in the Plan or the Confirmation Order, on or before 5:00 p.m. (Prevailing Eastern Time) on the Administrative Bar Date, as applicable, each holder of an Administrative Claim (to the extent such holder has not previously been paid) must File with the Bankruptcy Court a request for payment of such Administrative Claim.\n\n3. Any holder of an Administrative Claim that is required to File a request for payment of such Administrative Claim that does not File such request with the Bankruptcy Court by the Administrative Bar Date, shall be forever barred, estopped, and enjoined from asserting such Administrative Claim against the Debtor, and such Administrative Claim shall be deemed released and discharged as of the Effective Date.\n\n# <span id=\"page-23-2\"></span>H. *Term of Injunctions or Stays*\n\nUnless otherwise provided, all injunctions or stays provided for in the Chapter 11 Case pursuant to Sections 105 or 362 of the Bankruptcy Code, or otherwise, and in existence on the Confirmation Date, shall remain in full force and effect to the extent and for the duration provided in Section 362(c) of the Bankruptcy Code.\n\n# <span id=\"page-23-3\"></span>I. *Effectuating Documents and Transactions*\n\n1. Upon the Effective Date, by virtue of entry of the Confirmation Order, all actions contemplated by the Plan shall be deemed authorized, approved, and, to the extent taken prior to the Effective Date, ratified without any requirement for further action by Holders of Claims, the Debtor, or any other Entity or Person.\n\n2. The Reorganized Debtor is authorized to and may issue, execute, deliver, file, or record such contracts, securities, instruments, releases, and other agreements or documents and take such actions as may be necessary or appropriate to effectuate, implement, and further evidence the terms and conditions of the Plan, without the need for any approvals, authorization, or consents except for those expressly required pursuant to the Plan. The Reorganized Debtor shall be authorized to execute, deliver, File, or record such contracts, instruments, and other agreements or documents and take such other actions as he may deem necessary or appropriate in his reasonable discretion to implement the provisions of this Article IV.I.\n\n3. The authorizations and approvals contemplated by this Article IV.I shall be effective notwithstanding any requirements under applicable non-bankruptcy law.\n\n#### <span id=\"page-24-0\"></span>J. *Preservation of Rights of Action*\n\n1. In accordance with section 1123(b) of the Bankruptcy Code, but subject to the releases set forth in Article IX below, all Retained Causes of Action that the Debtor may hold against any Person or Entity shall vest in the Reorganized Debtor on the Effective Date. Thereafter, the Reorganized Debtor shall have the exclusive right, authority, and discretion to determine and to initiate, file, prosecute, enforce, abandon, settle, compromise, release, withdraw, or litigate to judgment any Retained Causes of Action, whether arising before or after the Petition Date, and to decline to do any of the foregoing without the consent or approval of any third party or further notice to or action, order or approval of the Bankruptcy Court. **No Person may rely on the absence of a specific reference in the Plan, the Plan Supplement or the Disclosure Statement to any specific Retained Cause of Action as any indication that the Debtor or Reorganized Debtor, as applicable, will not pursue any and all available Retained Causes of Action. The Debtor or Reorganized Debtor, as applicable, expressly reserve all rights to prosecute any and all Retained Causes of Action against any Person or Entity, except as otherwise expressly provided in the Plan**, and, therefore no preclusion doctrine, including the doctrines of res judicata, collateral estoppel, issue preclusion, claim preclusion, estoppel (judicial, equitable or otherwise) or laches, shall apply to any Retained Cause of Action upon, after, or as a consequence of the Confirmation or the Effective Date.\n\n2. In accordance with section 1123(b) of the Bankruptcy Code, but subject to the releases set forth in Article IX below, all Assigned Causes of Action that the Debtor may hold against any Person or Entity shall vest in the Creditor Trust on the Effective Date. Thereafter, the Creditor Trust shall have the exclusive right, authority, and discretion to determine and to initiate, file, prosecute, enforce, abandon, settle, compromise, release, withdraw, or litigate to judgment any Assigned Causes of Action, whether arising before or after the Petition Date, and to decline to do any of the foregoing without the consent or approval of any third party or further notice to or action, order or approval of the Bankruptcy Court. **No Person may rely on the absence of a specific reference in the Plan, the Plan Supplement or the Disclosure Statement to any specific Assigned Causes of Action as any indication that the Debtor or Creditor Trust, as applicable, will not pursue any and all available Assigned Causes of Action. The Debtor or Reorganized Debtor, as applicable, expressly reserve all rights for the benefit of the Creditor Trust and irrevocably assign such rights to the Creditor Trust to prosecute any and all Assigned Causes of Action against any Person or Entity, except as otherwise expressly provided in the Plan**, and, therefore no preclusion doctrine, including the doctrines of res judicata, collateral estoppel, issue preclusion, claim preclusion, estoppel (judicial, equitable or otherwise) or laches, shall apply to any Assigned Causes of Action upon, after, or as a consequence of the Confirmation or the Effective Date.\n\n3. Notwithstanding anything contained in Art. IV.J.1, until the earlier of (a) Class 3 Unsecured Litigation Claims are satisfied in full in accordance with the terms of this Plan and (b) the exercise of the Retention Election by the Plan Funder, the Debtor (1) shall use his commercially reasonable efforts to prosecute the Assigned Causes of Actions in good faith until resolved, and shall provide the Holders of Class 3 Unsecured Litigation Claims with not less than five (5) calendar days' notice of any proposed settlement of an Assigned Cause of Action and (2) if the Creditor Trust disagrees with the Debtor's proposed settlement of any Retained Cause of Action within such five (5) calendar days' notice, then the settlement of such Retained Cause of Action shall be subject to approval of the Bankruptcy Court under Bankruptcy Rule 9019.\n\n# <span id=\"page-24-1\"></span>K. *Final Certification and Case Closing*\n\n1. After the Effective Date, to the extent the Chapter 11 Case remains open, the Creditor Trust shall be liable for statutory fees due for the post-Effective Date period pursuant to 28 U.S.C. § 1930(a)(6) and shall pay or cause to be paid all fees due until entry of a final decree or an order converting or dismissing the Bankruptcy Case. Pursuant to Article IV.E.1 hereof, at any time following completion of the Effective Date Transactions as defined therein, the Reorganized Debtor or Creditor Trust shall have the right, with the consent of the other, to request that the Court close the Chapter 11 Case.\n\n2. Subject to the above paragraph, in the event that the Creditor Trust does not consent to closure of the Chapter 11 Case by the Reorganized Debtor, the Creditor Trust with the consent of the Reorganized Debtor, which consent shall not be unreasonably withheld, upon the full administration of the Chapter 11 Case, shall file the Final Certification and seek authority from the Bankruptcy Court to close the Chapter 11 Case in accordance with the Bankruptcy Code and the Bankruptcy Rules.\n\n3. The Creditor Trust and Reorganized Debtor shall each, in consultation with the other, have standing to request reopening of the Chapter 11 Case.\n\n# **ARTICLE V**\n\n# **PROVISIONS GOVERNING DISTRIBUTIONS**\n\n#### <span id=\"page-25-1\"></span><span id=\"page-25-0\"></span>A. *Initial Distribution Date*\n\nOn the Initial Distribution Date or as soon thereafter as is reasonably practicable, the Creditor Trustee shall make, or shall make adequate reserves for, the Distributions required to be made under the Plan.\n\n# <span id=\"page-25-2\"></span>B. *Treatment of Disputed Claims*\n\n1. Except as otherwise provided in the Plan, a Final Order, or as agreed to by the relevant parties, distributions under the Plan on account of Disputed Claims that become Allowed after the Effective Date shall be made on the first Distribution Date that is at least thirty (30) days after the Disputed Claim becomes an Allowed Claim; provided, however, that (a) Disputed Administrative Claims with respect to liabilities incurred by the Debtor in the ordinary course of business during the Chapter 11 Case or assumed by the Debtor on or before the Effective Date that become Allowed after the Effective Date shall be paid or performed by the Reorganized Debtor in the ordinary course of business in accordance with the terms and conditions of any controlling agreements, course of dealing, course of business, or industry practice and (b) Disputed Priority Tax Claims that become Allowed Priority Tax Claims after the Effective Date shall be treated as Allowed Priority Tax Claims on the first Distribution Date that is at least thirty (30) days after the Disputed Claim becomes an Allowed Claim.\n\n2. Notwithstanding any provision otherwise in the Plan and except as otherwise agreed to by the relevant parties, no partial payments and no partial Distributions shall be made with respect to a Disputed Claim until all such disputes in connection with such Disputed Claim have been resolved by settlement or Final Order. In the event that there are Disputed Claims requiring adjudication and resolution, the Creditor Trustee shall establish appropriate reserves for potential payment of such Claims.\n\n3. Disputed Claim Reserve. On and after the Effective Date, the Creditor Trust may establish and maintain the Disputed Claim Reserve.\n\n#### <span id=\"page-25-3\"></span>C. *Subsequent Distributions*\n\n1. No interest shall accrue or be paid on the unpaid amount of any Distribution paid on a Subsequent Distribution Date in accordance with this Article V.C.\n\n2. To the extent any holder of an Allowed Claim that received a Distribution on account of such Claim on the Initial Distribution Date or any Subsequent Distribution Date is entitled to receive an additional Distribution on account of such Claim for any reason, including due to an increase in the Pro Rata Share of such Claim or additional assets becoming part of the Creditor Trust Estate Assets, the Creditor Trustee shall, in his or her discretion, make such additional Distribution to such holder on any Subsequent Distribution Date.\n\n# <span id=\"page-26-0\"></span>D. *Record Date for Distributions*\n\nExcept as otherwise provided in a Final Order of the Court, the transferees of Claims that are transferred pursuant to Bankruptcy Rule 3001 on or prior to the Record Date will be treated as the holders of those Claims for all purposes, notwithstanding that any period provided by Bankruptcy Rule 3001 for objecting to the transfer may not have expired by the Record Date. The Creditor Trustee shall have no obligation to recognize any transfer of any Claim occurring after the Record Date. In making any Distribution with respect to any Claim, the Creditor Trustee shall be entitled instead to recognize and deal with, for all purposes hereunder, only the Entity that is listed on the proof of Claim Filed with respect thereto or on the Schedules as the holder thereof as of the close of business on the Record Date and upon such other evidence or record of transfer or assignment that are actually known to the Creditor Trustee as of the Record Date.\n\n#### <span id=\"page-26-1\"></span>E. *Delivery of Distributions*\n\n1. General Provisions; Undeliverable Distributions\n\nSubject to Bankruptcy Rule 9010 and except as otherwise provided herein, Distributions to the Holders of Allowed Claims shall be made by the Creditor Trustee or his or her designee, assuming the availability of funds and the economic feasibility of such Distributions, at (a) the address of each Holder as set forth in the Schedules, unless superseded by the address set forth on proofs of Claim Filed by such Holder or (b) the last known address of such Holder if no proof of Claim is Filed or if the Debtor or Creditor Trustee have been notified in writing of a change of address. The Creditor Trustee shall make distributions under the Plan on behalf of the Reorganized Debtor. If any Distribution is returned as undeliverable, the Creditor Trustee may, in his or her discretion, make reasonable efforts to determine the current address of the holder of the Claim with respect to which the Distribution was made as the Creditor Trustee deems appropriate, provided that (i) no Distribution to any such Holder shall be made unless and until the Creditor Trustee has determined the then-current address of such Holder, at which time the Distribution to such Holder shall be made to the holder without interest, and (ii) if the Creditor Trustee is unable to determine the then-current address of such Holder, such Distribution shall be deemed unclaimed as of the first date of return as undeliverable and treated as set forth below in Article V.E.3. The Creditor Trustee shall have the discretion to determine how to make Distributions in the most efficient and cost-effective manner possible; *provided*, *however*, that his or her discretion may not be exercised in a manner inconsistent with any express requirements of the Plan.\n\n# 2. Minimum Distributions\n\nIf any interim Distribution under the Plan would be less than \\$500.00, the Reorganized Debtor or Creditor Trustee, as applicable, may withhold such Distribution until a final Distribution is made to such Holder. If any final Distribution under the Plan would be \\$100.00 or less, no such Distribution will be made to that Holder unless a request therefor is made in writing to the Creditor Trust.\n\n#### 3. Unclaimed Property\n\nExcept with respect to property not Distributed because it is being held in reserve for Disputed Claims, Distributions that are not claimed by the expiration of ninety (90) days from the date of the relevant Distribution shall be deemed to be unclaimed property under Section 347(b) of the Bankruptcy Code and shall vest or revest in the Creditor Trust. The Claims with respect to which those Distributions are made shall be automatically cancelled. After the expiration of that three-month period, the claim of any Entity to those Distributions shall be discharged and forever barred. Nothing contained in the Plan shall require the Creditor Trust to attempt to locate any Holder of an Allowed Claim. All funds or other property that vest or revest in the Creditor Trust pursuant to this paragraph shall be (a) used to pay the fees and expenses of the Creditor Trust as and to the extent set forth in the Plan, and (b) thereafter distributed to Holders of Allowed Claims as otherwise provided herein. In the event any Creditor Trust Estate Assets remain after all economically feasible Distributions are made, such remaining property may be abandoned; liquidated to Cash and distributed to a registered 501(c)(3) organization of the Creditor Trust's choice, assuming such distribution is economically feasible, or otherwise disposed. Neither unclaimed property nor any remaining portion of the Creditor Trust Estate Assets shall escheat to any federal, state or local government or other entity.\n\n# <span id=\"page-27-0\"></span>F. *Manner of Cash Payments Under the Plan*\n\nCash payments made pursuant to the Plan shall be in United States dollars by checks drawn on a domestic bank selected by the Creditor Trust or by wire transfer from a domestic bank, at the option of the Creditor Trust.\n\n# <span id=\"page-27-1\"></span>G. *Time Bar to Cash Payments by Check*\n\nChecks issued by the Creditor Trust on account of Allowed Claims shall be null and void if not negotiated within ninety (90) days after the date of issuance thereof. Requests for the reissuance of any check that becomes null and void pursuant to this Article V.H. shall be made directly to the Creditor Trust by the holder of the Allowed Claim to whom the check was originally issued. Any Claim in respect of such voided check shall be made in writing on or before the later of six (6) months from the Effective Date or ninety (90) days after the date of issuance thereof. After that date, all Claims in respect of void checks shall be discharged and forever barred and the proceeds of those checks shall revest in and become the property of the Creditor Trust as unclaimed property in accordance with Section 347(b) of the Bankruptcy Code and be distributed as provided in Article V.E.3.\n\n# <span id=\"page-27-2\"></span>H. *Compliance with Tax Requirements*\n\n<span id=\"page-27-3\"></span>1. In connection with making Distributions under this Plan, to the extent applicable, the Creditor Trust shall comply with all tax withholding and reporting requirements imposed on it by any Governmental Unit, and all Distributions pursuant to this Plan shall be subject to such withholding and reporting requirements.\n\n2. The Creditor Trust may require any Holder to provide the necessary information to comply with any withholding requirements of any Governmental Unit, including but not limited to a Form W-8BEN, Form W-8BEN-E, or Form W-9, or such Holder's tax identification number, provided that such requirement must be in writing and may be issued solely to the extent such information and documents are not contained in the Debtor's books and records or otherwise available absent such requirement.\n\n3. The Creditor Trust may condition any distribution to any Holder upon the receipt of information and documents properly requested pursuant to paragraph (2) above. If such Holder does not furnish the required information and documents within sixty (60) days of such request, then such Holder's Distribution shall be treated as unclaimed property in accordance with Article V.E.3.\n\n#### I. *Postpetition Interest on Claims*\n\nExcept as specifically provided for in the Plan or the Confirmation Order, interest shall not accrue on Claims and no holder of a Claim shall be entitled to interest accruing on or after the Petition Date on any Claim. Except as expressly provided herein or in a Final Order of the Court, no prepetition Claim shall be Allowed to the extent that it is for postpetition interest or other similar charges.\n\n# <span id=\"page-27-4\"></span>J. *No Distribution in Excess of Allowed Amount of Claim*\n\nNotwithstanding anything to the contrary contained in the Plan, no holder of an Allowed Claim shall receive in respect of that Claim any Distribution in excess of the Allowed amount of that Claim.\n\n#### <span id=\"page-27-5\"></span>K. *Setoff and Recoupment*\n\nThe Creditor Trust may, but shall not be required to, setoff against, or recoup from, any Claim and Distributions to be made pursuant to the Plan in respect thereof, any claims or defenses of any nature whatsoever that are Creditor Trust Estate Assets. Neither the failure by the Debtor, Reorganized Debtor, or Creditor Trust to exercise any right of setoff or recoupment against any Claim nor the allowance of any Claim under the Plan shall constitute a waiver or release by the Debtor, the Estates or the Reorganized Debtor of any right of setoff or recoupment that any of them may have against the holder of any Claim. Holders of Allowed Claims retain whatever rights to setoff they are otherwise entitled to assert under Bankruptcy Code Section 553.\n\n# **ARTICLE VI**\n\n# **DISPUTED CLAIMS**\n\n#### <span id=\"page-28-1\"></span><span id=\"page-28-0\"></span>A. *No Distribution Pending Allowance*\n\nNotwithstanding any other provision of the Plan, the Creditor Trust shall not Distribute any Cash or other property on account of any Disputed Claim unless and until such Claim becomes Allowed.\n\n#### <span id=\"page-28-2\"></span>B. *Claims Objection Deadline*\n\nThe Claims Objection Deadline shall be 180 days after the Effective Date as to all Claims; *provided, however,* that the last date for filing Avoidance Actions against a holder of a Claim shall be the date established by Bankruptcy Code Section 546(a) and the last day for asserting any other Retained Cause of Action or Assigned Cause of Action shall be the last day of the applicable statute of limitations therefor provided under applicable non-bankruptcy law, as such period may have been extended by Bankruptcy Code Section 108 or any other section of the Bankruptcy Code or other applicable law; *provided further, however,* that no Entity or Person (including the Debtor, Reorganized Debtor, Creditor Trust, or any holder of Claims) may file an objection to any Claim deemed Allowed by the Plan, and any such objection shall be deemed null and void. Notwithstanding any of the foregoing, the Reorganized Debtor or the Creditor Trust (as to Assigned Claims Objections) may request from the Bankruptcy Court one or more extensions of the Claims Objection, which relief shall be freely given for cause stated and the extended date shall become the new Claims Objection Deadline applicable to the Reorganized Debtor or the Creditor Trust.\n\n# <span id=\"page-28-3\"></span>C. *Resolution of Disputed Claims*\n\n1. The Reorganized Debtor or the Creditor Trust (as to Assigned Claims Objections) shall have the exclusive right to make, File, prosecute, settle, compromise, withdraw or resolve in any manner approved by the Bankruptcy Court, objections to Claims, including Priority Claims, Administrative Claims and Professional Compensation Claims. In the event that any objection filed by the Debtor or Committee remains pending as of the Effective Date, the Reorganized Debtor or the Creditor Trust (as to Assigned Claims Objections) shall be deemed substituted for the Debtor or Committee, as applicable, as the objecting party.\n\n2. All objections shall be litigated to a Final Order; *provided, however,* that the Reorganized Debtor or the Creditor Trust (as to Assigned Claims Objections) may compromise and settle any objections to Claims, subject to entry of an order of the Bankruptcy Court.\n\n3. Distributions may be made to a Holder of a Claim prior to the expiration of the Claims Objection Deadline if the Reorganized Debtor or the Creditor Trust (as to Assigned Claims Objections) reasonably believes that no basis exists for objection to such holder's Claim and, as to non-Assigned Claims Objections, the Creditor Trust concurs with the Reorganized Debtor's assessment. Notwithstanding the foregoing, nothing in this Plan shall be interpreted to operate as a waiver or release of (i) any right that any party-in-interest may have to object to (a) any Claim through the Effective Date or (b) any Professional Compensation Claim after the Effective Date; or (ii) any objection to Claims pending as of the Effective Date, regardless of whether such objection was brought by the Debtor or any other party-in-interest.\n\n#### <span id=\"page-28-4\"></span>D. *Estimation of Claims*\n\nAt any time, the Reorganized Debtor (except as to Claims related to Assigned Causes of Action) or the Creditor Trust (as to Claims related to Assigned Causes of Action) may request that the Bankruptcy Court estimate any Claim upon which Distributions are to be made by the Creditor Trust, to the extent permitted by Section 502(c) of the Bankruptcy Code.\n\n#### <span id=\"page-28-5\"></span>E. *Disallowance of Claims*\n\nAny Claims held by Entities from which property is recoverable under Section 542, 543, 550 or 553 of the Bankruptcy Code or that is a transferee of a transfer avoidable under Section 522(f), 522(h), 544, 545, 547, 548, 549 or 724(a) of the Bankruptcy Code, provided that such Cause of Action is a Retained Cause of Action or Assigned Cause of Action, shall be deemed disallowed pursuant to Section 502(d) of the Bankruptcy Code, and Holders of such Claims may not receive any distributions on account of such Claims until such time as such Causes of Action against that Entity have been settled or a Bankruptcy Court order with respect thereto has been entered and all sums due, if any, to the Debtor by that Entity have been turned over or paid to the Debtor.\n\n# <span id=\"page-29-0\"></span>F. *Adjustment to Claims Without Objection*\n\nAny Claim that has been paid or satisfied, amended, or superseded may be marked as satisfied, adjusted or expunged on the Claims Register by the Noticing Agent at the direction of the Reorganized Debtor (except as to Claims related to Assigned Causes of Action) or Creditor Trust (as to Claims related to Assigned Causes of Action) without a Claims objection having to be Filed and without any further notice to or action, order or approval of the Bankruptcy Court.\n\n# <span id=\"page-29-1\"></span>G. *Amendments to Claims*\n\nAfter the Confirmation Date, a Claim may not be filed or amended without the authorization of the Bankruptcy Court and, even with such Bankruptcy Court authorization, may be amended by the holder of such Claim solely to decrease, but not to increase, unless otherwise provided by the Bankruptcy Court, the amount, number or priority of the same.\n\n**EXCEPT AS PROVIDED HEREIN OR OTHERWISE AGREED, ANY AND ALL HOLDERS OF PROOFS OF CLAIM FILED AFTER THE APPLICABLE BAR DATE SHALL NOT BE TREATED AS CREDITORS FOR PURPOSES OF VOTING AND DISTRIBUTION PURSUANT TO BANKRUPTCY RULE 3003(c)(2) AND PURSUANT TO THE GENERAL BAR DATE ORDER, UNLESS ON OR BEFORE THE CONFIRMATION HEARING SUCH LATE CLAIM HAS BEEN DEEMED TIMELY FILED BY A FINAL ORDER.**\n\n# **ARTICLE VII**\n\n# **TREATMENT OF EXECUTORY CONTRACTS AND UNEXPIRED LEASES**\n\n#### <span id=\"page-29-3\"></span><span id=\"page-29-2\"></span>A. *Rejection of Executory Contracts and Unexpired Leases*\n\n1. On the Effective Date, except as otherwise provided herein, each executory contract or unexpired lease not previously rejected, assumed, or assumed and assigned, shall be deemed automatically rejected pursuant to sections 365 and 1123 of the Bankruptcy Code, unless such executory contract or unexpired lease: (a) is specifically described in the Plan or Plan Supplement as to be assumed in connection with Confirmation of the Plan; (b) is subject as of the Confirmation Date to a pending motion to assume or assume and assign; (c) has been assumed or assumed and assigned to a third party; (d) is a contract, instrument, release, indenture, or other agreement or document entered into in connection with the Plan. Entry of the Confirmation Order by the Bankruptcy Court shall constitute approval of such assumptions, assignments, and rejections pursuant to sections 365(a) and 1123 of the Bankruptcy Code.\n\n2. Notwithstanding anything contained in the Plan to the contrary, in the event of a dispute as to whether a contract is executory or a lease is unexpired, the rights of the Debtor or the Reorganized Debtor, as applicable, to move to assume or reject such contract or lease shall be extended until the date that is thirty (30) days after entry of a Final Order by the Bankruptcy Court determining that the contract is executory or the lease is unexpired.\n\n3. Any monetary defaults under each Executory Contract and Unexpired Lease to be assumed or assumed and assigned pursuant to the Plan shall be satisfied, pursuant to section 365(b)(1) of the Bankruptcy Code, by payment of the Cure Cost in Cash on the Effective Date, subject to the limitation described in the following paragraph, or on such other terms as the parties to such Executory Contract or Unexpired Lease may otherwise agree. Together with the Plan Supplement, to the extent not previously filed with the Court and served on affected counterparties, the Debtor shall provide for notices of proposed assumption and proposed Cure Cost (and, to the extent the Debtor seek to assume and assign an Unexpired Lease pursuant to the Plan, the Debtor will identify the assignee, if any, and provide adequate assurance of future performance by such assignee within the meaning of section 365 of the Bankruptcy Code) to be filed and served upon applicable contract and lease counterparties (and upon such Entities' counsel, if known), together with procedures for objecting thereto and resolution of disputes by the Court. Any objection by a contract or lease counterparty to a proposed Cure Cost must be filed, served, and actually received by the Debtor before the objection deadline provided in the notice of proposed assumption and Cure Cost, which deadline shall be no less than fourteen (14) days after the date on which the applicable notice of proposed assumption and proposed Cure Cost is filed and served. Any objection by a contract or lease counterparty to a proposed assumption, assumption and assignment, or adequate assurance (other than with respect to a proposed Cure Cost) must be filed, served, and actually received by the Debtor before the Plan Objection Deadline. Any counterparty to an Executory Contract or Unexpired Lease that fails to object timely to the proposed assumption or Cure Cost will be deemed to have assented to such assumption or Cure Cost. Any objection to a proposed assumption, assumption and assignment, or Cure Cost will be scheduled to be heard by the Court at the Reorganized Debtor's first scheduled omnibus hearing after which such objection is timely filed. In the event of a dispute regarding (1) the amount of any Cure Cost, (2) the ability of the Reorganized Debtor or any assignee to provide \"adequate assurance of future performance\" within the meaning of section 365(b) of the Bankruptcy Code, if applicable, under the Executory Contract or the Unexpired Lease to be assumed or assumed and assigned, and/or (3) any other matter pertaining to assumption and/or assignment, then such Cure Costs shall be paid following the entry of a Final Order resolving the dispute and approving the assumption and assignment of such Executory Contracts or Unexpired Leases or as may be agreed upon by the Debtor or the Reorganized Debtor and the counterparty to such Executory Contract or Unexpired Lease; provided that the Debtor may settle any dispute regarding the amount of any Cure Cost without any further notice to any party or any action, order, or approval of the Court; provided, further, that notwithstanding anything to the contrary herein, the Debtor reserve the right to reject, or nullify the assumption of, any Executory Contract or Unexpired Lease within twentyfive (25) days after the entry of a Final Order resolving an objection to assumption or assumption and assignment, determining the Cure Cost under an Executory Contract or Unexpired Lease that was subject to a dispute, or resolving any request for adequate assurance of future performance required to assume such Executory Contract or Unexpired Lease in an amount higher than sought by the Debtor.\n\n4. Subject to the terms of the preceding paragraphs, assumption or assumption and assignment of any Executory Contract or Unexpired Lease pursuant to the Plan or otherwise, and the payment of the Cure Cost, shall result in the full release and satisfaction of any Claims or defaults, whether monetary or nonmonetary, including defaults of provisions restricting the change in control or ownership interest composition or other bankruptcy-related defaults, arising under any assumed Executory Contract or Unexpired Lease at any time prior to the effective date of assumption or assumption and assignment. Any Proofs of Claim filed with respect to an Executory Contract or Unexpired Lease that has been assumed or assumed and assigned, and the Cure Cost paid, shall be deemed disallowed and expunged, without further notice to or action, order, or approval of the Court. Notwithstanding the foregoing, the Debtor and the Reorganized Debtor will continue to honor all postpetition and post-Effective Date obligations under any assumed Executory Contracts and Unexpired Leases in accordance with their terms, regardless of whether such obligations are listed as a Cure Cost, and whether such obligations accrued prior to or after the Effective Date, and neither the payment of cure nor entry of the Confirmation Order shall be deemed to release the Debtor or the Reorganized Debtor from such obligations. Notwithstanding the foregoing, assumption of any Executory Contract or Unexpired Lease and/or payment of any Cure Cost shall not constitute a release of any Claims held by the Debtor or Reorganized Debtor against any party, other than for breach or default of such assumed Executory Contract or Unexpired Lease.\n\n# <span id=\"page-30-0\"></span>B. *Claims Based on Rejection of Executory Contracts or Unexpired Leases*\n\nClaims created by the rejection of executory contracts and unexpired leases must be filed pursuant to the terms of the General Bar Date Order and the Rejection Bar Date as defined therein. Any Claims arising from the rejection of an executory contract or unexpired lease for which proofs of Claim are not timely filed pursuant to the General Bar Date Order within that time period will be forever barred from assertion against the Debtor, the Estate, their successors and assigns, and their assets and properties, unless otherwise ordered by the Bankruptcy Court or as otherwise provided herein. All such Claims shall, as of the Effective Date, be subject to the permanent injunction set forth in Article IX.D. Unless otherwise ordered by the Bankruptcy Court, all such Claims that are timely filed as provided herein shall be treated as General Unsecured Claims under the Plan and shall be subject to the provisions of Article III of the Plan.\n\n# <span id=\"page-30-1\"></span>C. *Debtor's Insurance Policies*\n\nNothing in the Plan or the Confirmation Order alters the rights and obligations of the Debtor (and his Estate) and the Debtor's insurers (and third-party claims administrators), if any, under the Debtor's insurance policies, if any, or modifies the coverage or benefits provided thereunder or the terms or conditions thereof or diminishes or impairs the enforceability of the Debtor's insurance policies. No Distributions under the Plan shall be made on account of an Allowed Claim that is payable pursuant to one of the Debtor's insurance policies until the Holder of such Allowed Claim has exhausted all remedies with respect to such insurance policy. To the extent that one or more of the Debtor's insurers agrees to satisfy in full or in part a Claim (if and to the extent adjudicated by a court of competent jurisdiction), then immediately upon such insurers' agreement, the applicable portion of such Claim may be expunged without a Claims objection having to be filed and without any further notice to or action, order, or approval of the Bankruptcy Court.\n\n#### **ARTICLE VIII**\n\n#### **CONDITIONS PRECEDENT TO THE EFFECTIVE DATE**\n\n#### <span id=\"page-31-1\"></span><span id=\"page-31-0\"></span>A. *Conditions Precedent to the Effective Date*\n\nThe following are conditions precedent to the Effective Date that must be satisfied or waived:\n\n#### 1. The Confirmation Order shall be in full force and effect.\n\n2. All documents necessary to implement the Plan, including, without limitation, the Creditor Trust Agreement, shall have (a) been executed or deemed executed, as applicable, and (b) tendered for delivery. All conditions precedent to the effectiveness of such documents and agreements shall have been satisfied or waived pursuant to the terms thereof.\n\n3. Notwithstanding the foregoing, the Debtor, reserves the right to waive the occurrence of any condition precedent to the Effective Date or to modify any of the foregoing conditions precedent. Any such waiver of a condition precedent set forth in this Article may be effected at any time, without notice, without leave or order of the Bankruptcy Court, and without any formal action other than proceeding to consummate the Plan. Any actions required to be taken on the Effective Date shall take place and shall be deemed to have occurred simultaneously, and no such action shall be deemed to have occurred prior to the taking of any other such action.\n\n#### <span id=\"page-31-2\"></span>B. *Effect of Non-Occurrence of Conditions to the Effective Date*\n\nIf the Effective Date does not occur, the Debtor may determine, upon notice to the Bankruptcy Court, that the Plan is null and void in all respects, and nothing contained in the Plan, the Confirmation Order or the Disclosure Statement shall: (1) constitute a waiver or release of any Cause of Action or Claim; (2) constitute an admission, acknowledgment, offer or undertaking in any respect by any party, including the Debtor; or (3) otherwise prejudice in any manner the rights of any party, including the Debtor.\n\n#### <span id=\"page-31-3\"></span>C. *Establishing the Effective Date*\n\nThe calendar date to serve as the Effective Date shall be a Business Day of, on or promptly following the satisfaction or waiver of all conditions to the Effective Date, which date will be selected by the Debtor. On or within two (2) Business Days of the Effective Date, the Debtor shall file and serve a notice of occurrence of the Effective Date. Such notice shall contain, among other things, the Administrative Bar Date and the Professional Claims Bar Date.\n\n#### **ARTICLE IX**\n\n#### **RELEASE, INJUNCTIVE AND RELATED PROVISIONS**\n\n#### <span id=\"page-31-5\"></span><span id=\"page-31-4\"></span>A. *Compromise and Settlement*\n\nPursuant to Section 363 of the Bankruptcy Code and Bankruptcy Rule 9019, and in consideration for the Distributions and other benefits provided pursuant to the Plan, the provisions of the Plan shall constitute a good faith compromise of all Claims. The entry of the Confirmation Order shall constitute the Bankruptcy Court's approval of the compromise or settlement of all Claims, as well as a finding by the Bankruptcy Court that such compromise or settlement is fair, equitable, reasonable and in the best interests of the Debtor, the Estates and holders of Claims.\n\n# <span id=\"page-32-0\"></span>B. *Releases and Related Matters*\n\n# **NOTWITHSTANDING ANYTHING CONTAINED IN THE PLAN TO THE CONTRARY, ON THE EFFECTIVE DATE AND AS OF THE EFFECTIVE DATE UNLESS OTHERWISE PROVIDED HEREIN, THE RELEASING PARTIES SHALL BE DEEMED TO FOREVER RELEASE, WAIVE, AND DISCHARGE EACH OF THE RELEASED PARTIES FROM THE RELEASED CLAIMS.**\n\n**ENTRY OF THE CONFIRMATION ORDER SHALL CONSTITUTE THE BANKRUPTCY COURT'S APPROVAL OF THE RELEASES SET FORTH IN THIS ARTICLE IX.B PURSUANT TO BANKRUPTCY RULE 9019 AND ITS FINDING THAT THEY ARE: (A) IN THE BEST INTERESTS OF THE DEBTOR AND ALL HOLDERS OF CLAIMS; (B) FAIR, EQUITABLE AND REASONABLE; AND (C) APPROVED AFTER DUE NOTICE AND OPPORTUNITY FOR HEARING.**\n\n#### <span id=\"page-32-1\"></span>C. *Waiver of Limitations on Releases of Unknown Claims*\n\n**THE RELEASES CONTAINED IN ARTICLE IX.B SHALL EXTEND TO RELEASED CLAIMS THAT THE PARTIES DO NOT KNOW OR EXPECT TO EXIST AT THE TIME OF THE RELEASE, WHICH, IF KNOWN, MIGHT HAVE AFFECTED THE DECISION TO ENTER INTO THE RELEASE AND WHICH THE DEBTOR SHALL BE DEEMED TO WAIVE, AND SHALL WAIVE AND RELINQUISH TO THE FULLEST EXTENT PERMITTED BY LAW, ANY AND ALL PROVISIONS, RIGHTS, AND BENEFITS CONFERRED BY ANY LAW OF THE UNITED STATES OR ANY STATE OR TERRITORY THEREOF, OR PRINCIPLE OF COMMON LAW, WHICH GOVERNS OR LIMITS A PERSON'S RELEASE OF UNKNOWN CLAIMS.**\n\n**THE DEBTOR ALSO ACKNOWLEDGES THAT HE MAY DISCOVER FACTS IN ADDITION TO OR DIFFERENT FROM THOSE THAT THEY NOW KNOW OR BELIEVE TO BE TRUE WITH RESPECT TO THE SUBJECT MATTER OF THIS RELEASE, BUT THAT IT IS THE INTENTION OF THE PARTIES TO FULLY, FINALLY, AND FOREVER SETTLE AND RELEASE WITH PREJUDICE ANY AND ALL RELEASED CLAIMS, INCLUDING ANY AND ALL UNKNOWN CLAIMS, WITHOUT REGARD TO THE SUBSEQUENT DISCOVERY OR EXISTENCE OF ADDITIONAL OR DIFFERENT FACTS. THE DEBTOR EXPRESSLY AGREES THAT ANY FRAUDULENT INDUCEMENT OR SIMILAR CLAIMS THAT COULD BE PREMISED ON UNKNOWN FACTS OR FACTS THAT ARE SUBSEQUENTLY DISCOVERED ARE INCLUDED WITHIN THE DEFINITION OF UNKNOWN CLAIMS.**\n\n<span id=\"page-32-2\"></span>D. *Exculpation*\n\n**NOTWITHSTANDING ANYTHING CONTAINED IN THE PLAN TO THE CONTRARY, EFFECTIVE AS OF THE EFFECTIVE DATE, THE EXCULPATED PARTIES SHALL NOT HAVE OR INCUR ANY LIABILITY FOR ANY ACT OR OMISSION TAKEN OR NOT TAKEN BETWEEN THE PETITION DATE AND THE EFFECTIVE DATE IN CONNECTION WITH, RELATING TO, OR ARISING OUT OF THE CHAPTER 11 CASE, THE NEGOTIATION AND FILING OF THE DISCLOSURE STATEMENT, THE PLAN OR ANY DOCUMENT IMPLEMENTING THE PLAN, THE FILING OF THE CHAPTER 11 CASE, THE SETTLEMENT OF CLAIMS OR RENEGOTIATION OF EXECUTORY CONTRACTS AND LEASES, THE PURSUIT OF CONFIRMATION OF THE PLAN, THE CONSUMMATION OF THE PLAN, OR THE ADMINISTRATION OF THE PLAN OR THE PROPERTY TO BE DISTRIBUTED UNDER THE PLAN, EXCEPT FOR ACTS OR OMISSIONS THAT ARE THE RESULT OF WILLFUL MISCONDUCT, GROSS NEGLIGENCE, FRAUD OR CRIMINAL ACTS OR ANY OBLIGATIONS THAT THEY HAVE UNDER OR IN CONNECTION WITH THE PLAN OR THE TRANSACTIONS CONTEMPLATED IN THE PLAN, AND IN ALL RESPECTS SHALL BE ENTITLED TO REASONABLY RELY UPON THE ADVICE OF COUNSEL WITH RESPECT TO THEIR DUTIES AND RESPONSIBILITIES UNDER THE PLAN.**\n\n# <span id=\"page-33-0\"></span>E. *Injunction*\n\n**THE SATISFACTION, RELEASE AND DISCHARGE PURSUANT TO THIS ARTICLE IX OF THE PLAN SHALL ALSO ACT AS AN INJUNCTION AGAINST ANY PERSON BOUND BY SUCH PROVISION AGAINST COMMENCING OR CONTINUING ANY ACTION, EMPLOYMENT OF PROCESS OR ACT TO COLLECT, OFFSET, OR RECOVER ANY CLAIM OR CAUSE OF ACTION SATISFIED, RELEASED, OR DISCHARGED UNDER THE PLAN OR THE CONFIRMATION ORDER TO THE FULLEST EXTENT AUTHORIZED OR PROVIDED BY THE BANKRUPTCY CODE, INCLUDING, WITHOUT LIMITATION, TO THE EXTENT PROVIDEDFOR OR AUTHORIZED BY SECTIONS 524 AND 1141 THEREOF.**\n\n# <span id=\"page-33-1\"></span>F. *Releases of Liens*\n\nExcept as otherwise provided in the Plan or in the Confirmation Order, on the Effective Date, to the extent such exist, all mortgages, deeds of trust, liens, pledges or other security interests against property of the Estate shall be fully released and discharged and all of the right, title and interest of any holder of such mortgages, deeds of trust, liens, pledges or other security interest shall revert to the Debtor and the Reorganized Debtor.\n\n#### <span id=\"page-33-2\"></span>G. *Preservation of Rights of Action*\n\n# 1. **Vesting of Causes of Action**\n\n(a) Except as otherwise provided in the Plan or Confirmation Order, in accordance with Section 1123(b)(3) of the Bankruptcy Code, any Retained Causes of Action that the Debtor may hold against any Entity shall vest upon the Effective Date in the Reorganized Debtor and the Reorganized Debtor shall have the exclusive right to institute and prosecute any Retained Causes of Action, without further order of the Bankruptcy Court, in any court or other tribunal, including, without limitation, in an adversary proceeding filed in one or more of the Chapter 11 Case.\n\n(b) Retained Causes of Action thereafter shall remain the sole property of the Reorganized Debtor, and any proceeds therefrom shall be the property of the Reorganized Debtor.\n\n(c) Except as otherwise provided in the Plan or Confirmation Order, in accordance with Section 1123(b)(3) of the Bankruptcy Code, any Assigned Causes of Action that the Debtor may hold against any Entity shall vest upon the Effective Date in the Creditor Trust and the Creditor Trust shall have the exclusive right to institute and/or prosecute any Assigned Causes of Action, without further order of the Bankruptcy Court.\n\n# 2. **Preservation of All Retained Causes of Action Not Expressly Settled or Released**\n\n(a) With respect to any Retained Cause of Action, the Reorganized Debtor expressly reserves the right to pursue or adopt any claims alleged in any lawsuit in which the Debtor is a defendant or interested party, against any Entity, including, without limitation, the plaintiffs or co-defendants in such lawsuits.\n\n(b) Subject to the immediately preceding paragraph, (i) any Entity to whom the Debtor has incurred an obligation (whether on account of services, purchase or sale of goods or otherwise), (ii) any Entity who has received services from the Debtor or a transfer of money or property of the Debtor, (iii) any Entity who has transacted business with the Debtor, or leased property from the Debtor, or (iv) any professional that provided advice to the Debtor should, in each case, assume that any such act, omission, obligation, transfer or transaction may be reviewed by the Reorganized Debtor subsequent to the Effective Date and may be the subject of an action after the Effective Date, regardless of whether: (A) such Entity has filed a proof of Claim against the Debtor in the Chapter 11 Case; (B) the Debtor or Reorganized Debtor has objected to any such Entity's proof of Claim; (C) any such Entity's Claim was included in the Schedules; (D) the Debtor or Reorganized Debtor has objected to any such Entity's scheduled Claim; or (E) any such Entity's scheduled Claim has been identified by the Debtor or Reorganized Debtor as disputed, contingent or unliquidated.\n\n#### **ARTICLE X**\n\n#### **RETENTION OF JURISDICTION**\n\n<span id=\"page-34-0\"></span>Notwithstanding the entry of the Confirmation Order and the occurrence of the Effective Date, the Bankruptcy Court shall, after the Effective Date, retain such jurisdiction over the Chapter 11 Case and all Entities with respect to all matters related to the Chapter 11 Case, the Debtor, the Reorganized Debtor, the Creditor Trust and the Plan as is legally permissible, including, without limitation, jurisdiction to:\n\n1. allow, disallow, determine, liquidate, classify, estimate or establish the priority or secured or unsecured status of any Claim, including the resolution of any request for payment of any Administrative Claim and the resolution of any and all objections to the allowance or priority of Claims;\n\n2. grant or deny any applications for allowance of compensation or reimbursement of expenses authorized pursuant to the Bankruptcy Code or the Plan, for periods ending on or before the Effective Date;\n\n3. resolve any matters related to the assumption, assignment or rejection of any executory contract or unexpired lease to which a Debtor is party or with respect to which a Debtor may be liable and to hear, determine and, if necessary, liquidate any Claims arising therefrom, including those matters related to any amendment to the Plan after the Effective Date pursuant to Article XI.B;\n\n4. ensure that Distributions to holders of Allowed Claims are accomplished pursuant to the provisions of the Plan;\n\n5. enforce the terms of the Creditor Trust Agreement and any rights and remedies thereunder;\n\n6. decide or resolve any motions, adversary proceedings, contested or litigated matters and any other matters and grant or deny any applications involving a Debtor that may be pending on the Effective Date or instituted by the Reorganized Debtor after the Effective Date, including but not limited to any Retained Causes of Action, *provided*, *however*, that the Reorganized Debtor and Creditor Trust shall reserve the right to commence actions in all appropriate jurisdictions;\n\n7. enter such orders as may be necessary or appropriate to implement or consummate the provisions of the Plan and all other contracts, instruments, releases, indentures and other agreements or documents adopted in connection with the Plan, Plan Supplement or the Disclosure Statement;\n\n8. resolve any cases, controversies, suits or disputes that may arise in connection with the Effective Date, interpretation or enforcement of the Plan or any Entity's obligations incurred in connection with the Plan;\n\n9. issue and enforce injunctions, enter and implement other orders, or take such other actions as may be necessary or appropriate to restrain interference by any Entity with the Effective Date or enforcement of the Plan, except as otherwise provided in the Plan;\n\n10. enforce Article IX.B hereof;\n\n11. enforce the Injunction set forth in Article IX.D hereof;\n\n12. resolve any cases, controversies, suits or disputes with respect to the releases, injunction and other provisions contained in Article IX, and enter such orders as may be necessary or appropriate to implement or enforce all such releases, injunctions and other provisions;\n\n13. enter and implement such orders as necessary or appropriate if the Confirmation Order is modified, stayed, reversed, revoked or vacated;\n\n14. resolve any other matters that may arise in connection with or relate to the Plan, the Disclosure Statement, the Confirmation Order or any contract, instrument, release, indenture or other agreement or document adopted in connection with the Plan or the Disclosure Statement;\n\n15. hear and determine matters concerning state, local, and federal taxes in accordance with sections 346, 505, and 1146 of the Bankruptcy Code; and\n\n16. enter an order and/or the decree contemplated in Fed. R. Bankr. P. 3022 concluding the Chapter 11 Case.\n\n# **ARTICLE XI**\n\n#### **MISCELLANEOUS PROVISIONS**\n\n#### <span id=\"page-35-1\"></span><span id=\"page-35-0\"></span>A. *Modification of Plan*\n\nSubject to the limitations contained in the Plan: (1) the Debtor reserves the right, in accordance with the Bankruptcy Code and the Bankruptcy Rules, to amend or modify the Plan prior to the entry of the Confirmation Order, including amendments or modifications to satisfy Section 1129(b) of the Bankruptcy Code; and (2) after the entry of the Confirmation Order, the Debtor or the Reorganized Debtor, as the case may be, in consultation with and/or at the request of the Creditor Trust, may modify the Plan, in accordance with Section 1127(b) of the Bankruptcy Code, or remedy any defect or omission or reconcile any inconsistency in the Plan in such manner as may be necessary to carry out the purpose and intent of the Plan.\n\n# <span id=\"page-35-2\"></span>B. *Revocation of Plan*\n\nThe Debtor reserves the right to revoke or withdraw the Plan prior to the entry of the Confirmation Order and to File subsequent chapter 11 plans. If the Debtor revokes or withdraws the Plan or if entry of the Confirmation Order or the Effective Date does not occur, then: (1) the Plan shall be null and void in all respects; (2) any settlement or compromise embodied in the Plan, rejection of executory contracts or leases effected by the Plan, and any document or agreement executed pursuant hereto shall be deemed null and void; and (3) nothing contained in the Plan shall: (a) constitute a waiver or release of any claims by or against the Debtor or any other Entity; (b) prejudice in any manner the rights of the Debtor or any other Entity; or (c) constitute an admission of any sort by the Debtor or any other Entity.\n\n# <span id=\"page-35-3\"></span>C. *Payment of Statutory Fees*\n\nAll fees due and payable pursuant to 28 U.S.C. § 1930 prior to the Effective Date shall be paid by the Debtor on the Effective Date. After the Effective Date, the Creditor Trust shall pay any and all such fees when due and payable, and the Creditor Trust shall file with the Bankruptcy Court quarterly reports in a form reasonably acceptable to the U.S. Trustee. The Creditor Trust shall remain obligated to pay quarterly fees to the U.S. Trustee until the earliest of the Chapter 11 Case being closed, dismissed or converted to a case under chapter 7 of the Bankruptcy Code.\n\n# <span id=\"page-35-4\"></span>D. *Successors and Assigns*\n\nThe rights, benefits and obligations of any Entity named or referred to herein shall be binding on, and shall inure to the benefit of, any heir, executor, administrator, successor or assign of such Entity.\n\n#### <span id=\"page-35-5\"></span>E. *Governing Law*\n\nUnless a rule of law or procedure is supplied by federal law (including the Bankruptcy Code and Bankruptcy Rules) or unless otherwise specifically stated, the laws of the State of Connecticut, without giving effect to the principles of conflict of laws, shall govern the rights, obligations, construction, and implementation of the Plan, any agreements, documents, instruments, or contracts executed or entered into in connection with the Plan (except as otherwise set forth in those agreements, in which case the governing law of such agreement shall control).\n\n#### <span id=\"page-35-6\"></span>F. *Reservation of Rights*\n\nExcept as expressly set forth herein, the Plan shall have no force or effect unless and until the Bankruptcy Court enters the Confirmation Order. Neither the filing of the Plan, any statement or provision contained herein, nor the taking of any action by a Debtor or any Entity with respect to the Plan shall be or shall be deemed to be an admission or waiver of any rights of: (1) any Debtor with respect to the holders of Claims or other parties-in-interest; or (2) any holder of a Claim or other party-in-interest prior to the Effective Date.\n\n# <span id=\"page-36-0\"></span>G. *Section 1146 Exemption*\n\nPursuant to Section 1146(a) of the Bankruptcy Code, any transfers of property pursuant hereto shall not be subject to any stamp tax or other similar tax or governmental assessment in the United States, and the Confirmation Order shall direct the appropriate state or local governmental officials or agents to forego the collection of any such tax or governmental assessment and to accept for filing and recordation instruments or other documents pursuant to such transfers of property without the payment of any such tax or governmental assessment.\n\n#### <span id=\"page-36-1\"></span>H. *Entire Agreement*\n\nOn the Effective Date, the Plan and the Plan Supplement supersede all previous and contemporaneous negotiations, promises, covenants, agreements, understandings, and representations on such subjects, all of which have become merged and integrated into the Plan.\n\n# <span id=\"page-36-2\"></span>I. *Exhibits*\n\nAll exhibits and documents included in the Plan Supplement are incorporated into and are a part of the Plan as if set forth in full in the Plan. Except as otherwise provided in the Plan, such exhibits and documents included in the Plan Supplement shall be filed with the Bankruptcy Court on or before the Plan Supplement Filing Date or the Solicitation Date, as applicable. After the exhibits and documents are filed, copies of such exhibits and documents shall have been available upon written request to the Debtor's counsel at the address above or by downloading such exhibits and documents from the Debtor's private website at http or the Bankruptcy Court's website at http\n\n#### <span id=\"page-36-3\"></span>J. *Non-Severability*\n\nIf, prior to Confirmation, any term or provision of the Plan is held by the Bankruptcy Court to be invalid, void, or unenforceable, the Bankruptcy Court shall have the power to alter and interpret such term or provision to make it valid or enforceable to the maximum extent practicable, consistent with the original purpose of the term or provision held to be invalid, void or unenforceable, and such term or provision shall then be applicable as altered or interpreted. Notwithstanding any such holding, alteration, or interpretation, the remainder of the terms and provisions of the Plan will remain in full force and effect and will in no way be affected, impaired, or invalidated by such holding, alteration, or interpretation. The Confirmation Order shall constitute a judicial determination and shall provide that each term and provision of the Plan, as it may have been altered or interpreted in accordance with the foregoing, is: (1) valid and enforceable pursuant to its terms; (2) integral to the Plan and may not be deleted or modified without the consent of the Debtor; and (3) nonseverable and mutually dependent.\n\n# <span id=\"page-36-4\"></span>K. *Dissolution of Committee*\n\nOn the Effective Date, the Committee shall be deemed to be dissolved and the members of the Committee shall be released and discharged from all further authority, duties, responsibilities, and obligations arising from or related to the Bankruptcy Cases and Professionals retained by the Committee shall be released and discharged from all further authority, duties, responsibilities, and obligations relating to the Debtor and the Bankruptcy Cases.\n\n# <span id=\"page-36-5\"></span>L. *Section 1125(e) Good Faith Compliance*\n\nThe Debtor and each of his respective Representatives shall be deemed to have acted in \"good faith\" under Section 1125(e) of the Bankruptcy Code.\n\n# <span id=\"page-37-0\"></span>M. *Discharge*\n\n<span id=\"page-37-1\"></span>Pursuant to section 1141(d) of the Bankruptcy Code, upon the occurrence of the Effective Date, the Confirmation Order shall be deemed to have discharged the Debtor from any debt that arose before the date of entry of the Confirmation Order.\n\n# <span id=\"page-37-2\"></span>N. *Further Assurances*\n\nThe Debtor, the Reorganized Debtor, all holders of Claims receiving Distributions hereunder, and all other parties in interest shall, from time to time, prepare, execute and deliver any agreements or documents and take any other actions as may be necessary or advisable to effectuate the provisions and intent of the Plan or the Confirmation Order.\n\n#### <span id=\"page-37-3\"></span>O. *Service of Documents*\n\nAny pleading, notice or other document required by the Plan to be served on or delivered to the Debtor shall be sent by first class U.S. mail, postage prepaid as follows:\n\n> Brown Rudnick LLP Seven Times Square New York, NY 10036 Attn: Uriel Pinelo, Esq.\n\n# <span id=\"page-37-4\"></span>P. *Filing of Additional Documents*\n\nOn or before the Effective Date, the Debtor may File with the Bankruptcy Court all agreements and other documents that may be necessary or appropriate to effectuate and further evidence the terms and conditions hereof.\n\n# <span id=\"page-37-5\"></span>Q. *No Stay of Confirmation Order*\n\nThe Confirmation Order shall contain a waiver of any stay of enforcement otherwise applicable, including pursuant to Fed. R. Bankr. P. 9006(a)）以外的任何日子。\n\n18. “现金”是指美利坚合众国的法定货币或其等值物。\n\n19. “第11章案件”是指债务人在申请日依据《破产法》第11章提交自愿救济申请时启动的第11章案件。该第11章案件被分配案号为22-50073 (JAM)。\n\n21. “债权”是指针对债务人的“债权”（该术语定义见《破产法》第101(5)条）。\n\n22. “债权异议期限”是指根据本计划第VI条规定的，对债权提出异议的最后提交日期，包括其任何延期。\n\n23. “债权登记册”是指由通知代理人代表破产法院书记官在债务人的第11章案件中维护的正式债权登记册。\n\n24. “类别”是指根据《破产法》第1122(a)条在本文件第III条中列明的债权持有人类别。\n\n25. “委员会”是指美国受托人在第11章案件中依据《破产法》第1102条指定的债务人无担保债权人正式委员会。\n\n26. “确认日”是指破产法院录入确认命令之日。\n\n27. “确认命令”是指破产法院依据《破产法》第1129条确认本计划的命令。\n\n28. “债权人信托”是指于生效日根据本计划第IV.D.2条及《债权人信托协议》设立的债权人追偿信托。\n\n29. “债权人信托协议”是指将于生效日签署的协议，其实质形式载于计划补充文件，用以设立债权人信托并规定债权人信托的条款和条件，包括债权人受托人的权力、权利和职责。\n\n30. “债权人信托财产资产”统称截至生效日债务人破产财产的全部财产，包括已转让诉讼请求和DIP 融资现金，但不包括：(a) 根据《破产法》第522条豁免的财产；(b) 因《破产法》第1115条而纳入破产财产的财产；(c) 保留诉讼请求；(d) 已解除债权；(e) UC 现金和剩余 UC 现金；以及 (f) 船只及任何船只所有权债权。\n\n31. “债权人信托受益人”是指有权根据本文件第III.B条获得处理的获准债权持有人。\n\n32. “债权人受托人”是指由债务人选定并在确认听证会前披露的、作为债权人信托受托人并管理债权人信托的无利害关系个人。\n\n33. “CT 资产”是指债权人信托持有的任何种类的全部资产。\n\n34. “补救成本”是指为补救债务人根据《破产法》第365条或第1123条拟承接的任何待履行合同或未到期租约项下任何金钱违约所需支付的全部金额（或待履行合同或未到期租约当事人可能约定的较低金额）。\n\n35. “债务人”或“占有中的债务人”统称本计划封面页具体列明的上述标题所示债务人及占有中的债务人。\n\n36. “债务人特权”是指附着于债务人持有的任何文件或通信（无论何种形式，包括但不限于书面、电子或口头形式）的任何律师—客户特权、工作成果保护、共同利益特权或其他特权或豁免权。\n\n37. “DIP 融资”是指 DIP 贷款人向债务人提供的次级定期贷款，受制于并进一步载于[*临时 DIP 命令：(I) 授权债务人获得无担保、次级的申请后融资；(II) 安排临时及最终听证会；以及 (III) 授予相关救济*] [Docket No. [●]]，并包括据此产生的所有利息、费用和偿还义务。\n\n38. “DIP 融资债权”是指 DIP 贷款人根据 DIP 融资享有的债权。\n\n39. “DIP 融资现金”是指向破产财产投入的 \\$1,000,000 现金，在 DIP 融资文件中定义为破产财产出资贷款，但仅限于截至生效日尚存的部分。\n\n40. “DIP 贷款人”是指 Golden 债务人、委员会或债权人信托已根据适用的《破产法》、破产程序规则、本计划或《债权人信托协议》提交或可能提交及时的异议或估值请求；或 (c) 债务人、委员会或债权人信托以其他方式依据适用法律提出争议，而该等异议、估值请求或争议尚未被撤回或通过最终命令确定。在异议已经或可能被提交之前，如有下列情形，债权亦应被视为有争议：(x) 任何债权申报中载明的债权金额或类别超过或不同于债务人在其清单中列明的任何相应债权金额或类别；(y) 如债务人在其清单中列明的任何相应债权被列为未清算、有争议或附条件债权，则该债权全部；或 (z) 如债务人未在其清单中列明任何相应债权，则该债权全部。\n\n44. “有争议债权准备金”是指债权人信托估计为合理必要的一项或多项现金准备金，用以满足债权人信托根据本计划及《债权人信托协议》可能须就获准行政债权、优先债权、专业人士报酬债权或其他事项作出的分配。\n\n45. “分配”是指根据本计划向获准债权持有人、优先清算信托资产和次级清算信托资产作出的现金分配。\n\n46. “分配日”是指首次分配日及任何后续分配日。\n\n47. “生效日”是指根据本计划第VIII条确定的日期。\n\n48. “实体”具有《破产法》第101(15)条规定的含义。\n\n49. “破产财产”是指债务人于申请日根据《破产法》第541条设立的破产财产。\n\n50. “免责方”统称：(a) 债务人；(c) 委员会及其每一位成员，但仅以该等身份；(d) 在第11章案件中获指定的任何第11章受托人和/或审查人；以及 (e) 前述各方各自的专业人士，该等专业人士在申请日至生效日期间的任何时间以该等身份履职。\n\n51. “待履行合同”是指债务人之一或多名作为一方当事人、并可根据《破产法》第365条或第1123条予以承接或拒绝的合同或租约。\n\n52. 就任何诉状而言，“提交”或“已提交”是指已录入第11章案件的案卷，并根据破产程序规则妥善送达。\n\n53. “最终证明”是指债权人信托向破产法院提交的文件，该文件：(a) 证明已就获准债权作出全部分配；以及 (b) 证明债权人信托的职责已全部完成。\n\n54. “最终命令”是指破产法院作出的命令或判决书，或就有关事项具有管辖权的其他法院作出的命令或判决书，该命令或判决书未被撤销、中止、修改或修正，且其上诉、申请调卷令复审或提出重新辩论或重新审理动议的期限已经届满，且未及时提出上诉或调卷令复审申请；或者，就已提出的任何上诉或已经或可能提交的任何调卷令复审申请而言，已由对该命令或判决书提出上诉或申请调卷令复审所及的最高法院解决，或已以有偏见方式被驳回。\n\n55. “一般申报截止日命令”是指《确定提交债权申报期限并批准其通知形式和方式的命令》[Docket No. ]，以及法院作出的任何其他和进一步命令，该等命令确定提交债权申报的截止日期、授予相关救济并实施相关程序。\n\n56. “一般申报截止日”是指一般申报截止日命令确定的提交债权申报的截止日期，但政府单位的债权、另行受特定期限限制的债权以及根据《破产法》第503(b)(9)条产生的债权除外。\n\n57. “一般无担保债权”是指无担保诉讼债权和无担保贸易债权。\n\n58. “Golden Spring”是指 Golden Spring (New York) Ltd.（纽约金泉有限公司）。\n\n59. “计划补充文件”系指计划的文件及文件格式、附表和附件汇编，该等文件可被变更、修订、修改或补充。\n\n78. “计划补充文件提交日”系指以下日期：(A) 在下列日期前至少六（6）个日历日的日期：(1) 投票截止日，及(2) 对确认提出异议的截止日期；或(B) 破产法院可通过裁定确定的其他日期。\n\n79. “优先债权”系指优先非税务债权和优先税务债权。\n\n80. “关联方已解除债权”系指与债务人及其第11章案件有关或以任何方式与之相关的、针对计划出资方和计划出资方关联方的任何及所有债权、义务、诉讼、判决书、损害赔偿、请求、债务、权利、诉因和责任，但债务人、重整后债务人或债权人信托根据确认裁定和计划，以及据此交付的合同、文书、解除文件及其他协议或文件执行相关义务的权利除外；无论该等债权等是否已清算或未清算、确定或或有、已到期或未到期、已知或未知、可预见或不可预见、届时存在或其后产生，系依据法律、衡平法或其他依据，亦无论其系基于侵权、合同、违反联邦或州证券法或其他法律；且该等债权等全部或部分基于在生效日当日或之前发生的任何作为、不作为、交易、事件或其他情形。\n\n89. “已解除债权”系指与债务人、债务人的行为、第11章案件、披露声明或计划有关或以任何方式与之相关的任何及所有债权、义务、诉讼、判决书、损害赔偿、请求、债务、权利、诉因和责任，但债务人、委员会、债权人信托或持有获准债权的债权人根据确认裁定和本计划，以及据此交付的合同、文书、解除文件及其他协议或文件执行相关义务的权利除外；无论该等债权等是否已清算或未清算、确定或或有、已到期或未到期、已知或未知、可预见或不可预见、届时存在或其后产生，系依据法律、衡平法或其他依据，亦无论其系基于侵权、合同、违反联邦或州证券法或其他法律；且该等债权等全部或部分基于在生效日当日或之前发生的任何作为、不作为、交易、事件或其他情形，包括但不限于计划出资方已解除债权和关联方已解除债权。\n\n90. “被解除方”合称债务人、计划出资方、计划出资方关联方、委员会及其仅以该等身份行事的各成员、在第11章案件中获任命的任何第11章受托人或审查员，以及前述各方的现任及前任代表（均以其该等身份而言）。\n\n91. “解除方”系指：(A) 债务人，代表其本人及其财产；(B) 委员会；(C) 每一获准无担保贸易债权持有人；(D) 每一有权根据第III.B.3条获得处理并作出船舶选择的债权持有人；以及(E) 任何其他有权投票接受或拒绝计划的债权持有人，条件是：(1) 该持有人投票接受计划，或(2) 该持有人投票拒绝计划且不是第三方解除选择退出债权人。\n\n92. “剩余UC现金”系指债权人信托清偿所有有权根据第III.B.3(b)(i)和III.B.4条获得处理的债权后剩余的任何UC现金。\n\n93. “保留诉因”系指属于债务人或重整后债务人、且并非已转让诉因的任何及所有诉因；但是，保留诉因不包括：(a) 根据本计划第IX条针对被解除方的已解除债权；(b) 根据本计划第IX条针对免责方的已免责权利或诉因；以及(c) 船舶所有权债权。\n\n94. “重整后债务人”系指自生效日当日及之后的债务人。\n\n95. “代表”就任何实体而言，系指其高级管理人员、经理、董事、现任及前任雇员、顾问、律师、专业人士、会计师、投资银行家、财务顾问、咨询顾问和代理人，均以其该等身份而言。就本定义而言，“经理”一词系指有限责任公司经理委员会的经理。\n\n96. “剩余权益”系指在根据本计划条款清偿所有债权后，债务人在债权人信托财产资产中享有的权益。\n\n97. “附表”系指于March 9, 2022提交的资产和负债附表及财务状况说明书，及其可能作出的修订或补充。\n\n98. “有担保债权”系指以下债权：(i) 由根据《破产法典》或适用的非破产法有效、完善并可执行的留置权，或因最终裁定而获得担保的债权；或(ii) 因《破产法典》第553条规定的抵销权而产生的债权；但无论如何，仅限于根据《破产法典》第506(a)条确定的持有人对财产对该等财产所享有权益中的财产权益价值，或视具体情况而定，仅限于受该等抵销约束的金额。\n\n99. “后续分配日”系指初始分配日之后债权人信托应进行一次或多次分配的日期，该等日期应由债权人信托受托人依其商业判断选定。\n\n100. “税务机关”系指负责评定、核算及／或征收税收收入的任何政府单位，包括但不限于Texas Comptroller of Public Accounts, Revenue Accounting Division（德克萨斯州公共账户主计长办公室税收会计处）。\n\n101. “第三方解除选择退出债权人”系指已投票拒绝本计划，并在用于征求接受或拒绝计划投票的选票上明确选择不提供本计划第IX条规定的对计划出资方或计划出资方关联方的解除的债权人。\n\n102. “美国受托人”系指第2区域的United States Trustee（美国受托人）。\n\n103. “未到期租赁”系指一名或多名债务人为当事方，且如有，根据《破产法典》第365或1123条可予承继或拒绝的租赁。\n\n104. “未受损”就债权或债权类别而言，系指并非《破产法典》第1123(a)(4)和1124条含义范围内的“受损”。\n\n105. “无担保诉讼债权”系指在申请日之前产生，并且(a) 无权根据《破产法典》第507条获得优先权，(b) 并非有担保债权，(c) 并非诉讼融资债权，(d) 并非无担保贸易债权，且(e) 根据申请日当日针对债务人尚在进行或受威胁的任何诉讼产生，或与其有关的债权。\n\n106. “无担保贸易债权”系指以下债权：(a) 无权根据《破产法典》第507条获得优先权，(b) 并非有担保债权，(c) 并非诉讼融资债权，且(d) 并非无担保诉讼债权；但是，无担保贸易债权应包括由债务人就债务人提起或针对债务人的任何诉讼所聘用的商品或服务提供商持有的申请日前债权；但进一步规定，为获得无担保贸易债权所享有的处理，任何该等债权的持有人必须同意：(x) 成为本文件所定义的解除方；及(y) 向债务人提供至少与申请日前90日内向债务人提供的条件同等有利的贸易信贷条件。任何潜在无担保贸易债权持有人如拒绝提供该等解除和贸易信贷条件，其债权应改按第3类无担保诉讼债权处理。\n\n107. “UC现金”系指计划出资方向债权人信托提供的现金，其金额足以清偿所有有权根据第III.B.3(b)(ii)或III.B.4条获得处理的债权。\n\nB. 解释规则\n\n1. 就本文件而言：(a) 在适当语境下，每一术语无论以单数或复数表述，均包括单数和复数；以阳性、阴性或中性性别表述的代词，均包括阳性、阴性和中性性别；(b) 本文件中任何提及某一合同、文书、解除文件或其他协议或文件采用特定形式或载有特定条款和条件的，均指所提及文件实质上采用该等形式或实质上载有该等条款和条件；(c) 本文件中任何提及某一现有文件或附件已经提交或将要提交的，均指该文件或附件其后可能经修订、修改或补充的版本；(d) 除非另有说明，本文件中所有对“条”的提及，均指本计划的条或与本计划有关的条；(e) “本文件中”、“本文件的”和“与本文件有关”等词语指整个计划，而非计划的某一特定部分；(f) 各条的标题和小标题仅为便于查阅而设，并非本文件的一部分，亦不旨在影响对本文件的解释；(g) 《破产法典》第102节规定的解释规则应适用；及 (h) 本文件中任何以大写形式使用但未另行定义、且在《破产法典》或《破产规则》中使用的术语，应具有《破产法典》或《破产规则》（视情况而定）赋予该术语的含义。\n\n2. 在计算本文件规定或允许的任何期间时，应适用 Fed. R. Bankr. P. 9006(a) 的规定。\n\n3. 除非另有明确规定，本文件中所有对货币数额的提及均指美利坚合众国货币。\n\n4. 如本计划与就本计划提交的披露声明、计划补充文件或其任何组成部分，或债务人组织文件之间存在任何不一致之处，应以本计划为准。\n\nC. Paralegal。\n\n第二条\n未分类债权\n\n根据《破产法典》第1123(a)(1)节，行政债权和优先税务债权未予分类，因此不属于第三条规定的债权类别。\n\nA. 行政债权\n\n在符合《破产法典》第328、330(a)及331节规定的前提下，债务人或生效日后的债权人信托（视情况而定）应以现金向每名获准行政债权持有人支付该获准行政债权的全部未付金额：(i) 于生效日或其后在可行情况下尽快支付（或者，如届时尚未到期，则于该获准行政债权到期时或其后在可行情况下尽快支付）；(ii) 如该债权于生效日后获准，则于该债权获准之日或其后在可行情况下尽快支付（或者，如届时尚未到期，则于该获准行政债权到期时支付）；(iii) 于该持有人与债务人或重组后债务人（视情况而定）可能约定的时间并按照其可能约定的条款支付；或 (iv) 于破产法院命令规定的时间并按照其规定的条款支付；但前提是，美国受托人无需在适用的行政债权申报截止日前，就根据 28 U.S.C. §1930 对财产裁定的费用和收费提出付款请求。\n\nB. 专业费用债权\n\n1. 破产法院应在确认命令中确定就生效日前提供的服务提出所有专业费用债权的申报截止日期；经重组后债务人同意，该截止日期可就一名或多名专业人士予以延长。任何专业费用债权如未在专业债权申报截止日前由专业人士提交，应根据本计划视为不予准许，并永久不得向财产、重组后债务人、债权人信托或重组后债务人或债权人信托持有或维护的任何其他财产主张，且其持有人应被禁止提起或继续任何诉讼、采用程序或采取行动，以收取、抵销、追偿或取得该债权。尽管对该命令尚有任何未决上诉、暂缓执行请求或复议请求，在符合《破产法典》第328、330(a)及331节规定的前提下，债务人或生效日后的债权人信托（视情况而定）应不迟于破产法院录入命令准许该债权之日起五（5）个营业日，以现金向每名获准专业费用债权持有人支付该获准专业费用债权的全部未付金额。\n\n2. 自生效日起及之后，(a) 重组后债务人应在正常业务过程中，无需进一步通知破产法院或向其提出申请，亦无需破产法院采取行动、作出命令或批准，以现金支付重组后债务人在生效日当日或之后发生的、与实施本计划有关的合理法律、专业或其他费用和开支；但该等费用和开支不得从行政及优先债权准备金中支付或应付；及 (b) 债权人信托应无需进一步通知破产法院或向其提出申请，亦无需破产法院采取行动、作出命令或批准，以现金支付债权人信托在生效日当日或之后发生的、与实施本计划有关的合理法律、专业或其他费用和开支。自生效日起，专业人士在寻求聘任或就该日期后提供的服务寻求报酬时，遵守《破产法典》第327至331、363及1103节和地方法院破产规则，或遵守破产法院任何命令的任何要求均应终止；重组后债务人和债权人信托可依照本第二条 B.2 的条款，在正常业务过程中聘任并支付任何专业人士，无需进一步通知破产法院，亦无需破产法院采取行动、作出命令或批准。\n\nC. 优先税务债权\n\n除非每名获准优先税务债权持有人同意接受较不优惠的处理，为充分且最终清偿、和解、解除及免除每项获准优先税务债权，对于每名其获准优先税务债权于生效日当日或之前到期应付的持有人，应在生效日后合理可行的尽快时间，就该债权获得：(1) 金额等于该获准优先税务债权金额的现金；(2) 债务人或债权人信托（视情况而定）与该持有人约定金额的现金；但前提是，该等当事人可进一步约定于较晚日期支付该获准优先税务债权；或 (3) 由债务人或债权人信托（视情况而定）选择，根据《破产法典》第1129(a)(9)(C)节，在申请日后不超过五年的期间内分期支付相当于该获准优先债权总额的现金。如任何获准优先税务债权于生效日当日或之前尚未到期应付，重组后债务人应依照债务人与该持有人之间任何协议的条款，或依照适用的非破产法或在正常业务过程中到期应付的方式，以现金全额支付该债权。如债务人或重组后债务人收到税务机关就生效日前期间作出的任何退税，该退税应抵销应向作出该退税的税务机关支付的任何尚未清偿的优先税务债权；税务机关作出的任何剩余退税应转交重组后债务人。\n\nD. 美国受托人法定费用\n\n债务人和重组后债务人（视情况而定）应根据 28 U.S.C § 1930(a)(6)，就每个季度（包括任何不足一个季度的期间），支付所有美国受托人季度费用，以及根据 31 U.S.C. § 3717 就所有支出（包括计划付款，以及在债务人或重组后债务人正常业务过程中和正常业务过程外的支出）到期应付的任何利息，直至第11章案件被转换、驳回或结案，以先发生者为准。\n\n第三条\n债权的分类和处理\n\nA. 概述\n\n1. 根据《破产法典》第1123(a)(1)节，如第二条所述，债务人未对行政债权、专业费用债权、美国受托人费用及优先税务债权进行分类。因此，除该等债权外，所有债权均按下文所述归入各类别。\n\n2. 债权的分类和处理\n\n1. 其他有担保债权（第1类）\n\n(a) 分类：第1类由其他有担保债权构成。\n\n(b) 处理：除非获准其他有担保债权持有人与债务人或债权人信托（视情况而定）另有共同约定，于生效日和该其他有担保债权获准之日中较晚者，或其后在可行情况下尽快，债权人信托应由其自行全权选择，并在适用范围内，为充分且最终清偿该其他有担保债权，采取下列任一措施：\n\n(i) 向该债权持有人交付担保该获准其他有担保债权的担保物；\n\n(ii) 向该债权持有人支付金额等于该担保物价值的现金；或\n\n(iii) 提供使该获准其他有担保债权未受损的其他处理。\n\n(c) 表决：第1类未受损，每名其他有担保债权持有人被最终视为已接受本计划，因此无权就本计划表决。\n\n2. 优先非税务债权（第2类）\n\n(a) 分类：第2类由优先非税务债权构成。\n\n(b) 处理：除非获准的第2类优先非税务债权持有人与债务人或债权人信托（视情况而定）另行共同约定，否则，在生效日和该获准优先非税务债权获得批准之日两者中较晚的日期，或其后在切实可行的情况下尽快，债权人信托应向每名获准第2类优先非税务债权持有人支付该获准第2类优先非税务债权的全额现金，以完全且最终清偿该获准优先非税务债权。\n\n(c) 表决：第2类未受损害，并且每名第2类优先非税务债权持有人被终局性地视为已接受本计划，因此无权就本计划进行表决。\n\n3. 无担保诉讼债权（第3类）\n\n(a) 分类：第3类由无担保诉讼债权构成。\n\n(b) 处理：获准无担保诉讼债权的持有人可在以下相互排斥的处理选项之间作出选择：\n\n(i) 在首次分配日和/或任何后续分配日当日或其后在切实可行的情况下尽快，债权人信托应向持有人支付一笔现金，以完全且最终清偿该获准无担保诉讼债权，该现金金额等于该债权获准金额的百分之十（10%）；\n\n(ii) 在首次分配日和/或任何后续分配日当日或其后在切实可行的情况下，债权人信托应向持有人支付其在剩余债权人信托财产资产中的按比例份额，以完全且最终清偿该获准无担保诉讼债权；但条件是，在本计划的表决记录日之前，该持有人应表明其是否选择作出船舶选择。\n\n(c) 表决：第3类受损害，无担保诉讼债权持有人有权投票接受或拒绝本计划。\n\n4. 无担保贸易债权（第4类）\n\n(a) 分类：第4类由无担保贸易债权构成。\n\n(b) 处理：在首次分配日和/或任何后续分配日当日或其后在切实可行的情况下尽快，债权人信托应向每名获准无担保贸易债权持有人支付一笔现金，以完全且最终清偿该获准无担保贸易债权，该现金金额等于该债权获准金额的百分之十（10%）。\n\n(c) 表决：第4类受损害，无担保贸易债权持有人有权投票接受或拒绝本计划。\n\n5. 诉讼融资债权（第5类）\n\n(a) 分类：第5类由诉讼融资债权构成。\n\n(b) 处理：第5类诉讼融资债权的持有人应获得次级清算信托权益，以清偿该等第5类家族办公室债权；但条件是，就第5类诉讼融资债权作出的任何分配不得超过该债权的获准金额。\n\n(c) 表决：第5类受损害，诉讼融资债权持有人有权投票接受或拒绝本计划。在诉讼融资债权持有人属于债务人内幕人士的范围内，该持有人的投票不得为满足《破产法典》第1129(a)(10)条之目的而予以考虑。\n\nC. 空缺类别的删除\n\n截至确认日，任何债权类别如不包含获准债权持有人或根据《破产规则》第3018条暂时获准债权的持有人，则就所有目的而言，均应被视为已从本计划中删除，包括为根据《破产法典》第1129(a)(8)条确定该类别是否接受本计划之目的。\n\nD. 本金与利息之间的分配\n\n对于就获准债权作出的分配，如任何有权根据本计划获得分配的该等债权由债务及其应计但未付利息构成，则该分配应首先分配给该债权的本金金额（为联邦所得税目的而确定），其后，在对价超过该债权本金金额的范围内，分配给应计但未付利息。\n\nE. 规范未受损害债权的特别规定\n\n除本计划另有规定外，本计划中的任何内容均不应影响债权人信托和/或重组后债务人就任何未受损害债权所享有的权利，包括但不限于就针对任何该等未受损害债权的法律及衡平法抗辩、抵销或追偿所享有的一切权利。\n\nF. 非合意确认\n\n债务人保留根据《破产法典》第1129(b)条寻求确认本计划的权利。在任何类别投票拒绝本计划的范围内，债务人进一步保留依照第XI.A条修改本计划的权利。\n\n第IV条\n实施本计划的方式\n\nA. 债权的一般和解\n\n如披露声明中进一步讨论及本文件另有规定，根据《破产法典》第1123条和《破产规则》第9019条，并作为本计划项下所规定分类、分配、豁免及其他利益的对价，于生效日，本计划的规定应构成对根据本计划解决的所有债权和争议的善意妥协与和解。向任何类别的获准债权持有人作出的分配旨在为最终分配。\n\nB. 重组交易\n\n于生效日或其后在合理可行的情况下尽快，重组后债务人、计划出资人和债权人信托可采取一切必要或适当行动，以实施本计划所述、批准、预期或为实施本计划所必需的任何交易，包括签署、提交和/或履行随计划补充文件提交的所有文件，进一步包括但不限于：(1) 签署及交付载有与本计划条款一致并符合适用法律要求之条款的适当协议或其他文件，包括但不限于与债权人信托协议有关的任何文件；(2) 签署及交付适当的转让、让与、承担或委托文书，以按与本计划条款一致的条件转移任何财产、权利、责任、职责或义务；以及 (3) 重组后债务人和债权人信托（视情况而定）确定为必要或适当的所有其他行动。\n\nC. 重组后债务人\n\n1. 除本计划或并入本文件的任何协议、文书或其他文件另有规定外，于生效日，(a) 所有债权人信托财产资产应归属债权人信托，且 (b) 非债权人信托财产资产的所有财产，包括保留诉讼因由，应归属重组后债务人，不受所有留置权、债权、费用或其他负担的约束。自生效日起，除本计划另有规定外，重组后债务人可在不受破产法院监督或批准的情况下，并不受《破产法典》或《破产规则》任何限制地使用、取得或处分财产。\n\n2. 在对债权人信托和重组后债务人而言合理便利的时间及条件下，由债权人信托承担费用，重组后债务人应向债权人信托及时提供查阅债务人账簿和记录的权限（但重组后债务人有权保留任何债务人特权），如有，并应以其他方式与债权人信托合作，以履行本文件进一步说明的债权人信托职责。\n\n3. 所有债务人特权应自动归属重组后债务人及其代表。\n\n4. 债权人受托人应：(i) 成为债务人特权的受益人；及 (ii) 有权主张所有债务人特权；在两种情况下，均仅限于该等债务人特权与受让诉讼因由或受让债权异议有关的范围内。在债权人受托人为依照本计划和债权人信托协议的条款行事所必要的范围内，债务人特权应延伸至债权人受托人，且不构成放弃或豁免。向债权人受托人披露受律师—客户特权、工作成果保护或豁免，或债务人享有的免于披露的保护所约束的债务人文件、信息或通信，不得构成对任何债务人特权的放弃。为免生疑，债权人受托人无权或无能力有意或无意地放弃重组后债务人的任何特权。前述规定不得构成对债务人拥有或保留的其他特权的放弃或其他损害。\n\n5. 在针对债务人的所有债权获得清偿后，债权人信托应就债务人在该等资产中的剩余权益，将所有剩余债权人信托财产资产转让给重组后债务人。于该等转让后，所有受让诉讼因由应被视为保留诉讼因由，并应依照上文第IV.C.1段和下文第IV.J条归属重组后债务人。\n\nD. 债权人信托\n\n1. 任命。\n\n(a) 自生效日起，初始债权人受托人应成为并担任债权人受托人。债权人受托人应获得债权人信托协议中具体规定的报酬及合理费用偿还。债权人受托人无需提交费用申请即可获得报酬。\n\n(b) 债权人受托人应为债务人在计划补充文件中指定的无利害关系人士。\n\n(c) 债权人受托人应履行本第IV.D条及债权人信托协议规定的职责。根据《破产法典》第1123(b)(3)条，债权人受托人应被视为指定代表，并可依照债权人信托受益人的最佳利益及为其利益，对受让诉讼因由和受让债权异议进行追诉、诉讼、妥协及和解。\n\n(d) 除法律授予或本计划任何其他条款赋予债权人受托人的任何权力（包括但不限于本计划所载的任何权力）外，债权人受托人还应有权及授权实施《债权人信托协议》中所述的行为（在适用情况下须经法院批准）；但前提是，下列权力的列举在任何方面均不得被视为限制或控制债权人受托人依本计划、《债权人信托协议》和/或任何适用法律的任何其他条款明确授权行事的权力和权限，亦不得限制或控制债权人受托人以其认为必要或适当的方式采取其认为适当的任何行动的权力和权限，包括但不限于履行债权人受托人承担的或本计划规定的全部义务，以及保存和保护债权人信托，或向债权人提供本计划意图给予其的利益。债权人受托人有权且经授权，无需法院进一步批准，即可清算CT资产、聘用并支付律师及其他顾问的专业费用和开支、起诉并和解对争议债权的异议、起诉并和解任何遗产债权，并以其他方式采取管理案件及实现案件结案所必需的任何行动，包括但不限于如下行动：(a) 依照《破产法》第345条投资资金，以及依照本计划和《债权人信托协议》，从债权人受托人持有的资金中提取资金、作出分配，并支付债权人信托应付的税款和其他义务；(b) 无需破产法院事先命令或批准，聘用并支付雇员及专业人士的报酬，以协助债权人受托人履行其职责；(c) 代表债权人信托追索、起诉、解决、妥协并和解任何受让诉因，无需破产法院事先批准，但须符合《债权人信托协议》；(d) 提起受让债权异议，包括但不限于通过异议、动议或对抗程序使与受让诉因有关的债权从属于其他债权或重新定性该等债权的权力；以及(e) 依本计划、《债权人信托协议》、破产法院命令赋予或由债权人受托人承担的，或为执行本计划条款所必需且适当的其他权力。\n\n(e) 除本计划及《债权人信托协议》明确规定外，债权人受托人代表债权人信托，有绝对酌处权追索或不追索其认定符合债权人信托受益人最佳利益且符合债权人信托宗旨的任何受让诉因，并且除构成重大过失或故意不当行为的决定外，不对其决定的结果承担责任。债权人受托人可为清算及将CT资产转换为现金而发生任何合理且必要的费用。在遵守本计划其他条款和规定的前提下，债权人受托人应基于其作为破产法院指定的债务人遗产代表的权力，被授予主张、起诉和/或和解受让诉因的诉讼资格、权限、权力和权利，其能力与破产受托人、接管人、审查人、财产保全人、清算人、重整人或类似官员所拥有的能力相同或相似。\n\n(f) 如债权人受托人辞职、被免职、被终止任职或以其他方式无法担任债权人受托人，则应依《债权人信托协议》的规定指定继任者。任何获指定的继任债权人受托人均应受本计划、确认裁定和《债权人信托协议》条款的约束并遵守该等条款。\n\n2. 债权人信托的设立和治理。\n\n(a) 于生效日，债权人受托人应签署《债权人信托协议》，并应采取依照本计划设立债权人信托及其中受益权益所必需的任何其他步骤。《债权人信托协议》应包含在可比情况下使用的信托协议中惯常载有的条款，包括但不限于确保债权人信托在联邦所得税目的下持续被视为授予人信托，以及债权人信托受益人被视为其授予人和所有人的任何及所有必要条款。《债权人信托协议》可规定除本计划明确载明者以外的权力、职责和权限，但仅限于该等权力、职责和权限不影响债权人信托在美国联邦所得税目的下作为“清算信托”的地位。\n\n(b) 债权人信托设立后，所有债权人信托遗产资产应被视为于生效日转让给债权人信托，无需债务人或债务人的任何雇员、代理人、顾问或代表采取任何进一步行动。债权人受托人应同意，依照本计划和《债权人信托协议》的条款，为债权人信托受益人的利益接受并持有CT资产。债务人、计划出资人、债权人受托人、债权人信托受益人以及受该等当事方控制的任何一方，将签署任何文件或其他文书，并采取一切其他必要步骤，以促使债权人信托遗产资产、船舶及UC现金的所有权转让给债权人信托。\n\n(c) 就联邦所得税而言，向债权人信托转让资产将被视为应税出售或以其他方式处分资产给债权人信托受益人，以换取其在Chapter 11 Case中的债权。债权持有人在大多数情况下应确认收益或损失，其金额等于该持有人以其债权换取而取得的“实现额”与该持有人在该债权中的调整后计税基础之间的差额。“实现额”等于在该等交换中收到的现金与任何其他对价的公允市场价值之和。持有人在债权中的计税基础通常应等于该持有人为此支付的成本。在适用范围内，任何已确认收益或损失的性质（即普通收入、短期或长期资本收益或损失）将取决于持有人的身份、该债权在持有人手中的性质、取得该债权的目的和情形、持有人对该债权的持有期间，以及持有人先前就该债权全部或部分无价值而申报扣除的程度。\n\n(d) 就美国联邦所得税而言，所有当事方（包括但不限于债务人、债权人受托人和债权人信托受益人）均应将债权人信托遗产资产、船舶及UC现金转让给债权人信托，视为：(1) 将债权人信托遗产资产转让给债权人信托受益人，继而(2) 以该等资产向债权人信托出资，以换取其中的权益。生效日后尽快，债权人受托人应对债权人信托的资产进行（或促使进行）善意估值，所有当事方均应在美国联邦所得税目的下统一使用该估值。因此，就美国联邦所得税而言，债权人信托受益人应被视为其各自所占CT资产份额的授予人和所有人（可分配给争议债权的该等债权人信托遗产资产除外）。在适用法律允许的范围内，上述处理方式亦适用于州和地方所得税目的。\n\n(e) 债权人受托人应依Treasury Regulations section 1.671-4(a)及本计划，以授予人信托的身份为债权人信托提交申报表。债权人信托的应税收入、收益、损失、扣除或抵免，应按照各债权人信托受益人在债权人信托中相对受益权益的比例分配给该等受益人。\n\n(f) 债权人信托应税收入在债权人信托受益人之间的分配（可分配给任何可分配给争议债权或因争议债权而保留的资产的应税收入除外），应参照如下方式确定：如在该视同分配紧接之前，债权人信托已将其全部资产（按其税务账面价值计价，但可分配给争议债权的资产除外）分配给债权人信托权益持有人，并就先前的应税收入和损失作出调整且考虑到债权人信托此前及同时作出的所有分配，则代表该等应税收入的一笔现金将以何种方式分配（如该现金获准在该时点分配）。同样，债权人信托的应税损失应参照以下方式分配：在对剩余债权人信托遗产资产进行假设清算分配后，经济损失将立即以何种方式承担。就本段而言，CT资产的税务账面价值应等于CT资产转让给债权人信托之日的公允市场价值，并应依IRC、适用Treasury Regulations以及其他适用行政和司法机关及公告所规定的税务会计原则进行调整。\n\n(g) 除非IRS或有管辖权的法院作出相反的最终指引，债权人受托人(i) 可及时选择将任何可分配给争议债权的CT资产视为受Treas. Reg. § 1.468B-9管辖的“争议所有权基金”，以及(ii) 在适用法律允许的范围内，应在州和地方所得税目的下作出一致申报。如作出“争议所有权基金”选择，所有当事方（包括债权人受托人和债权人信托受益人）均应在美国联邦、州和地方所得税目的下按照上述处理方式一致申报。\n\n(h) 债权人信托应负责从债权人信托遗产资产中支付对债权人信托（包括任何争议债权准备金）或债权人信托遗产资产征收的任何税款。更具体而言，对任何争议债权准备金或其资产征收的任何税款，应从争议债权准备金的资产中支付（包括可分配给争议债权的任何债权人信托遗产资产），并在就该等债权获准或不获准而作出的任何后续分配中予以抵销。\n\n(i) 债权人信托应受《债权人信托协议》管辖，并由债权人受托人管理。债权人受托人的权力、权利和责任应在《债权人信托协议》中规定。\n\n3. 债权人信托遗产资产的归属。在生效日，债权人信托将自动取得债务人和遗产就所有债权人信托遗产资产各自享有的一切权利、所有权及权益，且不附带任何债权、留置权、负担、费用及其他权益。在完成将债权人信托遗产资产转让给债权人信托后，除非本计划或确认命令另有规定，债务人和重整后债务人将不再对债权人信托遗产资产或债权人信托享有任何权益或与之相关的权益，但重整后债务人的剩余权益除外。同样，在完成该等转让后，并受本计划或确认命令所规定的例外情形约束，债权人信托对债务人或遗产的任何财产均不享有任何权利、所有权或权益，但债权人信托遗产资产除外。债权人信托应按照本计划和债权人信托协议的规定持有并分配债权人信托遗产资产。\n\n4. 付款代理人。在生效日，债权人信托将取得不附带任何债权、留置权、负担、费用及其他权益的UC现金。债权人受托人应就无担保贸易债权持有人以及有权根据第III.B.3(b)(i)条获得处理的债权担任付款代理人。\n\n5. 债权人信托的目的。债权人信托应为清算和分配其资产之目的而设立，符合《财政部条例》第301.7701-4(d)条的规定，并根据《国内税收法典》第671至679条，就联邦所得税目的作为“授予人信托”设立，且无继续经营或从事贸易或商业活动的目的。\n\n6. 权限。债权人受托人应有权并有权利代表债务人和遗产，且无需破产法院批准（在每种情况下，除非本计划或债权人信托协议另有规定），执行和实施本计划的所有适用条款，包括：\n\n(a) 评估、提起、诉讼、和解或以其他方式追究任何受让诉因；\n\n(b) 审查、核对、妥协、和解、寻求劣后处理或反对与受让诉因有关的债权，无论该等债权已申报或已列明（且无论其是否被列明为无争议、非或有或已确定金额），并按本计划规定解决该等受让债权异议，不受《破产法》或《破产规则》任何限制；\n\n(c) 计算并作出本计划项下的临时和最终分配；\n\n(d) 根据并按照本计划和债权人信托协议计算并设立争议债权准备金；\n\n(e) 留聘、支付报酬并雇用专业人士及其他人员，就债权人受托人的权利和责任代表债权人受托人；\n\n(f) 视适当情况设立、维护和管理文件及账户，并应在适当范围内按照本计划将其分离；\n\n(g) 维护、保全、收取、和解、管理、投资、执行及保护CT资产，包括其项下、因其产生或与其相关的一切权利和救济；\n\n(h) 按债权人受托人认为必要、适当或可取的条款，出售、清算、转让、让与、分配、放弃或以其他方式处置CT资产或其任何部分或其中权益；\n\n(i) 协商、承担并支付债权人信托的费用；\n\n(j) 编制和提交本计划、任何政府单位或适用法律要求的，与债务人有关的一切税务和信息申报表、报告、声明、申报表及其他文件或披露；\n\n(k) 汇编和维护正式债权登记册，包括为根据本计划作出首次及后续分配之目的；\n\n(l) 在清偿有权根据第III.B.3(b)(i)条和第III.B.4条获得处理的债权后，向Golden Spring汇付任何剩余UC现金；\n\n(m) 请求并取得查阅债务人账簿和记录的权限（不包括可能涉及与受让诉因无关的任何债务人特权的任何项目）；\n\n(n) 按《破产法》第345条允许的方式投资现金（包括其任何收益或所得款项）；但前提是，该等投资为《财政部条例》第301.7701-4(d)条所述、其中反映的，或适用IRS指南、裁决或其他具有控制力的权威所允许由清算信托作出的投资；\n\n(o) 销毁债权人信托的记录；\n\n(p) 根据适用法律结束债权人信托事务并解散债权人信托；\n\n(q) 在遵守本文件第IV.F.2条和第IV.N条的前提下，结案本第11章案件；\n\n(r) 遵守本计划，行使债权人受托人的权利，并履行债权人受托人的义务；以及\n\n(s) 行使债权人受托人认为实施本计划所必需且适当的其他权力。\n\n7. 信托费用。债权人受托人可在正常业务过程中，无需向破产法院提出任何申请或取得其批准，支付债权人受托人及其代理人、雇员、律师、顾问和其他专业人士在管理本计划和债权人信托过程中产生或应付的任何已发生但未支付的实际且必要的费用、成本、开支和义务，包括但不限于对已提供服务的合理报酬，以及偿还债权人受托人及其代理人、雇员和专业人士在生效日后直至并包括破产法院作出结案本第11章案件的终局裁定之日所产生的实际且必要的开支。所有该等费用、成本、开支和义务均应计入债权人信托遗产资产并从中支付。\n\n8. 债权人信托权益的不可转让性。债权人信托权益不得转让，但通过遗嘱、无遗嘱继承或以其他法律效力方式转让的除外。\n\n9. 无凭证债权人信托权益。债权人信托中的受益权益不应以凭证形式发行，除非债权人信托协议另有规定。在适用证券法和税法允许且不违反该等法律的范围内，债权人信托中的受益权益可按照债权人信托协议中将详述的条款转让。\n\n10. 债权人信托的解散。债权人受托人和债权人信托应视具体情况在以下时间解除责任或解散：(i) 债权人信托的所有资产均已清算，以及(ii) 债权人受托人根据本计划须作出的所有分配均已作出；但除非破产法院根据在第五（5）周年之前六（6）个月期间内提出的动议（如属任何延期，则应在该延期届满前六（6）个月内提出）认定，为促进或完成债权人信托资产的追收和清算，有必要作出固定期限的延期，否则债权人信托在任何情况下均不得迟于生效日后五（5）年解散；该延期不得超过三（3）年，与此前任何延期合计亦不得超过三（3）年，除非IRS作出有利的书面裁定，确认任何进一步延期不会不利影响债权人信托作为联邦所得税目的下清算信托的地位。\n\n11. 证券豁免。根据本计划向债权人信托受益人发行的受益权益并非意图构成适用法律下的“证券”，但债务人并不声明或保证该等权益不会构成证券，或将有权根据适用证券法获得注册豁免。如该等权益构成证券，债务人意图使《破产法》第1145条及适用证券法所规定的注册豁免适用于根据本计划对该等权益的发行。\n\n12. 控制条款。就债权人信托而言，如本计划与债权人信托协议之间存在任何不一致，应以本计划为准。\n\nE. 重整交易及对重整后债务人和债权人信托的资金注入\n\n1. 生效日交易\n\n在生效日，应发生下列行动和转让：\n\n(a) 所有第5类诉讼资金债权应视为按计划补充文件所列金额获准。\n\n(b) 重整后债务人应订立债权人信托协议。\n\n(c) Golden Spring应向债权人信托转让足以清偿债权人信托就所有有权根据第III.B.3(b)(i)条和第III.B.4条获得处理的债权所负义务的现金金额；但债权人信托应在清偿所有有权获得该等处理的获准债权后，向Golden Spring返还任何剩余UC现金。\n\n(d) 债权人信托应以债权人信托遗产资产设立并注资行政及优先债权准备金，且债权人信托应拥有维护该准备金并从中作出分配的专属权限。\n\n(e) HK USA应将该船只转让给债权人信托。\n\n(f) 在完成上述事项后，重整后债务人有权但无义务请求结案本第11章案件。\n\n2. 对债权人信托的资金注入\n\n在生效日，计划资金提供方应为行政及优先债权准备金提供资金，债权人信托应设立并此后维持该准备金。计划资金提供方还应视适用情况并按适当金额提供UC现金。\n\n3. 行政及优先债权准备金\n\n在生效日，债权人信托应设立行政及优先债权准备金。行政及优先债权准备金中的资金应由债权人信托用于支付美国受托人费用以及获准行政债权、获准优先债权和获准专业报酬债权，但以该等获准债权在生效日当日或之前尚未全额支付为限。在支付所有获准行政债权、获准优先债权、获准专业报酬债权和美国受托人费用后，行政及优先债权准备金中剩余的任何金额应返还给债权人信托。\n\nF. 债务人在确认日后继续作为占有中的债务人\n\n债务人应在自确认日起至生效日止的期间内继续作为占有中的债务人运作。\n\nG. 行政申报截止日的设定\n\n1. 行政申报截止日应为生效日后三十（30）日。\n\n2. 除非本计划或确认命令另有规定，在行政申报截止日当日或之前，即下午5:00（美国东部现行时间）前，视适用情况而定，每一行政债权持有人（以该持有人此前尚未获得支付为限）必须向破产法院提交该行政债权的付款请求。\n\n3. 任何须提交该行政债权付款请求但未在行政申报截止日之前向破产法院提交该请求的行政债权持有人，均应被永久禁止、不得主张且被禁令禁止向债务人主张该行政债权，并且该行政债权应自生效日起视为已获解除和免除。\n\nH. 禁令或中止的期限\n\n除非另有规定，根据《破产法》第105条或第362条或其他规定在第11章案件中作出的、且在确认日仍然有效的所有禁令或中止，均应在《破产法》第362(c)条规定的范围和期限内继续完全有效。\n\nI. 实施文件和交易\n\n1. 自生效日起，基于确认命令的作出，计划所设想的所有行动应视为已获授权、批准，并且，就在生效日前已采取的行动而言，已获追认，而无需债权持有人、债务人或任何其他实体或个人进一步采取行动。\n\n2. 重整后债务人获授权且可以签发、签署、交付、提交或登记为实现、实施及进一步证明计划条款和条件所必需或适当的合同、证券、文书、豁免文件及其他协议或文件，并采取该等行动；除计划明确要求的批准、授权或同意外，无需取得任何批准、授权或同意。重整后债务人获授权签署、交付、提交或登记该等合同、文书及其他协议或文件，并在其合理酌情决定认为实施本第四条I款规定所必需或适当时，采取该等其他行动。\n\n3. 尽管适用的非破产法有任何要求，本第四条I款所设想的授权和批准均应有效。\n\nJ. 保留诉权\n\n1. 根据《破产法》第1123(b)条，但受下文第IX条所载豁免的约束，债务人可能对任何个人或实体享有的所有保留诉因，应于生效日归属于重整后债务人。此后，重整后债务人应享有专属权利、权限及酌处权，以决定并提起、提交、追诉、执行、放弃、和解、折衷、豁免、撤回或诉讼至判决任何保留诉因，无论该等诉因产生于申请日之前或之后，亦可在未经任何第三方同意或批准，且无需向破产法院进一步通知或取得其行动、命令或批准的情况下，决定不采取前述任何行动。任何个人不得以计划、计划补充文件或披露声明中未具体提及任何特定保留诉因为由，作为债务人或重整后债务人（视情况而定）不会追诉任何及所有可用保留诉因的任何迹象。除计划另有明确规定外，债务人或重整后债务人（视情况而定）明确保留针对任何个人或实体追诉任何及所有保留诉因的一切权利；因此，在确认或生效日时、之后或因确认或生效日所致，任何保留诉因均不适用任何排除原则，包括既判力、禁止反言、争点排除、请求权排除、禁止反言（司法、衡平或其他）或迟延抗辩原则。\n\n2. 根据《破产法》第1123(b)条，但受下文第IX条所载豁免的约束，债务人可能对任何个人或实体享有的所有已转让诉因，应于生效日归属于债权人信托。此后，债权人信托应享有专属权利、权限及酌处权，以决定并提起、提交、追诉、执行、放弃、和解、折衷、豁免、撤回或诉讼至判决任何已转让诉因，无论该等诉因产生于申请日之前或之后，亦可在未经任何第三方同意或批准，且无需向破产法院进一步通知或取得其行动、命令或批准的情况下，决定不采取前述任何行动。任何个人不得以计划、计划补充文件或披露声明中未具体提及任何特定已转让诉因为由，作为债务人或债权人信托（视情况而定）不会追诉任何及所有可用已转让诉因的任何迹象。除计划另有明确规定外，债务人或重整后债务人（视情况而定）明确为债权人信托的利益保留一切权利，并不可撤销地将该等权利转让给债权人信托，以针对任何个人或实体追诉任何及所有已转让诉因；因此，在确认或生效日时、之后或因确认或生效日所致，任何已转让诉因均不适用任何排除原则，包括既判力、禁止反言、争点排除、请求权排除、禁止反言（司法、衡平或其他）或迟延抗辩原则。\n\n3. 尽管第四条J.1款有任何规定，在以下两者中较早发生者之前：(a) 根据本计划条款第3类无担保诉讼债权获全额清偿；及(b) 计划出资人行使保留选择权，债务人应：(1) 尽其商业上合理努力，善意追诉已转让诉因直至其得到解决，并就任何拟议的已转让诉因和解向第3类无担保诉讼债权持有人发出不少于五（5）个日历日的通知；以及(2) 如债权人信托在该五（5）个日历日通知期内不同意债务人就任何保留诉因提出的和解方案，则该保留诉因的和解应受破产法院根据《破产规则》第9019条作出的批准约束。\n\nK. 最终证明及案件结案\n\n1. 生效日后，在第11章案件仍未结案的范围内，债权人信托应负责支付根据28 U.S.C. § 1930(a)(6)就生效日后期间应缴的法定费用，并应支付或促使支付在作出最终法令或将破产案件转换或驳回的命令作出前应缴的所有费用。根据本文件第四条E.1款，在其中所定义的生效日交易完成后的任何时间，重整后债务人或债权人信托经另一方同意，均有权请求法院将第11章案件结案。\n\n2. 在遵守上述段落的前提下，如债权人信托不同意由重整后债务人将第11章案件结案，则债权人信托经重整后债务人同意后（该同意不得被无理拒绝），在第11章案件完全管理完毕时，应提交最终证明，并请求破产法院根据《破产法》和《破产规则》授权将第11章案件结案。\n\n3. 债权人信托和重整后债务人各自在与另一方协商后，均有资格请求重新开启第11章案件。\n\n第五条\n\n规范分配的规定\n\nA. 初始分配日\n\n在初始分配日或其后在合理可行的情况下尽快，债权人受托人应作出或为计划要求作出的分配预留充足准备金。\n\nB. 有争议债权的处理\n\n1. 除计划、最终命令或相关当事人另有约定外，对于生效日后成为获准债权的有争议债权，计划项下的分配应于该有争议债权成为获准债权后至少三十（30）日的第一个分配日作出；但前提是，(a) 对于债务人在第11章案件期间正常业务过程中产生的，或债务人在生效日当日或之前承继的负债所涉、且在生效日后成为获准债权的有争议行政债权，重整后债务人应按照任何控制性协议、交易惯例、业务惯例或行业惯例的条款和条件，在正常业务过程中支付或履行；以及(b) 在生效日后成为获准优先税务债权的有争议优先税务债权，应于该有争议债权成为获准债权后至少三十（30）日的第一个分配日，按获准优先税务债权处理。\n\n2. 尽管计划另有任何规定，且除相关当事人另有约定外，在与某项有争议债权相关的所有该等争议经和解或最终命令解决前，不得就该有争议债权作出任何部分付款或部分分配。如存在需要裁决和解决的有争议债权，债权人受托人应就该等债权的潜在付款设立适当准备金。\n\n3. 有争议债权准备金。自生效日起及之后，债权人信托可以设立并维持有争议债权准备金。\n\nC. 后续分配\n\n1. 对于根据本第五条C款在后续分配日支付的任何分配的未付金额，不应计提或支付利息。\n\n2. 如任何在初始分配日或任何后续分配日就其债权获得分配的获准债权持有人，因任何原因有权就该债权获得额外分配，包括因该债权按比例份额增加或额外资产成为债权人信托财产资产的一部分，债权人受托人可酌情在任何后续分配日向该持有人作出该等额外分配。\n\nD. 分配的记录日\n\n除法院最终命令另有规定外，根据《破产规则》第3001条在记录日当日或之前转让的债权的受让人，就所有目的而言应被视为该等债权的持有人，尽管《破产规则》第3001条规定的对该转让提出异议的任何期间可能在记录日尚未届满。债权人受托人无义务承认记录日后发生的任何债权转让。在就任何债权作出任何分配时，债权人受托人有权仅承认并就本文件项下所有目的与以下实体进行处理：于记录日营业结束时，在就该债权提交的债权证明或附表中列为其持有人的实体，以及债权人受托人在记录日实际知悉的其他转让或让与证据或记录所示的实体。\n\nE. 分配的交付\n\n1. 一般规定；无法交付的分配\n\n在遵守《破产规则》9010且除非本文件另有规定的前提下，获准债权持有人应由债权人受托人或其指定人士作出分配，前提是资金可用且该等分配在经济上可行，分配应寄送至：(a) 附表中列明的各持有人地址，除非该地址已被该持有人提交的债权申报中列明的地址取代；或 (b) 如未提交债权申报，或债务人或债权人受托人已收到关于地址变更的书面通知，则寄送至该持有人最后已知的地址。债权人受托人应代表重整后债务人根据本计划作出分配。如任何分配因无法送达而被退回，债权人受托人可自行酌情作出其认为适当的合理努力，以确定作出该分配所涉债权持有人的现时地址；但前提是，(i) 除非且直至债权人受托人确定该持有人的当时现时地址，否则不得向该持有人作出任何分配，届时应向该持有人作出不计利息的分配；及 (ii) 如债权人受托人无法确定该持有人的当时现时地址，则该分配应自首次因无法送达而被退回之日起视为无人认领，并按下文第 V.E.3 条规定处理。债权人受托人有权酌情决定以尽可能最高效及最具成本效益的方式作出分配；但其酌情权不得以与本计划任何明示要求不一致的方式行使。\n\n2. 最低分配额\n\n如根据本计划作出的任何中期分配少于 $500.00，则重整后债务人或债权人受托人（视情况而定）可暂缓该分配，直至向该持有人作出最终分配。如根据本计划作出的任何最终分配为 $100.00 或以下，则除非以书面形式向债权人信托提出请求，否则不向该持有人作出该等分配。\n\n3. 无人认领财产\n\n除因作为争议债权准备金而未作出分配的财产外，自相关分配之日起九十（90）日期满仍未被认领的分配，应视为根据《破产法典》第 347(b) 条规定的无人认领财产，并应归属或重新归属于债权人信托。作出该等分配所涉的债权应自动注销。该三个月期间届满后，任何实体对该等分配提出的债权应获解除并永久禁止。计划中的任何规定均不得要求债权人信托尝试查找任何获准债权持有人。根据本段归属或重新归属于债权人信托的所有资金或其他财产，应当：(a) 按照计划规定的方式及范围，用于支付债权人信托的费用和开支；及 (b) 此后按本文件另行规定分配给获准债权持有人。若在作出所有经济上可行的分配后仍有任何债权人信托财产资产剩余，则该等剩余财产可予以放弃；变现为现金并分配给由债权人信托选择的已注册 501(c)(3) 组织（前提是该等分配在经济上可行）；或以其他方式处置。无人认领财产及债权人信托财产资产的任何剩余部分均不得归入任何联邦、州或地方政府或其他实体。\n\nF. 根据本计划支付现金的方式\n\n根据本计划作出的现金支付，应由债权人信托选择，以由债权人信托选定的境内银行开具的支票或由境内银行电汇的方式，以美元支付。\n\nG. 支票现金支付的期限限制\n\n债权人信托就获准债权签发的支票，如未在签发之日起九十（90）日内兑现，即属无效。根据本第 V.H 条变为无效的任何支票的重新签发请求，应由最初获签发该支票的获准债权持有人直接向债权人信托提出。就该等失效支票提出的任何债权，须于生效日期起六（6）个月或该支票签发之日起九十（90）日中较晚者当日或之前以书面形式提出。在该日期之后，就无效支票提出的所有债权均应获解除并永久禁止，且该等支票的款项应根据《破产法典》第 347(b) 条作为无人认领财产重新归属于债权人信托并成为其财产，并按第 V.E.3 条规定予以分配。\n\nH. 遵守税务要求\n\n1. 就根据本计划作出分配而言，在适用的范围内，债权人信托应遵守任何政府单位对其施加的所有税款预扣及申报要求，且根据本计划作出的所有分配均应受该等预扣及申报要求的约束。\n\n2. 债权人信托可要求任何持有人提供遵守任何政府单位任何预扣要求所必需的信息，包括但不限于 Form W-8BEN、Form W-8BEN-E 或 Form W-9，或该持有人的纳税人识别号；但该等要求必须以书面形式提出，且仅可在该等信息和文件未载于债务人的账簿和记录中，或在未提出该等要求的情况下无法以其他方式获得的范围内提出。\n\n3. 债权人信托可将向任何持有人作出的任何分配，以收到根据上文第 (2) 款适当要求的信息和文件为条件。如该持有人未在该请求发出后六十（60）日内提供所要求的信息和文件，则该持有人的分配应根据第 V.E.3 条作为无人认领财产处理。\n\nI. 债权的申请后利息\n\n除本计划或确认命令另有明确规定外，债权不计利息，且任何债权持有人均无权获得任何债权自申请日起或其后产生的利息。除本文件或法院终局命令另有明确规定外，任何申请前债权如系申请后利息或其他类似费用，则不得在该等范围内获准。\n\nJ. 不得作出超过获准债权金额的分配\n\n尽管本计划载有任何相反规定，任何获准债权持有人就该债权收到的任何分配，不得超过该债权的获准金额。\n\nK. 抵销和追偿\n\n债权人信托可（但无义务）从任何债权及根据本计划就该债权作出的分配中，抵销或追偿属于债权人信托财产资产的任何性质的任何债权或抗辩。债务人、重整后债务人或债权人信托未对任何债权行使任何抵销或追偿权，或根据本计划准许任何债权，均不构成债务人、财团或重整后债务人放弃或解除其任何一方可能对任何债权持有人享有的任何抵销或追偿权。获准债权持有人保留其根据《破产法典》第 553 条原本有权主张的任何抵销权。\n\n第 VI 条\n争议债权\n\nA. 在债权获准前不作分配\n\n尽管本计划有任何其他规定，除非且直至任何争议债权成为获准债权，债权人信托不得就该争议债权分配任何现金或其他财产。\n\nB. 债权异议截止期限\n\n就所有债权而言，债权异议截止期限应为生效日期后 180 日；但就针对债权持有人提起撤销权诉讼的最后日期，应为《破产法典》第 546(a) 条规定的日期；而主张任何其他保留诉因或受让诉因的最后日期，应为适用非破产法规定的适用诉讼时效最后一日，该期间可依《破产法典》第 108 条或《破产法典》任何其他条款或其他适用法律予以延长；但进一步规定，任何实体或个人（包括债务人、重整后债务人、债权人信托或任何债权持有人）均不得对本计划视为获准的任何债权提出异议，且任何该等异议应视为无效。尽管有前述规定，重整后债务人或债权人信托（就受让债权异议而言）可向破产法院请求一次或多次延长债权异议期限；在说明理由后，该等救济应予宽准，而延长后的日期应成为适用于重整后债务人或债权人信托的新的债权异议截止期限。\n\nC. 争议债权的解决\n\n1. 重整后债务人或债权人信托（就受让债权异议而言）应享有独占权，以作出、提交、提起、和解、妥协、撤回或以经破产法院批准的任何方式解决对债权提出的异议，包括优先债权、管理费用债权和专业人员报酬债权。如债务人或委员会提出的任何异议在生效日期时仍未决，则重整后债务人或债权人信托（就受让债权异议而言）应视为取代债务人或委员会（视情况而定）成为提出异议的一方。\n\n2. 所有异议均应诉讼至作出终局命令；但重整后债务人或债权人信托（就受让债权异议而言）可在破产法院作出命令的前提下，对任何债权异议进行妥协和和解。\n\n3. 如重整后债务人或债权人信托（就受让债权异议而言）合理认为不存在对该持有人债权提出异议的依据，且就非受让债权异议而言，债权人信托同意重整后债务人的评估，则可在债权异议截止期限届满前向债权持有人作出分配。尽管有前述规定，本计划中的任何内容均不得解释为构成对以下权利的放弃或解除：(i) 任何利害关系方可能享有的对以下事项提出异议的任何权利：(a) 截至生效日期的任何债权，或 (b) 生效日期后的任何专业人员报酬债权；或 (ii) 截至生效日期尚未决的任何债权异议，无论该等异议由债务人或任何其他利害关系方提出。\n\nD. 债权估算\n\n在任何时候，重整后债务人（就与受让诉因相关的债权除外）或债权人信托（就与受让诉因相关的债权而言）可在《破产法典》第 502(c) 条允许的范围内，请求破产法院对债权人信托将据以作出分配的任何债权进行估算。\n\nE. 不准许债权\n\n根据《破产法》第542、543、550或553条可向其追回财产的实体所持有的任何债权，或作为根据《破产法》第522(f)、522(h)、544、545、547、548、549或724(a)条可撤销转让之受让人的实体所持有的任何债权，如该诉因属于保留诉因或受让诉因，应依《破产法》第502(d)条视为不予认可；该等债权的持有人在针对该实体的该等诉因已和解，或破产法院已就此作出命令，且该实体应向债务人移交或支付的所有款项（如有）均已移交或支付给债务人之前，不得就该等债权获得任何分配。\n\nF. 无需提出异议即可调整债权\n\n任何已获支付或清偿、经修订或被取代的债权，均可由通知代理人按照重组后债务人的指示（就与受让诉因有关的债权除外），或由债权人信托按照其指示（就与受让诉因有关的债权而言），在债权登记册上标注为已清偿、调整或注销，而无需提交债权异议，亦无需向破产法院进一步通知，或取得其采取行动、作出命令或批准。\n\nG. 债权修订\n\n确认日后，未经破产法院授权，不得提交或修订债权；即使获得该等破产法院授权，除非破产法院另有规定，该等债权的持有人仅可修订以减少而不得增加该债权的金额、数量或优先顺位。\n\n除非本文件另有规定或另有约定，所有于适用的申报截止日期后提交债权证明的持有人，均不得依据《破产程序规则》第3003(c)(2)条及《一般申报截止日期命令》，为表决和分配之目的被视为债权人，除非该迟延债权已于确认听证会当日或之前被终局命令视为及时提交。\n\n第七条\n待履行合同和未到期租赁的处理\n\nA. 拒绝待履行合同和未到期租赁\n\n1. 于生效日，除非本文件另有规定，任何此前未被拒绝、承继或承继并转让的待履行合同或未到期租赁，均应根据《破产法》第365条和第1123条自动视为被拒绝，除非该待履行合同或未到期租赁：(a) 在本计划或计划补充文件中被明确载明为与本计划确认相关而予以承继；(b) 截至确认日，属于尚待裁决的承继或承继并转让动议之标的；(c) 已被承继或承继并转让予第三方；或(d) 属于与本计划相关订立的合同、文书、豁免、契约或其他协议或文件。破产法院作出确认命令，即构成根据《破产法》第365(a)条和第1123条对该等承继、转让和拒绝的批准。\n\n2. 尽管本计划有任何相反规定，如就合同是否为待履行合同或租赁是否为未到期租赁发生争议，债务人或重组后债务人（视情况而定）提出动议以承继或拒绝该等合同或租赁的权利，应延长至破产法院作出认定该合同为待履行合同或该租赁为未到期租赁的终局命令后第三十（30）日。\n\n3. 根据本计划拟承继或承继并转让的每项待履行合同和未到期租赁项下的任何金钱违约，应依《破产法》第365(b)(1)条，通过于生效日以现金支付补救费用予以清偿，但受下一段所述限制，或依该待履行合同或未到期租赁当事人另行约定的其他条款予以清偿。债务人应连同计划补充文件，在此前未向法院提交并向受影响相对方送达的范围内，规定提交并向适用的合同及租赁相对方（以及该等实体的律师，如已知）送达拟议承继及拟议补救费用的通知（如债务人寻求根据本计划承继并转让未到期租赁，债务人将确定受让人（如有），并在《破产法》第365条含义内就该受让人的未来履行能力提供充分保证），连同对此提出异议及由法院解决争议的程序。合同或租赁相对方对拟议补救费用提出的任何异议，必须在拟议承继及补救费用通知规定的异议截止日期前提交、送达并由债务人实际收到；该截止日期不得早于适用的拟议承继及拟议补救费用通知提交并送达之日后十四（14）日。合同或租赁相对方对拟议承继、承继并转让或充分保证提出的任何异议（拟议补救费用除外），必须在计划异议截止日期前提交、送达并由债务人实际收到。任何待履行合同或未到期租赁的相对方未及时对拟议承继或补救费用提出异议的，应视为已同意该等承继或补救费用。对拟议承继、承继并转让或补救费用的任何异议，将安排由法院在该异议被及时提交后的重组后债务人首次预定合并听证会上审理。如就下列事项发生争议：(1) 任何补救费用的金额；(2) 重组后债务人或任何受让人是否有能力就拟承继或承继并转让的待履行合同或未到期租赁，在适用情况下依《破产法》第365(b)条含义提供“未来履行的充分保证”；及/或(3) 与承继及/或转让有关的任何其他事项，则该等补救费用应于作出解决争议并批准承继及转让该等待履行合同或未到期租赁的终局命令后支付，或按债务人或重组后债务人与该待履行合同或未到期租赁相对方约定的方式支付；但债务人可就任何补救费用金额的争议达成和解，无需进一步通知任何一方，亦无需法院采取行动、作出命令或批准；又但尽管本文件有任何相反规定，债务人保留在作出下列终局命令后二十五（25）日内拒绝任何待履行合同或未到期租赁，或使对其的承继失效的权利：解决对承继或承继并转让的异议；确定曾属争议标的的待履行合同或未到期租赁项下补救费用，且该金额高于债务人所主张金额；或解决承继该待履行合同或未到期租赁所需的任何未来履行充分保证请求。\n\n4. 在遵守前述各段条款的前提下，根据本计划或以其他方式承继或承继并转让任何待履行合同或未到期租赁，以及支付补救费用，应导致在承继或承继并转让生效日前任何时间，根据任何获承继的待履行合同或未到期租赁产生的任何债权或违约（无论为金钱或非金钱违约）得到完全解除和清偿，包括限制控制权或所有权权益构成变更的条款违约或其他与破产有关的违约。就已被承继或承继并转让且补救费用已支付的待履行合同或未到期租赁所提交的任何债权证明，均应视为不予认可并予以注销，无需进一步通知法院或由法院采取行动、作出命令或批准。尽管有前述规定，债务人和重组后债务人仍将依照其条款履行任何获承继的待履行合同和未到期租赁项下的所有申请后及生效日后义务，无论该等义务是否被列为补救费用，亦无论该等义务是在生效日前或后产生；支付补救费用或作出确认命令，均不得视为解除债务人或重组后债务人履行该等义务的责任。尽管有前述规定，承继任何待履行合同或未到期租赁及/或支付任何补救费用，不构成解除债务人或重组后债务人对任何一方持有的任何债权，但就该获承继的待履行合同或未到期租赁的违约或不履行所持有的债权除外。\n\nB. 基于拒绝待履行合同或未到期租赁的债权\n\n因拒绝待履行合同和未到期租赁而产生的债权，必须依照《一般申报截止日期命令》及其中定义的拒绝申报截止日期的条款提交。因拒绝待履行合同或未到期租赁而产生的任何债权，如未在该期间内依照《一般申报截止日期命令》及时提交债权证明，除非破产法院另有命令或本文件另有规定，否则将永久不得向债务人、破产财产、其继承人和受让人及其资产和财产主张。所有该等债权自生效日起均受第九条D款所列永久禁令的约束。除非破产法院另有命令，所有依本文件规定及时提交的该等债权，均应根据本计划作为一般无担保债权处理，并受本计划第三条规定的约束。\n\nC. 债务人的保险单\n\n本计划或确认命令中的任何内容，均不改变债务人（及其破产财产）与债务人的保险人（及第三方理赔管理人，如有）在债务人的保险单（如有）项下的权利和义务，亦不修改其项下提供的保险范围或给付，或其条款或条件，或削弱或损害债务人保险单的可执行性。在该获认可债权的持有人已穷尽有关该保险单的所有救济之前，不得就根据债务人某一保险单应付的获认可债权作出本计划项下的任何分配。如债务人的一个或多个保险人同意全部或部分清偿一项债权（如且在具有管辖权的法院作出裁判的范围内），则于该等保险人作出该同意后，该债权的适用部分可立即予以注销，无需提交债权异议，亦无需向破产法院进一步通知，或由其采取行动、作出命令或批准。\n\n第八条\n生效日的先决条件\n\nA. 生效日的先决条件\n\n以下为必须满足或被豁免的生效日先决条件：\n\n1. 确认命令应完全有效并具效力。\n\n2. 实施本计划所必需的所有文件，包括但不限于债权人信托协议，应当：(a) 视情况而定，已签署或视为已签署；及(b) 已提交以供交付。该等文件和协议生效的所有先决条件，均应已依其条款得到满足或被豁免。\n\n3. 尽管有上述规定，债务人保留放弃生效日期任何先决条件发生的权利，或修改上述任何先决条件的权利。本条所载任何先决条件的该等放弃，可在任何时候生效，无需通知，无需破产法院准许或命令，且除着手完成本计划外，无需任何正式行动。任何须于生效日期采取的行动，应同时进行并视为同时发生，且任何该等行动均不得视为在采取任何其他该等行动之前发生。\n\nB. 生效日期条件未发生的效力\n\n如生效日期未发生，债务人可在通知破产法院后，确定本计划在一切方面均属无效，且本计划、确认命令或披露声明所载任何内容均不得：(1) 构成对任何诉讼原因或债权的放弃或解除；(2) 构成包括债务人在内任何一方在任何方面作出的承认、确认、要约或承诺；或 (3) 以其他方式在任何方面损害包括债务人在内任何一方的权利。\n\nC. 确定生效日期\n\n作为生效日期的日历日期，应为债务人选定的、在满足或放弃生效日期全部条件之日、当日或其后立即的一个营业日。在生效日期当日或其后两（2）个营业日内，债务人应提交并送达生效日期发生通知。该通知应包括但不限于行政债权截止日期和专业人士债权截止日期。\n\n第IX条\n解除、禁令及相关规定\n\nA. 和解与调解\n\n根据《破产法典》第363条及《破产程序规则》第9019条，并鉴于根据本计划作出的分配及提供的其他利益，本计划的规定应构成对所有债权的善意和解。确认命令的作出应构成破产法院对所有债权之和解或调解的批准，以及破产法院认定该等和解或调解公平、衡平、合理且符合债务人、破产财产及债权持有人的最佳利益。\n\nB. 解除及相关事项\n\n尽管本计划中有任何相反规定，于生效日期及截至生效日期，除非本计划另有规定，解除方应视为永久解除、放弃并免除各被解除方就被解除债权所承担的责任。\n\n确认命令的作出应构成破产法院根据《破产程序规则》第9019条对本第IX.B条所载解除的批准，以及其认定该等解除：(A) 符合债务人及所有债权持有人的最佳利益；(B) 公平、衡平且合理；以及 (C) 在给予适当通知及听证机会后获批准。\n\nC. 放弃对未知债权解除的限制\n\n第IX.B条所载解除应延及各方在作出解除时并不知悉或预期存在的被解除债权；如已知悉该等债权，可能会影响作出解除的决定。债务人应视为放弃，并应在法律允许的最大范围内放弃及让渡美国或其任何州或领地的任何法律，或普通法原则所赋予的、规范或限制个人对未知债权作出解除的任何及所有规定、权利和利益。\n\n债务人亦确认，就本解除的标的事项而言，其可能发现除其现时知悉或相信为真实的事实之外的或不同的事实，但各方的意图是，在不考虑其后发现或存在额外或不同事实的情况下，就任何及所有被解除债权，包括任何及所有未知债权，作出完全、最终且永久的有偏见和解及解除。债务人明确同意，任何可能以未知事实或其后发现的事实为依据的欺诈诱导或类似债权，均包含在未知债权的定义之内。\n\nD. 免责\n\n尽管本计划中有任何相反规定，自生效日期起，免责方对于在申请日与生效日期之间就第11章案件、披露声明、本计划或任何实施本计划的文件的谈判及提交、第11章案件的提交、债权的和解或待履行合同和租赁的重新谈判、寻求确认本计划、完成本计划，或管理本计划或根据本计划拟分配的财产而采取或未采取的任何作为或不作为，不应承担或产生任何责任；但因故意不当行为、重大过失、欺诈或犯罪行为所致的作为或不作为，或其根据本计划或就本计划所设想交易所承担的任何义务除外；且在所有方面，免责方均有权就其在本计划下的职责和责任合理依赖律师的意见。\n\nE. 禁令\n\n根据本计划第IX条作出的清偿、解除和免除，亦应构成针对受该等规定约束的任何人士的禁令，禁止其在《破产法典》授权或规定的最大范围内，就根据本计划或确认命令已获清偿、解除或免除的任何债权或诉讼原因，提起或继续任何诉讼、采用任何法律程序，或采取任何追收、抵销或追偿行为，包括但不限于该法典第524条和第1141条所规定或授权的范围。\n\nF. 留置权的解除\n\n除本计划或确认命令另有规定外，于生效日期，如存在任何针对破产财产的抵押、信托契据、留置权、质押或其他担保权益，均应获得完全解除和免除；该等抵押、信托契据、留置权、质押或其他担保权益的任何持有人的一切权利、所有权和权益，均应复归债务人及重组后债务人。\n\nG. 保留诉讼权利\n\n1. 诉讼原因的归属\n\n(a) 除本计划或确认命令另有规定外，根据《破产法典》第1123(b)(3)条，债务人可能对任何实体享有的任何保留诉讼原因，应于生效日期归属于重组后债务人，且重组后债务人应享有专属权利，无需破产法院作出进一步命令，即可在任何法院或其他裁判机构提起和追诉任何保留诉讼原因，包括但不限于在第11章案件中提交的一项或多项对抗程序中提起和追诉。\n\n(b) 此后，保留诉讼原因应仍为重组后债务人的专有财产，且由此取得的任何收益均应为重组后债务人的财产。\n\n(c) 除本计划或确认命令另有规定外，根据《破产法典》第1123(b)(3)条，债务人可能对任何实体享有的任何已转让诉讼原因，应于生效日期归属于债权人信托，且债权人信托应享有专属权利，无需破产法院作出进一步命令，即可提起和／或追诉任何已转让诉讼原因。\n\n2. 保留所有未被明确和解或解除的保留诉讼原因\n\n(a) 就任何保留诉讼原因而言，重组后债务人明确保留向任何实体，包括但不限于该等诉讼中的原告或共同被告，追诉或采纳任何债务人作为被告或利害关系人参与的任何诉讼中所主张的任何债权的权利。\n\n(b) 在遵守紧接前述段落的前提下，(i) 债务人已对其负有义务的任何实体（无论该义务系因服务、货物买卖或其他原因而产生），(ii) 曾接受债务人提供服务或接受债务人金钱或财产转让的任何实体，(iii) 曾与债务人进行交易、向债务人租赁财产的任何实体，或 (iv) 曾向债务人提供建议的任何专业人士，均应在每种情况下假定，任何该等作为、不作为、义务、转让或交易，可能在生效日期后由重组后债务人审查，并可能成为生效日期后诉讼的标的，而不论：(A) 该实体是否已在第11章案件中对债务人提交债权证明；(B) 债务人或重组后债务人是否已对该实体的任何债权证明提出异议；(C) 该实体的任何债权是否已列入清单；(D) 债务人或重组后债务人是否已对该实体列入清单的债权提出异议；或 (E) 该实体列入清单的债权是否已被债务人或重组后债务人认定为有争议、附条件或未确定金额。\n\n第X条\n管辖权保留\n\n尽管确认命令已经作出且生效日期已经发生，破产法院应在生效日期后，在法律允许的范围内，就与第11章案件、债务人、重组后债务人、债权人信托及本计划有关的一切事项，对第11章案件及所有实体保留该等管辖权，包括但不限于以下管辖权：\n\n1. 准许、不准许、确定、清算、分类、估算或确定任何债权的优先权或有担保或无担保地位，包括裁决任何行政债权付款请求，以及裁决对债权准许或优先权提出的任何及所有异议；\n\n2. 批准或驳回就截至生效日期当日或之前的期间，根据《破产法典》或本计划获授权的报酬准许或费用偿还申请；\n\n3. 裁决与债务人作为一方当事人或债务人可能就其承担责任的任何待履行合同或未到期租约之承接、转让或拒绝有关的任何事项，并审理、确定及在必要时清算由此产生的任何债权，包括根据第XI.B条于生效日期后对本计划作出任何修订的相关事项；\n\n4. 确保根据本计划的规定向获准债权持有人作出分配；\n\n5. 执行债权人信托协议的条款及其项下任何权利和救济；\n\n6. 决定或裁决于生效日期尚待处理的、或由重组后债务人在生效日期后提起的、涉及债务人的任何动议、对抗程序、有争议或诉讼事项及任何其他事项，并批准或驳回任何申请，包括但不限于任何保留诉讼原因；但重组后债务人和债权人信托应保留在所有适当管辖地提起诉讼的权利；\n\n7. 作出为实施或完成本计划的规定，以及就本计划、计划补充文件或披露声明所采纳的所有其他合同、文书、解除、契约及其他协议或文件所必需或适当的命令；\n\n8. 裁决可能因生效日期、本计划的解释或执行，或任何实体就本计划所承担的义务而产生的任何案件、争议、诉讼或纠纷；\n\n9. 发布并执行禁令，作出并执行其他命令，或采取为制止任何实体干扰生效日或计划执行所必要或适当的其他行动，但计划另有规定的除外；\n\n10. 执行本文件第IX.B条；\n\n11. 执行本文件第IX.D条规定的禁令；\n\n12. 解决与第IX条所载解除、禁令及其他条款有关的任何案件、争议、诉讼或纠纷，并作出为实施或执行所有该等解除、禁令及其他条款所必要或适当的命令；\n\n13. 如确认裁定被修改、中止、撤销、废止或宣告无效，作出并执行必要或适当的命令；\n\n14. 解决可能因计划、披露声明、确认裁定，或与计划或披露声明有关而订立的任何合同、文书、解除文件、契约或其他协议或文件而产生或与之有关的任何其他事项；\n\n15. 根据《破产法典》第346、505及1146条，审理并裁定有关州、地方及联邦税收的事项；以及\n\n16. 作出 Fed. R. Bankr. P. 3022 所设想的命令和/或终结第11章案件的法令。\n\n第XI条\n杂项规定\n\nA. 计划的修改\n\n在遵守计划所载限制的前提下：(1) 债务人保留在确认裁定作出前依照《破产法典》和《破产规则》修订或修改计划的权利，包括为满足《破产法典》第1129(b)条而作出的修订或修改；以及 (2) 在确认裁定作出后，债务人或重整后债务人（视情况而定）可与债权人信托协商和/或应其要求，依照《破产法典》第1127(b)条修改计划，或以为实现计划宗旨和意图所必要的方式补救计划中的任何瑕疵或遗漏，或消除计划中的任何不一致之处。\n\nB. 计划的撤回\n\n债务人保留在确认裁定作出前撤销或撤回计划，以及提交后续第11章计划的权利。如债务人撤销或撤回计划，或确认裁定的作出或生效日未发生，则：(1) 计划在所有方面均属无效；(2) 计划所载的任何和解或妥协、计划所实施的对待履行合同或租赁的拒绝，以及根据本文件签立的任何文件或协议，均应视为无效；以及 (3) 计划所载任何内容均不得：(a) 构成债务人或任何其他实体提出或针对其提出的任何请求权的放弃或解除；(b) 以任何方式损害债务人或任何其他实体的权利；或 (c) 构成债务人或任何其他实体作出的任何形式的承认。\n\nC. 法定费用的支付\n\n根据 28 U.S.C. § 1930 在生效日前到期应付的所有费用，均应由债务人在生效日支付。生效日后，债权人信托应在任何该等费用到期应付时支付全部该等费用，并应以美国受托人（U.S. Trustee）合理接受的形式向破产法院提交季度报告。债权人信托应持续负有向美国受托人支付季度费用的义务，直至第11章案件被结案、驳回或转换为《破产法典》第7章案件三者中最先发生者。\n\nD. 继承人和受让人\n\n本文件中被指名或提及的任何实体的权利、利益和义务，应对该实体的任何继承人、遗嘱执行人、遗产管理人、继受人或受让人具有约束力，并应使其受益。\n\nE. 准据法\n\n除非联邦法律（包括《破产法典》和《破产规则》）规定法律或程序规则，或另有明确规定，否则康涅狄格州法律（不适用法律冲突原则）应管辖计划以及与计划有关而签立或订立的任何协议、文件、文书或合同的权利、义务、解释和实施（该等协议另有规定的除外，在该情形下，应以该协议的准据法为准）。\n\nF. 权利保留\n\n除本文件明确规定外，除非且直至破产法院作出确认裁定，计划不具有任何效力。计划的提交、本文件所载的任何陈述或条款，或债务人或任何实体就计划采取的任何行动，均不构成或视为构成对下列任何权利的承认或放弃：(1) 任何债务人就请求权持有人或其他利害关系方所享有的权利；或 (2) 任何请求权持有人或其他利害关系方在生效日前所享有的权利。\n\nG. 第1146条豁免\n\n根据《破产法典》第1146(a)条，依本文件进行的任何财产转让，在美国均不应缴纳任何印花税或其他类似税费或政府征费，确认裁定应指示适当的州或地方政府官员或代理人免予征收任何该等税费或政府征费，并在无需支付任何该等税费或政府征费的情况下，接受为备案和登记而提交的与该等财产转让有关的文书或其他文件。\n\nH. 完整协议\n\n于生效日，计划及计划补充文件取代就该等事项进行的所有先前及同时期谈判、承诺、约定、协议、谅解及陈述，所有该等内容均已合并并整合至计划中。\n\nI. 附件\n\n计划补充文件中包含的所有附件和文件均并入计划，并构成计划的一部分，犹如已在计划中全文列明。除计划另有规定外，计划补充文件中包含的该等附件和文件，应视情况于计划补充文件提交日或征求日当日或之前向破产法院提交。该等附件和文件提交后，可应书面请求向债务人律师在上述地址索取其副本，或通过从债务人的私人网站 http 或破产法院网站 http 下载该等附件和文件取得其副本。\n\nJ. 不可分割性\n\n如在确认前，计划的任何条款或规定被破产法院认定为无效、失效或不可执行，破产法院有权在与被认定为无效、失效或不可执行的条款或规定原有目的相一致的情况下，对该条款或规定作出变更和解释，以使其在可行的最大范围内有效或可执行，该条款或规定随后应按经变更或解释后的内容适用。尽管有任何该等认定、变更或解释，计划其余条款和规定仍应完全有效，并且绝不会因该等认定、变更或解释而受到影响、损害或失效。确认裁定应构成司法认定，并应规定，计划的每一条款和规定（经依照上述规定作出变更或解释者）均：(1) 依其条款有效且可执行；(2) 为计划不可或缺的组成部分，未经债务人同意不得删除或修改；以及 (3) 不可分割且相互依存。\n\nK. 委员会解散\n\n于生效日，委员会应视为解散，委员会成员应免除并解除因破产案件产生或与其有关的一切进一步权限、职责、责任和义务，而委员会聘用的专业人士应免除并解除与债务人及破产案件有关的一切进一步权限、职责、责任和义务。\n\nL. 第1125(e)条善意遵守\n\n债务人及其各自代表应视为已根据《破产法典》第1125(e)条“善意”行事。\n\nM. 免责\n\n根据《破产法典》第1141(d)条，于生效日发生时，确认裁定应视为已免除债务人在确认裁定作出日前产生的任何债务。\n\nN. 进一步保证\n\n债务人、重整后债务人、依本文件获得分配的所有请求权持有人及所有其他利害关系方，应不时准备、签立和交付为实施计划或确认裁定的条款和意图所必要或适宜的任何协议或文件，并采取任何其他行动。\n\nO. 文件送达\n\n计划要求向债务人送达或交付的任何诉状、通知或其他文件，应按以下方式通过预付邮资的美国一级邮件寄送：\n\nBrown Rudnick LLP（布朗·鲁德尼克律师事务所） Seven Times Square New York, NY 10036 收件人：Uriel Pinelo, Esq.\n\nP. 提交补充文件\n\n于生效日当日或之前，债务人可向破产法院提交为实施及进一步证明本文件条款和条件所必要或适当的所有协议及其他文件。\n\nQ. 确认裁定不停止执行\n\n确认裁定应包含对任何原本适用的执行停止的放弃，包括根据 Fed. R. Bankr.
