Baldiga, Esquire, a partner of Brown Rudnick (the \"Baldiga Affidavit\"); and the Court being satisfied, based on the representations made in the Application and the Baldiga Affidavit, that Brown Rudnick does not represent or hold any interest adverse to Mr. Kwok or his Chapter 11 estate as to the matters upon which it is to be engaged and is a \"disinterested person\" under 11 U.S.C. § 101(14), as modified by 11 U.S.C. § 1107(b), and that the employment of Brown Rudnick is necessary to Mr. Kwok (\"Debtor\") and his Chapter 11 estate; and the Court having jurisdiction to consider the Application and the relief requested therein in accordance with 28 U.S.C. §§ 157 and 1334; and after due deliberation and sufficient cause appearing thereforeDIWHUWKHKHDULQJKHOG RQ\\$SULO:\n\n1 Capitalized terms not otherwise defined herein shall have the meanings ascribed in the Application.\n\n#### **IT IS HEREBY ORDERED THAT:**\n\n1. That the Application is granted and approved subject to the terms and limitations herein.\n\n2. Pursuant to Sections327(a) of title 11 of the United States Code, 11 U.S.C. §§ 101, et seq. (the \"Bankruptcy Code\"), Rule 2014 of the Federal Rules of Bankruptcy Procedure (the \"Bankruptcy Rules\") and Rule 2014-1 of the Local Bankruptcy Rules for the District of Connecticut (the \"Local Rules\"), the Debtor, is authorized to employ and retain Brown Rudnick as his counsel to perform the services as set forth in the Application and the Baldiga Affidavit, effective as of the Petition Date.\n\n3. Notwithstanding any provision of the Engagement Agreement, any dispute concerning the performance of services by Brown Rudnick pursuant to the Engagement Agreement shall be governed by and construed in accordance with the laws of the State of Connecticut.\n\n4. Notwithstanding the Engagement Agreement and the Client Engagement Terms incorporated therein, Brown Rudnick will not, during the pendency of the chapter 11 case, represent any client that is adverse to the Debtor or the estate, and that the conflicts section in the Client Engagement Terms at ECF 142 at pages 21-23 does not, during the pendency of the chapter 11 case, supersede, override, waive, or negate the obligations the Debtor has to the estate, the obligations Brown Rudnick has to the Debtor and the estate in the role as chapter 11 counsel to the Debtor, nor the professional responsibilities Brown Rudnick has and owes to the Debtor.\n\n5. Baldiga 律师（以下简称“Baldiga 宣誓书”）的宣誓书；法院基于申请及 Baldiga 宣誓书中的陈述，确认 Brown Rudnick 就其受聘处理的事项不代表或持有任何与 Kwok 先生或其第11章破产财产相冲突的利益，且根据经 11 U.S.C. § 1107(b) 修正的 11 U.S.C. § 101(14)，其为“无利害关系人”，并确认聘用 Brown Rudnick 对 Kwok 先生（以下简称“债务人”）及其第11章破产财产属必要；法院根据 28 U.S.C. §§ 157 and 1334 对申请及其中所请求的救济具有管辖权；并在适当审议后，于4月举行听证会后认为存在充分理由：\n\n1 除非本文另有定义，首字母大写的术语应具有申请中所赋予的含义。\n特此命令：\n\n1. 申请获准并予以批准，但受限于本文所载条款及限制。\n\n2. 根据《美国法典》第11编第327(a)条，11 U.S.C. §§ 101, et seq.（以下简称“破产法典”）、《联邦破产程序规则》（以下简称“破产规则”）第2014条及《康涅狄格州地区法院地方法院破产规则》（以下简称“地方法院规则”）第2014-1条，授权债务人聘用并留任 Brown Rudnick 作为其法律顾问，自申请日起生效，以履行申请及 Baldiga 宣誓书所列服务。\n\n3. 尽管委托协议中有任何规定，任何有关 Brown Rudnick 根据委托协议履行服务的争议，均应受康涅狄格州法律管辖并依其解释。\n\n4. 尽管委托协议及纳入其中的客户委托条款另有规定，在第11章案件审理期间，Brown Rudnick 不得代表任何与债务人或破产财产利益相冲突的客户；且 ECF 142 第21-23页客户委托条款中的利益冲突部分，在第11章案件审理期间，不得取代、凌驾、放弃或否定债务人对破产财产所负的义务、Brown Rudnick 作为债务人第11章法律顾问对债务人及破产财产所负的义务，亦不得取代、凌驾、放弃或否定 Brown Rudnick 对债务人所负的职业责任。\n\n5. 尽管委托协议及纳入其中的客户委托条款另有规定，Brown Rudnick 应按小时计酬，并报销费用，依照《破产法典》第330及331条、届时不时适用的该等破产规则、康涅狄格州地区地方法院规则及美国受托人办公室制定的指南，以及本法院命令可能规定的其他程序。Brown Rudnick 无权就法院裁定的费用收取利息。\n\n6.
