{"id":"court_ctb_855_4","court":"CTB","case_no":"22-50073","doc_number":855,"sub_number":4,"doc_type":"EXHIBIT","filed_date":"2022-09-13","title":"Exhibit D GENEVER HOLDINGS CORP","summary_zh":null,"summary_en":null,"body_en":"# **Exhibit D**\n\n# **GENEVER HOLDINGS CORP**\n\n(as the *Company*)\n\nand\n\n**HARNEYS CORPORATE SERVICES LIMITED** (as *Harneys Fiduciary*)\n\n# **DIRECTOR SERVICES AGREEMENT**\n\n# **THIS SERVICE AGREEMENT** is made 13th September 2022\n\n### **BETWEEN**\n\n- 1 **Genever Holdings Corporation**, whose particulars are set out in Schedule 1 (the *Company* and in the Terms, *You*);\n- 2 **HARNEYS CORPORATE SERVICES LIMITED**, whose particulars are set out in Schedule 1 (*Harneys Fiduciary*); and\n- 3 Solely for purposes of Section 6 hereof, the **Chapter 11 Estate of Ho Wan Kwok**, whose particulars are set out in Schedule 1 (the **Kwok Estate**).\n\n### **BACKGROUND**\n\n- A The Company wishes to appoint Harneys Fiduciary to provide the services of director(s) for the Company.\n- B Harneys Fiduciary is willing to provide the Company with such services on the terms and conditions set out in this Service Agreement.\n- C The shares in the Company are held by the Chapter 11 Estate of Ho Wan Kwok.\n\n#### **IT IS AGREED** as follows:\n\n#### **1 INTERPRETATION**\n\n1.1 In this Service Agreement clause 2.1 of the Terms apply and:\n\na *director* has the meaning given to such term in the Act.\n\n*Act* means the BVI Business Companies Act 2004.\n\n*Harneys Fiduciary Directors* has the meaning given to such term in Clause 3.1.\n\n*Power of Attorney* means any power of attorney granted by the Company in favour of another Person.\n\n*Terms* has the meaning given to such term in Clause 2.1.\n\n1.2 Capitalised terms that are not defined in this Service Agreement have the meanings given to them in the Terms.\n\n### **2 INCORPORATION OF THE TERMS**\n\n2.1 The general terms and conditions of Harneys Fiduciary posted on its website and accessible at http (*Terms*) are incorporated into and form part of this Service Agreement. The Terms comprise further important terms, including terms relating to the extent of the duty, liability, indemnification of Harneys Fiduciary, data protection and variation of the Terms, including variation by Harneys Fiduciary alone.\n\n- 2.2 By executing this Service Agreement, the Company warrants that it has read the Terms, and acknowledges and agrees that the Terms are incorporated into, and form part of this Service Agreement. The Company also acknowledge and agree that the Terms as unilaterally varied by Harneys Fiduciary from time to time, and any such variations will be incorporated into and form part of this Service Agreement.\n- 2.3 The express terms of this Service Agreement including the Terms contain the entire agreement between the Parties relating to the matters contemplated herein and such agreement supersedes all previous understandings and agreements between the Parties relating to the subject matter of this Service Agreement and any term which would otherwise be implied is excluded.\n- 2.4 In the event of conflict between any provisions of the Terms and this Service Agreement, the provisions of this Service Agreement shall prevail. Where the Terms confer further or greater rights on Harneys Fiduciary or greater obligations on the Company, such terms shall not be deemed to conflict with the terms of this Service Agreement and shall confer such greater rights or obligations.\n- 2.5 Each Party acknowledges that in entering into this Service Agreement it does not rely on any statement, representation, assurance or warranty of any Person (whether a Party or not) other than as expressly set out in this Service Agreement.\n\n# **3 APPOINTMENT OF DIRECTORS**\n\n- 3.1 The Persons specified in Schedule 1 or such other Persons as may be appointed by Harneys Fiduciary in their place and notified accordingly to the Company (the *Harneys Fiduciary Directors*) shall be made available by Harneys Fiduciary for appointment as director(s) of the Company.\n- 3.2 The appointment of the Harneys Fiduciary Directors shall be made effective as soon as practicable after the receipt by Harneys Fiduciary of the annual fee set out in the Schedule 2.\n- 3.3 Any nomination or appointment of an alternate director by the Harneys Fiduciary Directors shall be at the sole discretion of the Harneys Fiduciary Directors, and any such alternate may be an affiliate of Harneys Fiduciary.\n- 3.4 The services of Harneys Fiduciary and the Harneys Fiduciary Directors to the Company hereunder are not exclusive and Harneys Fiduciary and the Harneys Fiduciary Directors shall be free to render similar services to others. Harneys Fiduciary and the Harneys Fiduciary Directors shall not be deemed to be affected with notice of, or to be under any duty to disclose to the Company, any fact or thing which may come to the notice of Harneys Fiduciary, the Harneys Fiduciary Directors, or any employee or agent of Harneys Fiduciary or the Harneys Fiduciary Directors, in the course of rendering similar services to others or in the course of its business in any other capacity or in any manner whatsoever otherwise than in the course of carrying out the services contained in this Service Agreement.\n\n# **4 DIRECTOR SERVICES & INSTRUCTIONS**\n\n- 4.1 The Harneys Fiduciary Directors shall be appointed on the basis that they will undertake their duties in accordance with what they consider to be the best interests of the Company.\n- 4.2 The Parties agree that the Harneys Fiduciary Directors shall not, however, be obliged to act in any manner which may:\n\t- (a) conflict with any laws of the British Virgin Islands or otherwise be illegal or immoral; or\n\t- (b) be unethical, unduly onerous or be of such nature that it might damage the reputation of, or be detrimental to, the Harneys Fiduciary Directors or Harneys Fiduciary; or\n\t- (c) conflict with the memorandum and articles of association of the Company; or\n\t- (d) not be in the best interest of the Company in their absolute discretion.\n- 4.3 The Harneys Fiduciary Directors may require instructions or recommendations of the Company to be in writing before taking action. The Company agrees that the Harneys Fiduciary Directors may act on instructions conveyed verbally, by e-mail or by facsimile and accepts the risk that such instructions may be given by an unauthorised Person. In the case of e-mail the Company must provide Harneys Fiduciary with their e-mail address, and any e-mail received from that address will be assumed to be authentic.\n\n# **5 COMPANY UNDERTAKINGS**\n\n- 5.1 The Company represents and confirms that it has supplied all relevant information, records and financial information which may affect the decision of Harneys Fiduciary to provide directors. The Company undertakes that it will immediately make available to Harneys Fiduciary any further relevant information as requested by Harneys Fiduciary.\n- 5.2 The Company undertakes to procure that financial statements or other appropriate confirmations of assets and liabilities of the Company shall be made available to the Harneys Fiduciary Directors twice a year when such information is not routinely available to the Harneys Fiduciary Directors or whenever required by the Harneys Fiduciary Directors for the review and authorisation of a transaction.\n- 5.3 The Company shall ensure that the Harneys Fiduciary Directors are provided with complete and accurate information relating to the business and affairs of the Company which, in the opinion of the Harneys Fiduciary Directors are necessary to enable the Harneys Fiduciary Directors to perform their duties as a director to the standard imposed by this Service Agreement, the Act, and the law.\n- 5.4 The Company shall provide all necessary assistance to ensure and procure that the Company shall at all times and in a timely manner obtain the necessary legal and tax advice to ensure its activities and affairs are carried out so to comply with all applicable laws, including but not limited to taxation laws and anti-money laundering laws.\n- 5.5 The Company agrees not to take any action or procure the taking of any action relating to the Company, nor to enter into or procure the entering into of any contractual or other arrangement\n\non its behalf, without the consent of the Harneys Fiduciary Directors, except in accordance with any Power of Attorney as approved by the Harneys Fiduciary Director. The Company undertakes to inform the Harneys Fiduciary Directors of all legal and financial transactions that would under any circumstance require approval by any director undertaken under the authority of such Power of Attorney.\n\n- 5.6 If the Harneys Fiduciary Directors are not the only director(s] of the Company, the Company agrees and undertakes to ensure that Harneys Fiduciary shall be kept fully and promptly informed of all matters that would require approval by any director notwithstanding the relevant matters are approved by other directors.\n- 5.7 The Company represents and warrants that there are no criminal, civil, regulatory or disciplinary actions currently against the Company or expected to take place, and that it has supplied all relevant information, documentation and records in relation to any such prior proceedings against the Company.\n\n# **6 FEES AND EXPENSES**\n\n- 6.1 The Company shall pay the fees in the manner set out in Schedule 2, subject to Clause 6.2.\n- 6.2 Notwithstanding anything herein (including Schedule 2) to the contrary, the Kwok Estate agrees to pay to Harneys Fiduciary:\n\t- (a) immediately after the execution of this Agreement, the pro rata share of the annual fee for the remainder of 2022 in the amount of \\$6,667.00; and\n\t- (b) any future annual fees that may come due, but only after the Kwok Estate has recovered additional funds sufficient to pay such future annual fees,\n\nand provided that, for the avoidance of doubt, if this Agreement is terminated, Harneys Fiduciary shall only be entitled to recover the annual fees, or a pro-rata proportion thereof, in respect of the period in which the Harneys Fiduciary Directors served in office.\n\n- 6.3 Notwithstanding anything herein to the contrary, in the event the Chapter 11 Trustee for the Kwok Estate requests that Harneys Fiduciary provide director services for up to four additional entities affiliated with the Company and/or Ho Wan Kwok (such additional entities, the \"Affiliated Companies\"), the annual fee payable for each such additional entity shall be \\$7,500, rather than \\$20,000. For the avoidance of doubt, in accordance with Section 6.2(a) hereof, the Kwok Estate agrees to pay such additional annual fees, but only after the Kwok Estate has recovered additional funds sufficient to pay such additional annual fees.\n- 6.4 In the event that any fees to Harneys Fiduciary have accrued in accordance with this Agreement prior to 1 January 2024 (the *Interest Date*) and have not been paid by the Interest Date (by virtue of the operation of Clause 6.3 or otherwise), such fees shall carry interest at an annualised rate of 7.5%, compounded annually and calculated from the the Interest Date.\n- 6.5 The provisions of this Section 6 are subject to approval of the United States Bankruptcy Court for the District of Connecticut presiding over the chapter 11 case of Ho Wan Kwok.\n\n# **7 BOARD MEETINGS**\n\n7.1 The Company agrees to hold at least one physical board meetings per year, either in person, electronically or by telephone conference.\n\n# **8 PROFESSIONAL ADVICE**\n\n- 8.1 In connection with the provision of the services of the Harneys Fiduciary Directors, the Harneys Fiduciary Directors shall be entitled to request that Harneys Fiduciary procure professional advice (including legal advice) or services at any time when such advice or services may reasonably be required at the discretion of the Harneys Fiduciary Directors. The costs and expenses of Harneys Fiduciary shall be reimbursed to Harneys Fiduciary by the Company or as otherwise agreed in writing between Harneys Fiduciary and the Company.\n- 8.2 The Harneys Fiduciary Director has the discretion to request legal advice and/or a legal opinion to be settled as the expense of the Company for transactions that may involve re-structuring, dissolution and complex events that may merit advice.\n\n# **9 EXECUTION OF DOCUMENTS**\n\n- 9.1 The Company agrees that in the event Harneys Fiduciary Directors are required to execute written resolutions (regarding board decisions, service agreements or any other documents) on behalf of the Company:\n\t- (a) the Harneys Fiduciary Directors shall be given a reasonable opportunity to review such document and request, amend if deemed necessary, and approve such additional information in relation thereto as he may require; and\n\t- (b) the Harneys Fiduciary Directors may request that all other directors of the Company sign such document prior to the Harneys Fiduciary Director executing such document.\n\n# **10 LIQUIDATION**\n\n10.1 The Company acknowledges that when a director has been provided for a company by Harneys Fiduciary and that company's purpose has been fulfilled, it is Harneys Fiduciary policy that such company should be formally liquidated and not merely be allowed to be struck off the Register of Companies. The costs of any such liquidation shall be paid by the Company.\n\n### **11 LIABILITY AND INDEMNITY**\n\n- 11.1 Harneys Fiduciary will procure that the Harneys Fiduciary Directors use proper skill and care in carrying out Harneys Fiduciary Directors duties and obligations under this Service Agreement PROVIDED HOWEVER that Harneys Fiduciary shall not be liable for any loss suffered by the Company in connection therewith unless such loss arises from negligence, bad faith, wilful default or fraud in performance of their duties and obligations under this Service Agreement by Harneys Fiduciary or the Harneys Fiduciary Directors.\n- 11.2 Harneys Fiduciary shall incur no liability for or in respect of any action taken or omitted in reliance upon any notice, instruction, request, direction or other communication from the Company or any\n\nnotice, instruction, request, direction or other communication reasonably believed by Harneys Fiduciary to be genuine, even if it is subsequently found not to be genuine or to be incorrect.\n\n- 11.3 The Company shall indemnify Harneys Fiduciary, its officers, employees, shareholders, directors and agents, the Harneys Fiduciary Directors and any employees of Harneys Fiduciary authorised to act as bank signatories on demand against any losses, liabilities, costs, claims, actions, demands or expenses which it may incur or which may be made against any of them as a result of or in connection with the appointment or in the exercise of duties hereunder, except such as may result from Harneys Fiduciary's own wilful default, negligence, bad faith or failure to comply with its obligations hereunder, or that of its officers, employees or agents.\n- 11.4 In relation to the Company's obligation to indemnify under Clause 3:\n\t- (a) the Company shall only be bound to indemnify the Harneys Fiduciary Directors under Clause 11.3 above if the Harneys Fiduciary Directors acted honestly and in good faith and, in the case of any criminal proceedings, the Harneys Fiduciary Directors had no reasonable cause to believe that Harneys Fiduciary Directors conduct was Unlawful;\n\t- (b) the termination of any proceedings by any judgment, order, settlement, conviction or the entering of a *nolle prosequi* does not, by itself, create a presumption that an Harneys Fiduciary Directors did not act honestly and in good faith or that the Harneys Fiduciary Directors had reasonable cause to believe that Harneys Fiduciary Directors conduct was Unlawful; and\n\t- (c) if the Harneys Fiduciary Directors have been successful in defence of any proceedings referred to in Clause 11.3, the Harneys Fiduciary Directors are entitled to be indemnified against all reasonable expenses, including legal fees, and against all judgments, fines and amounts paid in settlement and reasonably incurred by the Harneys Fiduciary Directors in connection with the proceedings irrespective of the provisions of Clause 11.4(a).\n- 11.5 Harneys Fiduciary holds the benefit of Clause 11.3 on trust for the Harneys Fiduciary Directors. The perpetuity period of the trust shall be 80 years.\n\n# **12 RECORDS**\n\n- 12.1 For so long as the Company is in existence and the Harneys Fiduciary Directors are serving pursuant to the terms of this Service Agreement, the Harneys Fiduciary Directors will:\n\t- (a) retain copies (electronically or otherwise) of correspondence of the Company;\n\t- (b) retain original documents sent to it to retain for the Company; and\n\t- (c) to the extent the Harneys Fiduciary Directors receives copies of financial statements, bank account statements or other information or documents relating to the Company, retain such information and records.\n- 12.2 Such documents and records shall be destroyed 6 years after the termination of this Service Agreement unless the Harneys Fiduciary Directors believe that there are good commercial reasons\n\nfor not doing so, or if applicable law requires the documents and records to be retained for a longer period.\n\n# **13 ASSIGNMENT**\n\n- 13.1 The Company may not assign or transfer of its rights and/or obligations arising under, out of or in connection with this Service Agreement to any other Person without the prior written consent of Harneys Fiduciary. No Party may create any security interest over its rights arising under or in connection with this Service Agreement.\n- 13.2 Notwithstanding Clause 13.1 above, the obligations of the Party shall bind their legal representatives, assigns and successors.\n- 13.3 Where a Party constitutes more than one person, their obligations under this Service Agreement are joint and several.\n- 13.4 The benefits of the Company's agreements and obligations herein contained shall not be affected by any change in the composition of Harneys Fiduciary or its shareholders or in the identity of the Persons appointed by Harneys Fiduciary as Harneys Fiduciary Directors and shall be for the benefit of any successors or assigns of Harneys Fiduciary or the Harneys Fiduciary Directors.\n\n#### **14 CONFIDENTIALITY**\n\n- 14.1 Harneys Fiduciary may disclose any information relating to the business, finances and ownership of the Company or its directors and officers which it obtains in the course of acting under this Service Agreement with the consent of a director, officer or intermediary of the Company.\n- 14.2 The Company accepts and acknowledges:\n\t- (a) the obligations of Harneys Fiduciary and the Harneys Fiduciary Directors to make filings with and disclosure to the Registry of Corporate Affairs and other governmental and regulatory authorities of the British Virgin Islands pursuant to the provisions of British Virgin Islands law, including the Act.\n\t- (b) that Harneys Fiduciary and the Harneys Fiduciary Directors may make disclosure to any request received from any overseas governmental or regulatory authorities which appears to be genuine and lawful.\n\t- (c) the obligations of the Harneys Fiduciary and the Harneys Fiduciary Directors to comply with applicable anti money laundering legislation in the British Virgin Islands.\n\n### **15 EFFECTIVE DATE**\n\n- 15.1 This Service Agreement shall come into force once it is signed by all Parties.\n- 15.2 If the Harneys Fiduciary Directors are appointed or before the date this Service Agreement comes into force:\n\t- (a) that shall be good and satisfactory discharge of Harneys Fiduciary's obligations to provide the Harneys Fiduciary Directors under this Service Agreement, and no Party shall argue\n\nthat any obligation under this Service Agreement has not been satisfactorily performed only on that basis, or that any such performance should be treated as past consideration; and\n\n(b) the Parties agree that the relationship between them for the period between the appointment of the Harneys Fiduciary Directors and date this Service Agreement comes into force shall be regulated as if this Service Agreement had been in force from the date of appointment of the Harneys Fiduciary Directors, and their legal rights and duties to each other for that period shall be amended and restated on that basis.\n\n### **16 TERMINATION**\n\n- 16.1 In addition to the termination rights set out in the Terms, the Parties shall be entitled to terminate this Service Agreement by giving not less than thirty (30) days' notice in writing to the other Parties to expire at any time.\n- 16.2 If Harneys Fiduciary or the Harneys Fiduciary Directors becomes aware or suspects that the Company is involved in Unlawful activities, they:\n\t- (i) reserve the right to resign the directorship and/or immediately terminate this Service Agreement without prior notice to the Company;\n\t- (ii) will co-operate fully with law enforcement agencies in any part of the world; 11 章破产财产团持有。\n各方达成协议如下：\n1 释义\n\n1.1 在本服务协议中，条款第 2.1 款适用，且：\n\ndirector（董事）具有该词在《法案》中所赋予的含义。\n\nAct（《法案》）指《BVI Business Companies Act 2004（2004年英属维尔京群岛商业公司法）》。\n\nHarneys Fiduciary Directors（衡力信托董事）具有该词在第 3.1 款中所赋予的含义。\n\nPower of Attorney（授权委托书）指本公司向另一人授予的任何授权委托书。\n\nTerms（条款）具有该词在第 2.1 款中所赋予的含义。\n\n1.2 本服务协议中未予定义的首字母大写术语具有条款中所赋予的含义。\n2 条款的纳入\n\n2.1 衡力信托在其网站上公布并可在 http 访问的一般条款和条件（条款）已纳入并构成本服务协议的一部分。条款包含进一步的重要条款，包括涉及衡力信托的职责范围、责任、赔偿、数据保护以及条款变更（包括由衡力信托单方变更）的条款。\n\n- 2.2 签署本服务协议即表明，本公司保证其已阅读条款，并确认且同意条款已纳入并构成本服务协议的一部分。本公司还确认并同意衡力信托不时单方变更的条款，且任何此类变更均将纳入并构成本服务协议的一部分。\n- 2.3 本服务协议的明示条款（包括条款）构成各方之间就本协议预期事项达成的完整协议，该协议取代各方先前就本服务协议标的事项达成的所有谅解和协议，任何原本可能暗示的条款均被排除。\n- 2.4 如果条款的任何规定与本服务协议发生冲突，应以本服务协议的规定为准。如果条款赋予衡力信托更多或更大的权利，或对本公司施加更大的义务，此类条款不得被视为与本服务协议的条款相冲突，且应赋予该等更大的权利或义务。\n- 2.5 各方均确认，订立本服务协议时，除本服务协议中明确规定的内容外，其未依赖任何人士（无论是否为一方）的任何陈述、声明、保证或担保。\n3 董事的委任\n\n- 3.1 衡力信托应提供附表 1 中指明的人士或衡力信托可能委任以替代他们并相应通知本公司的其他人士（衡力信托董事），以供委任为本公司董事。\n- 3.2 衡力信托董事的委任应在衡力信托收到附表 2 中规定的年费后，在切实可行的情况下尽快生效。\n- 3.3 衡力信托董事对替补董事的任何提名或委任均应由衡力信托董事自行全权决定，且任何此类替补人员均可为衡力信托的关联方。\n- 3.4 衡力信托及衡力信托董事根据本协议向本公司提供的服务是非排他性的，衡力信托及衡力信托董事可自由向他人提供类似服务。衡力信托及衡力信托董事在向他人提供类似服务过程中，或在其以任何其他身份或任何方式开展业务的过程中（而非在履行本服务协议所载服务的过程中），衡力信托、衡力信托董事或衡力信托或衡力信托董事的任何雇员或代理人获悉的任何事实或事物，均不得被视为已通知本公司，衡力信托及衡力信托董事亦不承担向本公司披露此类事实或事物的任何义务。\n4 董事服务与指示\n\n- 4.1 衡力信托董事的委任基于他们将按照其认为符合本公司最佳利益的方式履行职责。\n- 4.2 各方同意，衡力信托董事无义务以可能具有下列情形的任何方式行事：\n\t- (a) 与 British Virgin Islands（英属维尔京群岛）的任何法律相冲突，或在其他方面属于违法或不道德；或\n\t- (b) 不合乎道德、过分繁重，或性质可能损害衡力信托董事或衡力信托的声誉，或对其造成不利；或\n\t- (c) 与本公司的组织章程大纲和章程细则相冲突；或\n\t- (d) 经其绝对裁量认定不符合本公司的最佳利益。\n- 4.3 衡力信托董事在采取行动前可要求本公司提供书面指示或建议。本公司同意衡力信托董事可根据口头、电子邮件或传真传达的指示行事，并承担此类指示可能由未经授权的人士给出的风险。如果使用电子邮件，本公司必须向衡力信托提供其电子邮件地址，从该地址收到的任何电子邮件均将被推定为真实有效。\n5 公司承诺\n\n- 5.1 本公司陈述并确认，其已提供可能影响衡力信托决定提供董事的所有相关信息、记录和财务信息。本公司承诺，其将根据衡力信托的要求，立即向衡力信托提供任何进一步的相关信息。\n- 5.2 本公司承诺促成在衡力信托董事无法定期获得此类信息时，或在衡力信托董事为审查和批准交易而有要求时，每年向衡力信托董事提供两次财务报表或本公司资产和负债的其他适当确认文件。\n- 5.3 本公司应确保向衡力信托董事提供与本公司业务和事务相关的完整、准确的信息，衡力信托董事认为这些信息是使其能够按照本服务协议、《法案》和法律所规定的标准履行其董事职责所必需的。\n- 5.4 本公司应提供一切必要协助，以确保并促使本公司始终及时获得必要的法律和税务建议，以确保其活动和事务的开展符合所有适用法律，包括但不限于税法和反洗钱法。\n- 5.5 本公司同意，未经衡力信托董事同意，不得就本公司采取任何行动或促成采取任何行动，亦不得代表本公司订立或促成订立任何合同或其他安排，\n\n但按照衡力信托董事批准的任何授权委托书进行的除外。本公司承诺向衡力信托董事告知根据该授权委托书的权限所开展的、在任何情况下均需要任何董事批准的所有法律和金融交易。\n\n- 5.6 如果衡力信托董事并非本公司的唯一董事，本公司同意并承诺确保衡力信托充分且及时地获悉需要任何董事批准的所有事项，即使相关事项已获得其他董事的批准。\n- 5.7 本公司陈述并保证，目前不存在针对本公司的刑事、民事、监管或纪律诉讼，亦无预期将发生的诉讼，并且本公司已提供与针对本公司的任何此类先前诉讼程序相关的所有相关信息、文件和记录。\n6 费用和支出\n\n- 6.1 在符合第 6.2 款的前提下，本公司应按照附表 2 规定的方式支付费用。\n- 6.2 尽管本协议（包括附表 2）中有任何相反规定，郭氏破产财产团同意向衡力信托支付：\n\t- (a) 在签署本协议后立即支付 2022 年剩余期间的按比例年费，金额为 $6,667.00；以及\n\t- (b) 可能到期的任何未来年费，但仅在郭氏破产财产团追回足以支付此类未来年费的额外资金后方予支付，\n\n并且规定，为免疑义，如果本协议终止，衡力信托仅有权收回衡力信托董事在任职期间的年费或其按比例分摊的部分。\n\n- 6.3 尽管本协议中有任何相反规定，如果郭氏破产财产团的第 11 章受托人要求衡力信托为与本公司和/或郭文贵有关联的最多四家额外实体（此类额外实体统称为“关联公司”）提供董事服务，则每家此类额外实体应付的年费应为 $7,500，而非 $20,000。为免疑义，根据本协议第 6.2(a) 条，郭氏破产财产团同意支付此类额外年费，但仅在郭氏破产财产团追回足以支付此类额外年费的额外资金后方予支付。\n- 6.4 如果根据本协议在 2024年1月1日（计息日）之前应计付给衡力信托的任何费用在计息日之前尚未支付（无论是由于第 6.3 款的实施还是其他原因），此类费用应按年利率 7.5% 计息，按年复利，并自计息日起计算。\n- 6.5 本第 6 条的规定须经审理郭文贵第 11 章案件的 United States Bankruptcy Court for the District of Connecticut（美国康涅狄格区破产法院）批准。\n7 董事会会议\n\n7.1 本公司同意每年至少召开一次实体董事会会议，可通过亲身出席、电子方式或电话会议形式举行。\n8 专业建议\n\n- 8.1 关于提供衡力信托董事的服务，衡力信托董事有权在衡力信托董事自行酌情合理需要此类建议或服务时，随时要求衡力信托获取专业建议（包括法律建议）或服务。衡力信托的成本和支出应由本公司补偿给衡力信托，或按衡力信托与本公司之间另行书面约定的方式处理。\n- 8.2 衡力信托董事有权酌情要求获取法律建议和/或法律意见书，并由本公司承担费用，以用于可能涉及重组、解散以及可能值得获取建议的复杂事件的交易。\n9 文件的签署\n\n- 9.1 公司同意，若要求 Harneys Fiduciary（衡力信托）董事代表公司签署书面决议（涉及董事会决定、服务协议或任何其他文件）：\n\t- (a) 应给予 Harneys Fiduciary 董事合理的机会审阅该等文件，并按其要求索取、在认为必要时修改及批准与之相关的额外信息；且\n\t- (b) Harneys Fiduciary 董事可要求公司所有其他董事在该 Harneys Fiduciary 董事签署该等文件之前签署该等文件。\n\n10 清算\n\n10.1 公司确认，当 Harneys Fiduciary 已为一家公司提供董事且该公司的设立目的已实现时，Harneys Fiduciary 的政策是该公司应当正式清算，而不仅是获准从公司登记处（Register of Companies）除名。任何该等清算的费用均应由公司支付。\n\n11 责任与赔偿\n\n- 11.1 Harneys Fiduciary 将促使 Harneys Fiduciary 董事在履行本服务协议项下的 Harneys Fiduciary 董事职责和义务时运用应有的技能与谨慎，但前提是，Harneys Fiduciary 对公司就此遭受的任何损失不承担责任，除非该等损失是由 Harneys Fiduciary 或 Harneys Fiduciary 董事在履行本服务协议项下的职责和义务时的过失、恶意、故意违约或欺诈所致。\n\n- 11.2 Harneys Fiduciary 对依赖公司发出的任何通知、指示、请求、指令或其他通信，或 Harneys Fiduciary 合理认定为真实的任何通知、指示、请求、指令或其他通信而采取或未采取的任何行动概不承担任何责任，即使随后发现其不真实或不正确。\n\n- 11.3 经要求，公司应就 Harneys Fiduciary、其高级管理人员、员工、股东、董事及代理人、Harneys Fiduciary 董事以及获授权担任银行签字人的任何 Harneys Fiduciary 员工因被任命或在行使本协议项下的职责而可能招致的或可能对其中任何人提出的任何损失、责任、成本、索赔、诉讼、要求或费用向其进行赔偿，但因 Harneys Fiduciary 自身或其高级管理人员、员工或代理人的故意违约、过失、恶意或未能遵守其在本协议项下的义务而导致的除外。\n\n- 11.4 关于公司根据第 3 条承担的赔偿义务：\n\t- (a) 公司仅在 Harneys Fiduciary 董事诚实且善意行事，且在涉及任何刑事诉讼的情况下，Harneys Fiduciary 董事无合理理由相信 Harneys Fiduciary 董事的行为属于非法（Unlawful）时，方有义务根据上述第 11.3 条对 Harneys Fiduciary 董事进行赔偿；\n\t- (b) 任何诉讼程序因任何判决书、裁定、和解、定罪或撤回起诉（nolle prosequi）的登记而终结，其本身并不构成 Harneys Fiduciary 董事未诚实且善意行事，或 Harneys Fiduciary 董事有合理理由相信 Harneys Fiduciary 董事的行为属于非法的推定；且\n\t- (c) 若 Harneys Fiduciary 董事在第 11.3 条所述的任何诉讼程序的抗辩中胜诉，则无论第 11.4(a) 条如何规定，Harneys Fiduciary 董事均有权就与诉讼程序相关的、由 Harneys Fiduciary 董事合理产生的所有合理费用（包括律师费）以及因判决书、罚金与和解而支付的所有金额获得赔偿。\n\n- 11.5 Harneys Fiduciary 为 Harneys Fiduciary 董事的利益以信托方式持有第 11.3 条的权益。该信托的永续期应为 80 年。\n\n12 记录\n\n- 12.1 在公司存续且 Harneys Fiduciary 董事根据本服务协议的条款任职期间，Harneys Fiduciary 董事将：\n\t- (a) 保留公司往来函件的副本（以电子或其他方式）；\n\t- (b) 保留发送给其要求代公司保管的原始文件；及\n\t- (c) 在 Harneys Fiduciary 董事收到与公司相关的财务报表、银行账户对账单或其他信息或文件副本的范围内，保留该等信息和记录。\n\n- 12.2 该等文件和记录应在本服务协议终止 6 年后予以销毁，除非 Harneys Fiduciary 董事认为有充分的商业理由不予销毁，或适用法律要求将该等文件和记录保留更长时间。\n\n13 转让\n\n- 13.1 未经 Harneys Fiduciary 事先书面同意，公司不得将其在本服务协议项下、因本服务协议引起的或与本服务协议相关的权利和/或义务转让或转移给任何其他主体。任何一方均不得就其在本服务协议项下或与本服务协议相关的权利设定任何担保权益。\n\n- 13.2 尽管有上述第 13.1 条的规定，各方的义务应对其法定代表人、受让人及继承人具有约束力。\n\n- 13.3 若一方由多人构成，则其在本服务协议项下的义务为连带义务。\n\n- 13.4 公司在本协议中所载协议与义务的利益，不应因 Harneys Fiduciary 成员或其股东构成的任何变更，或 Harneys Fiduciary 任命为 Harneys Fiduciary 董事的人员身份的任何变更而受到影响，并应符合 Harneys Fiduciary 或 Harneys Fiduciary 董事的任何继承人或受让人的利益。\n\n14 保密\n\n- 14.1 经公司董事、高级管理人员或中介机构同意，Harneys Fiduciary 可以披露其在履行本服务协议过程中获得的与公司或其董事和高级管理人员的业务、财务及所有权相关的任何信息。\n\n- 14.2 公司接受并确认：\n\t- (a) Harneys Fiduciary 及 Harneys Fiduciary 董事有义务根据 British Virgin Islands（英属维尔京群岛）法律（包括法案）的规定向企业事务登记处（Registry of Corporate Affairs）及英属维尔京群岛的其他政府和监管机构进行备案和披露。\n\t- (b) Harneys Fiduciary 及 Harneys Fiduciary 董事可以就收到的任何看似真实且合法的来自海外政府或监管机构的请求进行披露。\n\t- (c) Harneys Fiduciary 及 Harneys Fiduciary 董事有义务遵守英属维尔京群岛适用的反洗钱立法。\n\n15 生效日期\n\n- 15.1 本服务协议自各方签署之日起生效。\n\n- 15.2 若 Harneys Fiduciary 董事在本服务协议生效之日或之前被任命：\n\t- (a) 这即构成 Harneys Fiduciary 对本服务协议项下提供 Harneys Fiduciary 董事义务的良好且令人满意的履行，任何一方均不得仅以此为由主张本服务协议项下的任何义务未得到令人满意的履行，或主张任何该等履行应被视为过去的对价；且\n\t- (b) 各方同意，自任命 Harneys Fiduciary 董事之日至本服务协议生效之日期间各方之间的关系应受到规管，如同本服务协议自任命 Harneys Fiduciary 董事之日起即已生效一样，并且各方在该期间内对彼此的法律权利和义务应在此基础上进行修订和重述。\n\n16 终止\n\n- 16.1 除本条款中规定的终止权外，各方均有权通过向其他各方发出不少于三十（30）天的书面通知随时终止本服务协议。\n\n- 16.2 若 Harneys Fiduciary 或 Harneys Fiduciary 董事获悉或怀疑公司参与非法活动，其：\n\t- (i) 保留辞去董事职务和/或立即终止本服务协议的权利，无需事先通知公司；\n\t- (ii) 将与世界任何地方的执法机构充分合作；及\n\t- (iii) 将不再认为自身受对公司的任何保密义务的约束。\n\n17 完整协议\n\n17.1 各方确认，在签署本服务协议时，除本服务协议中明确载明的内容外，其并未依赖任何主体（无论是否为一方）的任何陈述、代表、保证或担保。\n\n18
