WARRANTY INFORMATION - Ring Power warrants the work performed to be free from defects in material and workmanship for a period of ninety days. Ring Power's obligation under this warranty shall be limited to the repair or replacement at Ring Power's premises of those new parts previously installed or labor previously performed demonstrated to be defective. Applicability: These terms and conditions (\"Terms\") are the only terms which govern the services (\"Services\") to be provided by Bridgeport Boatworks to the owner (\"Owner\") of the vessel(s) (\"Vessel\") listed in the accompanying estimate (\"Estimate\"). The Terms and Estimate are collectively referred to herein as the \"Agreement.\" These Terms shall prevail over any prior agreements or discussions between Bridgeport Boatworks and the Owner. Owner will be deemed to have accepted these Terms upon Bridgeport Boatworks' commencement of performance of the Services or Owner's return of the signed Agreement, whichever is earlier.\n\n2. Compensation: In consideration of the performance by Bridgeport Boatworks of the Services, Owner agrees to pay Bridgeport Boatworks the fee set forth in the Estimate/Invoice (or the portion earned) upon receipt of submission of Bridgeport Boatworks' invoice or as otherwise set forth in the Agreement. Change Requests: Owner may request a change to any portion of the Services at any time by submitting such request in writing to Bridgeport Boatworks (\"Change Request\"). Other than as set forth herein, Bridgeport Boatworks makes no warranties regarding workmanship or materials, either express or implied, including any implied warranty or merchantability, fitness for a particular purpose or seaworthiness.\n\n5. Fees and Costs: Owner shall reimburse Bridgeport Boatworks for all costs incurred in collecting any late payments, including, without limitation, attorneys' fees. In addition to all other remedies available under this Agreement or at law (which Bridgeport Boatworks does not waive by the exercise of any rights hereunder), Bridgeport Boatworks shall be entitled to suspend the delivery of any goods or performance of any services hereunder if the Owner fails to pay any amounts when due hereunder.\n\n6. Insurance: Owner shall at all times maintain adequate and customary insurance covering the Vessel for the duration of the Services, including while the Vessel is in the custody and/or control of Bridgeport Boatworks. Owner and Bridgeport Boatworks each hereby waive their entire right of recovery against the other for injury, loss, or damage to the extent covered by insurance proceeds received by the damaged party. All policies required hereunder shall provide that the respective carrier(s) waives all rights of subrogation with respect to losses payable under such policies.\n\n8. Termination: Bridgeport Boatworks shall have the right to terminate this Agreement upon seven (7) days' written notice in the event that Owner is in material breach of its obligations hereunder. In the event the Agreement is terminated for any reason prior to the completion of the Services, then, in\n\naddition to the reimbursable expenses detailed herein, Owner shall pay to Bridgeport Boatworks the balance of the remaining fee as of the date of termination, representing payment for demobilization costs, opportunity costs, and anticipated lost profit. Force Majeure: Bridgeport Boatworks shall not be liable or responsible to the Owner, nor be deemed to have defaulted or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of Bridgeport Boatworks including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, terrorist threats or acts, riot, or other civil unrest, public emergency, epidemics or pandemics, lockouts, strikes or other labor disputes, or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.\n\n10. General Provisions:\n\na. Owner hereby grants Bridgeport Boatworks, its agents and employees, permission to operate the Vessel for the purpose of testing and/or inspection.\n\nb. Owner shall remove all articles of personal property, gear, or other appurtenances not necessary for the performance of the Services from the Vessel prior to delivery of the Vessel to Bridgeport Boatworks. 保证：布里奇波特船舶修造厂保证，服务将由具备所需技能、经验和资格的人员，以专业且符合行业标准的方式履行。除本协议另有规定外，布里奇波特船舶修造厂不就工艺或材料作出任何明示或默示保证，包括任何关于适销性、特定用途适用性或适航性的默示保证。\n\n5. 费用和成本：船东应偿还布里奇波特船舶修造厂为追收任何逾期付款而产生的全部成本，包括但不限于律师费。除本协议或法律规定的所有其他救济措施外（布里奇波特船舶修造厂行使本协议项下任何权利并不放弃该等救济措施），如船东未按期支付本协议项下任何应付款项，布里奇波特船舶修造厂有权暂停交付本协议项下任何货物或履行任何服务。\n\n6. 保险：船东应始终为船舶维持充分且惯常的保险，以覆盖服务期间，包括船舶处于布里奇波特船舶修造厂保管和/或控制期间。船东和布里奇波特船舶修造厂特此各自放弃就受损方收到的保险赔偿金所涵盖的伤害、损失或损害向对方追偿的全部权利。本协议要求的所有保险单均应规定，相应承保人放弃就该等保险单项下应付损失享有的一切代位求偿权。\n\n8. 终止：如船东实质性违反其在本协议项下的义务，布里奇波特船舶修造厂有权提前七（7）日发出书面通知终止本协议。如本协议因任何原因在服务完成前终止，则除本协议详列的可偿还费用外，船东还应向布里奇波特船舶修造厂支付截至终止日的剩余费用余额，该款项代表停工撤离成本、机会成本及预期利润损失的付款。布里奇波特船舶修造厂行使本节项下权利，不得以任何方式限制或缩减其根据本协议或适用法律可获得的其他救济措施，包括就船舶享有的任何留置权。\n\n9. 不可抗力：如因超出布里奇波特船舶修造厂合理控制范围的行为或情形所致或产生，致使其未能或延迟履行本协议任何条款，布里奇波特船舶修造厂不对船东承担责任，亦不应被视为违约或违反本协议；该等行为或情形包括但不限于天灾、洪水、火灾、地震、爆炸、政府行为、战争、恐怖主义威胁或行为、暴乱或其他民事骚乱、公共紧急事件、流行病或大流行病、停工、罢工或其他劳资纠纷、影响承运人的限制或延误，或无法取得或延迟取得足够或适当材料的供应、材料或电信故障或停电。\n\n10. 一般条款：\n\na. 船东特此授予布里奇波特船舶修造厂、其代理人及雇员为测试和/或检查之目的操作船舶的许可。\n\nb. 船东应在将船舶交付布里奇波特船舶修造厂前，从船舶上移除履行服务所非必需的全部个人财产、设备或其他附属物。对于因火灾、盗窃、窃取或其他原因导致遗留在船上的该等个人财产、设备或其他附属物发生的损坏或灭失，布里奇波特船舶修造厂不承担责任。交付船舶不构成对遗留于船上且履行服务所非必需的任何个人财产、设备或其他附属物的寄托。\n\nc. 本协议构成双方就本协议标的达成的完整协议，并取代此前所有书面或口头协议。\n\nd. 除非以书面形式作出并由本协议双方签署，否则不得对本协议作出任何变更、修改或修订。\n\ne.
