The U.S. Supreme Court has strictly mandated that the corporate fiction may only be cast aside upon a showing that the principal maintained "exclusive dominion and control" over the assets to the exclusion of all separate corporate minds (First National City Bank v. BANCEC, 462 U.S. 611).
